## **Structure, governance and management**

The Pastor and Elders are the Charity trustees and they are responsible for the governance of The Church and the fulfilment of the purpose through it’s activities acting according to The Will of God and the approval of The Church Members meeting where approval is needed. The Church’s organisational structure and the procedures for the appointment of the leadership are specified in the Church Constitution. This constitution was approved by the Church Meeting on 10/01/21 and can only be altered by a resolution of a Special Church Members Meeting. The constitution was updated in May 2022 and changes were accepted by the Charity Commission September 2022.

The Charity Trustees are aware of the need to examine the major financial, strategic and operational risks faced by The Church within their best capabilities. We confirm that systems have been established so that necessary steps can be taken to mitigate those risks.

It is the opinion of the Charity Trustees that there are sufficient reserves to maintain on-going operations.

The trustees have complied with the duty 17(5) of the 2011 Charities Act to have due regard to public benefit guidance published by The Charity Commission.

Objectives and activities

The principle purpose of The Church is the advancement of the Christian faith according to the principles of the Baptist denomination. The Church may also advance education and carry out other charitable purposes in the United Kingdom and or other parts of the world.

## Achievements and Performance

## Church Building.

Continued maintenance and ongoing improvements including new hand dryers in the toilet facilities, ongoing decorating and replacement LED lighting and automatic light switching where appropriate have been implemented.Repairs to the main auditorium roof have been carried out to different levels of success, and we recognise at some point the whole roof stricture will need replacing, though recognise this would be at considerable cost. Outgoing maintenance to the car park has been increased with great volunteer input.

A cleaner has been employed once a week to help keep the building to a high standard.

Fresh updating of fire risk assessment is being implemented along with a new contract for servicing and supplying appropriate fire equipment where needed. The Fire detection and alarm system inspection and servicing is carried out every five years and is next due in April 2026 along with the overall electrical inspection.

Electrical repairs ie replacement extractor fans have been done as necessary.

## Church Ministry.

People have faced many challenges in 2024, from financial, health, mental and generally dealing with everyday situations. People have been helped through worship, prayer and clear Biblical teaching bringing much hope and encouragement, and enabling some to move on from issues of pain and hurt from their past.

Practical teaching on handling work and everyday life and relationships is ongoing.

The atmosphere of the Church through worship, prayer and Bible teaching, along with the development of positive relationships has had a very positive impact.

We continue to help our Church community using WhatsApp platform with a daily encouragement from The Bible called PDS Truth along with a general ‘Group chat’ platform. These all help people stay connected and hopefully helps isolate loneliness.

Our Sunday morning service continues to provide a place for worship, friendship and teaching from The Bible. We are so encouraged with feedback from people who have been helped through so many challenging aspects of life.

Pastoral care continues to offer encouragement to help people navigate through different seasons of life.

We continue to remain very flexible with the young people and Children’s ministries because numbers can fluctuate so much, but are really encouraged with the teaching and help those who come have received.

We were very pleased to have three baptisms in 2024 and sponsored to young people to go to a festival called ‘Ignite’.

We also sponsored a ‘wreath’ making workshop at Christmas where people could invite family and friends.

The sense of ‘Church Community’ has grown in 2024 and people enjoy the social times at the end of services, and continue to develop friendships.

Overall, with all the uncertainty going on in the world, we believe and are seeing the Church have a very positive impact on those involved, often with those sharing with friends at a particular point of need in their lives who do not attend the Church being helped also.

Other

We are in the process of appointing a third Elder and trustee. We are also looking into becoming a CIO.

## Volunteers

We continue to be so grateful for the ‘behind the scenes’ work of our wonderful team of volunteers, from help with the cleaning, welcoming and setting up of the building for different events. Thank You.

Thanks also goes to those who pray, contribute financially and support the vision of the Church.

## Safeguarding

Our safeguarding policy was reviewed in May 2024 and is published on our website. All 5 youth and children’s team workers completed safeguarding training.Certificates were issued to those attending courses and copies kept by DSL.

All youth and children’s team workers were also DBS checked.

Financial Review

Income for the year amounted to £81,273.00 (2023 £89,562.00)

Expenditure £83,304.00  (2023 £81,041.00)

Going Concern

After making appropriate enquiries, the Trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. For this reason they continue to adopt the going concern basis in preparing the financial statements.

## Statement of Trustees’ Responsibilities.

The Trustees are responsible for preparing the Trustees’ report and the financial statements in accordance with the United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice) and applicable law and regulations.

The law applicable to charities require the Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity for that period. In preparing these financial statements, the Trustees are required to :

- Select suitable accounting policies and then apply them consistently;

- Observe the methods and principles in the Charities SORP;

- Make judgements and estimates that are reasonable and prudent;

- State whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; and

- Prepare financial statements on the going concern basis unless it is inappropriate to presume the charity will continue in business.

The Trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 2011, the applicable Charities (Accounts and Reports) Regulations, and the provisions of the constitution. The Trustees are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud or and other irregularities.

The annual report was approved by the Trustees of the charity on 2nd October 2025 and signed on its behalf by:

## REPORT OF THE TRUSTEES

The Trustees are responsible for the integrity and accuracy of the financial statements. The Trustees believe that the financial statement for the year ended 31[st] December 2024 has been prepared in conformity with general accepted accounting principles appropriate in the circumstances. In preparing the financial statements, the Trustees make informed judgements and estimates where necessary to reflect the expected effects of events and transactions that have not been completed.

In meeting their responsibility for the reliability of the financial statements, the Trustees rely on a system of internal accounting control. This system is designed to provide reasonable assurance that assets are safeguarded and transactions are executed in accordance with the Trustee's authorisation and recorded properly to permit the preparation of financial statements in accordance with generally accepted accounting principles. The design of this system recognises that errors and irregularities may occur and that estimates and judgements are required to assess the relative cost and expected benefits of the controls. The Trustees believe that the accounting controls provide reasonable assurance that errors or irregularities that could be material to the financial statements are prevented or would be detected within a timely period.

The independent auditor is engaged to express an opinion on the financial statements. The opinion is based on procedures, which are believed to be sufficient to provide reasonable assurance that the financial statements contain no material errors.

## INDEPENDENT AUDITOR

I have audited the accounts on pages 2 to 5 and I am satisfied that they have been drawn up in accordance with the bank statements, invoices and receipts produced to me and are consistent with the explanations supplied by the Treasurer and Trustees of Kenilworth Baptist Church.

NOTES TO THE ACCOUNTS FOR YEAR ENDED 31 DECEMBER 2023

- 1 Accounting Policies

   - (1) The financial statements have been prepared on an accruals basis and in accordance with the applicable accounting standards and provisions of the Charities SORP (Statement of Recommended Practice: “Accounting for Charities”).

   - (2) The Church records investments in land, buildings and equipment at cost. Assets of less than £250 are treated as normal business expenditure and are charged in full when incurred.

   - (3) Depreciation is computed using the straight-line method. Service lives for principal assets are 10 years for building improvements and 5 years for equipment.

   - (4) The church buildings continue to be held in trust by the Heart of England Baptist Association. The Baptist Insurance company carried out a ‘cost of re-build’ valuation in December 2021 and valued this at £1,394,055.
