## **FOR THE YEAR ENDED 31/12/2022** 

The trustees present their report and accounts for the year ended 31/12/2022. 

## **PRINCIPAL ACTIVITIES** 

The principal activity of the charity in the year under review was operating a local radio station and community engagement. 

## **STRUCTURE GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

Radio Bath CIO (Charity No. 1193978) is a Charitable Incorporated Organisation (CIO) and was established on the 31 March 2021 with the Charity Commission for England and Wales. 

## OBJECTIVES AND ACTIVITIES 

The Charity's objects and regulations are regulated by a constitution dated 31 March 2021. 

The charitable objects for which the charity is established are for the public benefit: 

1) to promote for the benefit of the inhabitants of the City of Bath and the surrounding area the provision of a community radio service as a recreational facility for individuals who have need of such a facility by reason of their youth, age, infirmity or disablement, financial hardship or social and economic circumstances or for the public at large in the interests of social welfare and with the object of improving the condition of life of the said inhabitants; 

2) to advance education in particular, but not limited to, through the provision of (a) radio broadcasts on such topics as the charity trustees deem fit and (b) vocational education and training in radio broadcasting and media skills, techniques and work; 

3) to protect and preserve health in particular through the provision of information to men and women on health and health related matters; and 

4) to advance any other charitable purposes (according to the law of England and Wales) as the charity trustees see fit from time to time. 

## ACHIEVEMENTS AND PERFORMANCE 

Building on the progress achieved in our first year, Radio Bath continued to add presenters and new shows to our programme. Typically, we had as many as 45 presenters creating 100+ hours of orignal content every week. And in the course of the year we interviewed over 1,000 guests from the local charitable, civic, cultural and commercial sectors. 

Notably, we were quick to offer the refugee community arriving in Bath after the invasion by Russian forces in February space in our schedule for their own Ukrainian-language programming. This provided invaluable and much-appreciated up-to-date information as they settled into the local community and has helped keep them connected with each other. In 2022, we also launched our Bollywood bilingual programming aimed at local South Asian communities. 

We took a significant step towards one of our main charitable objects by accepting requests from individuals, schools, colleges and universities, and charities and community groups for volunteering, work experience and internship opportunities, including the Prince’s Trust and Duke of Edinburgh Awards. The young people involved were always accompanied by a parent, guardian or adult supervisor. (As part of this, a Safeguarding Policy has been introduced and those involved from Radio Bath are DBS-checked.) 

In fulfilment of our charitable objects, we continue to provide our local communities with important and timely information on matters of public health, particularly in connection with lingering concerns about Covid, such as the availability of static and mobile vaccination units. More generally, we made daily announcements on behalf of BaNES and Wiltshire Councils, Avon and Somerset Police, the RUH NHS Trust, Wessex Water, as well as regular traffic updates about the situation on local roads and rail services. On top of this, we also held bi-monthly conversations with the Leader of B&NES Council, and interviews at various times with the outgoing and incoming Mayors of Bath, the West of England Mayor, the High Sheriffs of Somerset and Wiltshire, and the Police and Crime Commissioner for Avon and Somerset. 

In February 2022, we launched our Radio Bath Business Breakfasts, held on the last Thursday of most months. With speakers drawn from the local business community or an organisation of interest to it, the RB Business Breakfasts have proved a popular addition to the local calendar of events. We also joined with local businesses at the Business Community Show at The Civic Trowbridge, Bath Aqua Glass/Walcot Street Business Community, and ValleyFest with Truespeed. Another sign that Radio Bath is increasingly seen as part of the  local business community came with our nomination as a Finalist in this year’s Bath Business Awards. Separately, The Travel Show partnered with the Gibraltar Tourism Board to organise a webinar promoting Gibraltar as a tourist destination.

Finally, our Outside Broadcast unit and remote broadcasting technology continues to add greatly to our engagement with local cultural and community organisations by allowing us to record and broadcast live from various venues around the city. We were Media Partners for the Bath Half, Bath Theatre Royal, TEDxBATH, Party in the Park at Peasedown St John, Bath Rotary Club’s Festival of Motoring and the Chalke Valley History Festival, among others. We also attended events at Bath Spa University, Bath Racecourse, the Larkhall Festival, Julian House Big Sleep Out in support of the homeless, and Bath Cats and Dogs Home, as well as compering at the annual fireworks displays in both Bath and Bradford on Avon. 

And a real highlight of 2022 was our presence at the Tears For Fears concert at Longleat in July. 

## FINANCIAL REVIEW 

Our cashflow remained positive throughout the period under review, and we finished the year with a small surplus. We currently have eight patrons who support us financially on an annual basis, together with various sponsors and advertising partners. Consequently, we remain financially solvent, in an increasingly stable financial position and approaching our goal of having six months’ fixed expenditure in reserve. 

## STRUCTURE, GOVERNANCE AND MANAGEMENT 

The Charity is managed by a Management Team. Trustees are appointed in accordance with the constitution. 

The Trustees have had regard of the Charity Commission’s guidance on public benefit when making decisions. They are responsible for preparing a Trustees’ annual report and financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

## **INDEPENDENT EXAMINER'S REPORT TO THE TRUSTEES OF RADIO BATH CIO** 

I report on the accounts of the company for the year ended 31/12/2022. 

## **RESPECTIVE RESPONSIBILITIES OF TRUSTEES AND EXAMINER** 

The trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the accounts. The trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. 

Having satisfied myself that the charity is not subject to an audit under company law and is eligible for independent examination, it is my responsibility to: 

- examine the accounts under section 145 of the 2011 Act; 

- follow the procedures laid down in the general Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act; and 

- state whether particular matters have come to my attention. 

## **BASIS OF INDEPENDENT EXAMINERS STATEMENT** 

My examination was carried out in accordance with general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a "true and fair view" and the report is limited to those matters set out in the statement below. 

## **INDEPENDENT EXAMINERS STATEMENT** 

In connection with my examination, no matter has come to my attention: 

- (1) which gives me reasonable cause to believe that in any material respect the requirements: 

- to keep accounting records in accordance with section 386 of the Companies Act 2006; and 

- to prepare accounts which accord with the accounting records, comply with the accounting requirements of section 396 of the Companies Act 2006 and with the methods and principles of the Statement of Recommended Practice: Accounting and Reporting by Charities

## **1. ACCOUNTING POLICIES** 

## **1a. Basis Of Accounting** 

The accounts have been prepared under the historical cost convention. 

The accounts have been prepared in accordance with FRS102 -1A. The Financial Reporting Standard applicable in the UK and Republic of Ireland and the Companies Act 2006 and the requirements of the Statement of Recommended Practice, Accounting and Reporting by Charities. 

## **1b. Incoming Resources** 

All incoming resources are included on the Statement of Financial Activities when the charity is legally entitled to the income and the amount can be quantified with reasonable accuracy. 

## **1c. Resources Expended** 

Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **1d. Allocation And Apportionment Of Costs** 

All costs relate to the single activity of the charitable company and are recognised accordingly. 

## **1e. Fund Accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Designated funds are funds set aside by the trustees out of unrestricted general funds for the specific future purposes or projects. 

## **1f. Trade and other debtors** 

Trade and other debtors are recognized at the settlement amount due after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due. 

## **1g. Cash and cash equivalents** 

Cash and cash equivalents comprise cash at bank and on hand, demand deposits with banks and other short-term highly liquid investments with original maturities of three months or less and bank overdrafts. In the statement of financial position, bank overdrafts are shown within borrowings or current liabilities. 

## **1h. Trade and other creditors** 

Short term creditors are measured at the transaction price. Other creditors and provisions are recognized where the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognized at their settlement amount after allowing for any trade discounts due.
