Summary Report

For the year ended 31 March 2023

Over the last 12 months Think Active developed and evolved as a Charity. We increased the team in line with our organisational structure. Once again, thanks and recognition to the work of the trustees whose leadership and expertise has been invaluable in bringing the aspirations of the Charity to life and in navigating new and exciting business opportunities. Thanks, and recognition to the Think Active team who have maintained our collaborative approach to work with and through partners, both new and existing, to maximise the impact and benefit to those people and communities we serve.

The health, sport and physical activity landscape in Coventry, Solihull, and Warwickshire has undergone significant transformations in response to the coming together of global challenges that hit local communities the hardest. These include the far-reaching impacts of climate change, the burgeoning cost of living crisis, the strain on the public sector and local government and persistent health and social inequalities.

Climate change has introduced a new set of considerations, with extreme weather events influencing outdoor activities, affecting the availability of sports facilities, and necessitating adaptive measures often at the expense of already strained local government budgets and voluntary run sports clubs. Our Environmentally Friendly and Climate Conscious Commitment can be found here.

Concurrently, the escalating cost of living crisis has imposed financial constraints on individuals and families, potentially altering access to sports facilities and participation in physical activities. This has not only both heightened and widened the gap between those who have the means and those who live complex lives and whose priorities do not include sport and physical activity. It is also affecting those individuals and families who have previously participated but whose disposable income, both perceived and actual has reduced and need to be used to cover the increase in prices of essential or higher prioritised goods and services.

Amid these challenges, persistent health and social inequalities continue to shape the landscape, influencing the distribution of resources, opportunities, and overall engagement in sports and physical well-being initiatives. Navigating this evolving terrain has required a nuanced understanding of these interconnected factors and a commitment to developing adaptive strategies that promote inclusivity, resilience, and sustainable access to sports and physical activities for all communities.

We are continually grateful for the long-term commitment by Sport England to the role of sport and physical activity through their Uniting the Movement strategy.

All of this has meant that we have had to be agile, embrace change, respond proactively and bravely to the challenges and opportunities along the way and maintain our focus on robust financial management and strong governance.

Page 3

Our #WeThinkActive strategy has set out how we have set out to deliver our objectives, and how we have created, and maximised opportunities for the fulfilment of our Charitable Objects and for our role as Sport England System Partner.

REPORT OF THE INDEPENDENT AUDITORS TO THE TRUSTEES OF THINK ACTIVE CSW

Opinion

We have audited the financial statements of Think Active CSW (the 'charitable company') for the year ended 31 March 2023 which comprise the Statement of Financial Activities, the Statement of Financial Position, the Statement of Cash Flows and notes to the financial statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

In our opinion the financial statements:

Basis for opinion

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the charitable company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern

In auditing the financial statements, we have concluded that the trustees' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charitable company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Our responsibilities and the responsibilities of the trustees with respect to going concern are described in the relevant sections of this report.

Other information

The trustees are responsible for the other information. The other information comprises the information

Page 10

REPORT OF THE INDEPENDENT AUDITORS TO THE TRUSTEES OF THINK ACTIVE CSW

included in the Annual Report, other than the financial statements and our Report of the Independent Auditors thereon.

Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.

In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard.

Matters on which we are required to report by exception

We have nothing to report in respect of the following matters where the Charities (Accounts and Reports) Regulations 2008 requires us to report to you if, in our opinion:

Page 11

REPORT OF THE INDEPENDENT AUDITORS TO THE TRUSTEES OF THINK ACTIVE CSW

Responsibilities of trustees

As explained more fully in the Statement of Trustees' Responsibilities, the trustees (who are also the directors of the charitable company for the purposes of company law) are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the trustees determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the trustees are responsible for assessing the charitable company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the trustees either intend to liquidate the charitable company or to cease operations, or have no realistic alternative but to do so.

Our responsibilities for the audit of the financial statements

We have been appointed as auditors under Section 144 of the Charities Act 2011 and report in accordance with the Act and relevant regulations made or having effect thereunder.

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Independent Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:

A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at www.frc.org.uk/auditorsresponsibilities. This description forms part of our Report of the Independent Auditors.

This report is made solely to the charitable company's trustees, as a body, in accordance with Part 4 of the

To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the charitable company and the charitable company's trustees as a body, for our audit work, for this report, or for the opinions we have formed.
