## **Trustees' Report** 

The trustees present their statutory report together with the unaudited Financial Statements (consisting of the Receipts and Payment Accounts and Statement of Assets and Liabilities) of Kamala Foundation CIO ("the CIO") for the year ended 31 March 2025, as permitted under section 133 of the Charities Act 2011 (‘the Charities Act’). 

The Receipts and Payment Accounts together with the Statement of Assets and Liabilities have been prepared in accordance with relevant policies and comply with the CIO's constitution, applicable laws, the requirements of the Charities Act 2011 and the Charities SORP (FRS 102). 

## **Structure, Governance and Management** 

## **Constitution and objects** 

The Kamala Foundation CIO - Charity RegistrationNo.1193930 - was established under a 'Foundation' model constitution dated 4th March 2021 and was registered with the Charity Commission on 26th March 2021. The charitable objects of the CIO are to relieve and prevent poverty in the UK and India, for the public benefit by the provision of grants, items and services to individuals in need and/or charities, or other organisations working to prevent or relieve poverty. To relieve the needs of people who are in need by reason of their age, financial hardship, ill-health or disability or other social or economic disadvantage living in the UK and India in particular but not exclusively by the provision of financial support that will enable mobility aids to be purchased or enable adaptions to be made to the beneficiaries homes that will improve their mobility or enable the beneficiaries to remain living independently. 

## _Organisation_ 

The trustees are appointed by resolution of the existing trustees in accordance with the constitution. The trustees who served during the year were:

Trustees review the financial statements of the CIO, its constitution, the CIO's written policies, minutes of recent meetings of the trustees and the Charity Commission guidance on charity law and regulation. The CIO has written policies also covering Safeguarding, Good Practice Guidance, Reporting Procedures, The Role of Designated Senior Leader and Grant Making. 

Meetings of trustees normally take place as and when required and in any event not less frequently than quarterly. 

None of the Trustees take any expenses or income for their services provided to the CIO.

## _Statement of Trustee’s Responsibilities_ 

The Trustees (who are also directors for the purposes of company law) are responsible for preparing the Report of the Trustees and the financial statements in accordance with applicable law and the United Kingdom Generally Accepted Accounting Practice. 

Company law requires the Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources. This includes the income and expenditure, of the charitable company for that period. In preparing those financial statements, the trustees are required to: - 

- select suitable accounting policies and then apply them consistently; 

- observe the methods and principles in the Charity SORP; 

- make judgements and estimates that are reasonable and prudent; 

- state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements; 

• prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in business. 

The Trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

## _Activities_ 

In carrying out their activities, the trustees have had due regard to the Charity Commission’s guidance on public benefit. 

During the year ended 31 March 2025, the charity’s activities were significantly curtailed. This arose from a combination of health issues affecting trustee capacity and a challenging economic environment for fundraising. 

As a result, limited charitable activities were undertaken during the year.  The trustees continued to keep the charity’s objectives and previously identified needs under review but did not progress further activity during the period. 

## _Achievements, Performance and Financial Review_ 

The CIO’s principal source of income is voluntary donations. During the year, income totalled £200. 

No expenditure was incurred by the charity during the year. All costs associated with maintaining the CIO, including administrative and compliance-related matters, were met personally by the trustees and were not reimbursed by the charity. 

The trustees continue to monitor the charity’s financial position and are satisfied that adequate controls are in place despite the limited level of activity during the year. 

## _Reserves policy_ 

The trustees’ policy is to maintain sufficient unrestricted reserves to meet anticipated operational requirements. Given the current low level of activity and the absence of operational expenditure, the trustees consider the existing unrestricted reserves to be adequate and keep the reserves policy under regular review.

## _**Going concern**_ 

The trnstees have considered the charity's financial position and future plans. Although the charity's activities have been cmtailed, the chruity incmTed no expenditure during the year as all ongoing costs were met personally by the trnstees, who intend to continue this suppo1t for the foreseeable future. Accordingly, the tmstees consider it approp1iate to prepare the financial statements on a going concern basis. 

## _**Financial position**_ 

At 31 March 2025, the chruity held total funds of £1,301, of which £926 were restricted funds. Cash at bank represented the entirety of the chruity's assets, with unrestricted funds exceeding six months' notional operational requirements. 

## _**Investment policy**_ 

The trnstees' policy is to safeguru·d the cha1ity's funds by holding them in cmTent or deposit accounts with UK financial institutions. It is the trnstees' intention that all cash deposits held qualify for protection under the Financial Se1vices Compensation Scheme. 

## _**Future plans**_ 

The trnstees ru·e cmTently reviewing the future direction of the chru·ity in light of reduced activity levels, tmstee capacity, and the prevailing fundraising environment. Options under consideration include maintaining the charity in a limited or do1mant state, or ceasing activities should circumstances not improve. 

## _**Related parties**_ 

No tmstee receives any remuneration or other benefit from their work with the CIO.
