Trustees shall be appointed for a tenn of Ihree years by a resolution passed at a propedy
convened meeting of the Trustees. Any person retiriig as a Ttustee is eligible fo,. reappolntment,
although a Trustee who has ¢ompleled consecutive terms of servic& may not be roappointed
for a third term until a period of at least one year has elapsed.

be co￿Opted for shorter or fixed periods because of the particular capabilities and competences

Ratirèment and rèmoval of Trustees.

Taking of decisions by Trustees.

Delggation by Trustees
The Trustees may delegate any of their powers or funclions to a C0￿mIttee or committees,
provided that the tenns of any d81egalion rnust be recorded in the rninute book. The Trustees may
subsequently revoke or alter a delegation.

The Trustees may impose conditions when d8legating. and will always include the condition
that- la) a committee may consist of two or more persons. but at least one member of each
committee musl be a Trusiee., Ib) the relevant powers are to be exercis8d exclusively by the

Meetings of Trustees
A meeting shall be summoned on the requesl of a Trustee by giving reasonable notice lo all the
Trustees. It shall not be ne￿SSary to give notice of a meeting lo any Truslee when absent from
the United Kingdom.
At present meelings are held monthly with agreement to revise this to aliernating monlhly
meetings al an appropriate time.
Chalrlng of meetlngs
The Trustees may appoint one of their number to chair their meetings and may at 8ny time revoke
such appointment. If rnO￿ne has been so appoinled, or rf the person appointed is unwillir.g lo
preside or is not present within 10 minutes after the time of the meeting, IheTrustees present may
appoint one of Iheir number to chair that meeling.

Statement of Activitles
In its first year of operation the charib'es. activities have been undertaken in partnership wilh the
Durham Miners Assooatioll {DMA). Each activity has been underlaken in pursuance of the
charitable objects, summartsgd below.,
1. Preservation and management of the PAlners Hall, Durham.
Working in partnership with the current owners DMA Ihe charity has produced a legal transfgr
of assets document to assume ownership of the Miners, Hall and ils assooiated collections and
archive material. This asset transfer is to be ¢x)ncluded in the next year of operation.
Ajoint grant agreement b.as been issued lo DMA and the charity by National Lottery Heritage
Fund (NLH F} regarding the multi-million pound refijrbishmenl of the hall. FLJrther funding
agreements, including Durt)am County Counryl and Gatheld Weston have been agreed,
In pathership with DMA the charity has ov6rseen the preparatory works associated with this
scheme to RIBA planning stage 4 {technical design}.
A Chief Executive Officer has been appointed and a small maiagement team assembled for
the purposes of achieving the charitable objects. The team will begin work in the next financial
year,Iheir remuneration is paid via project funds from NLHF and others.
A business plan has been developed regarding the sustainable and viable ongoing operational
and financial management of the Miners Hall following refurbishment.
The Miners Hall has also been lenlalivety induded in a UNESCO serial nomination for world
heritage status. This would establish a truly global signtfiGance for the heritage of the mingrs,
hall.
2. Promotlon and provision of education. recreation and lelsure activltles for the $o¢lal
wemare of the public
Working in partnership wilh DMA and others the charty has undertaken a range ofactivilies for
Ihe above purpose..
Talks and Lectures
Trustees, DMA staff and volun'.eers have gwen talk5 and lecture5 detailing the Redhills project
and the history of the Durham M'ners Association as part of an awareness and profile-rai9ing
programme of ackn'vrLie5.
Volunteering and placements
Numerous volunteering opportu.iities have been prowded to the CA)rnmunity offering aC￿sS lo
heritage collections and archive material. Several of these volunteering opportunities have
been provided to young people not in education, employment or training, adults with learning
disabilities, students and ￿tiree$.
A number of student placements have been undertaken with beneficiaries going on to find
relevant roles in the heritage sector as a result of experience gained and references provided.
Durham Brass Festival
DMAIRedhills supported the Ix)mmissioning of an original suite of songs inspired by the history
of the Durham Miners Association by Mercury Music Prize nominees Field Music, lo be
presented at the festival in July 2022.

UK Clty of Culture Bld
Redhills was an integral part ofcounty Durham's bid to become UK City of Culture 2025,
silting on the management committee 8nd shaping the county's aspifational 'step changes,
which ultimately saw Dutham reach the final shorUi5t of four locations.

In the financial year there were no staffing costs as work was updertaken on behall of the Redhills
CIO by the Durham Miners Association (DMA2017)- Staff became employed by Redhills CIO on 1.
April 2022. Average employee numbers in the year to 31 March 2022 was O.
Trustees Remuneration
No members ofthe board oftrustees received any remuneratioy during the year. No trustee or
other person relaled to the charity receNed any personal benefit in any contract or tiansaction
entered into by tho charity during the year.
Creditors
The creditor balance relates to a loan received in the year from the Dutham Miners Association,
the balance of which has not yet been defrayed. This wlll be repaid in full in the next financial year
if funds remain unsp8nt.
Financlal Statement
There are no other entries to record in the financial statements as the only transaction was Ihe
re¢eipt of the loan staled above.
