(2) None of the income or property of NINA may be paid or transferred directly or indirectly by way of dividend, bonus or otherwise by way of profit to any member of NINA. (3) However, nothing in this clause shall prevent a NINA trustee or connected person receiving any benefit or payment which is authorised by Clause 6.

proper governance of the charity’s
grant-making in three
ways.
(a) Through grant-making principles
which ensure that, even where there
is donor or funding
partner involvement, decisions are
ultimately made collectively - by all
NINA’s trustees.
These principles, together with the
Gift Acceptance Policy and
Philanthropy Service
Agreements, clarify that funds given
are NINA’s asset, albeit with degrees
of restriction on
their use, and that, where they are
involved, donors can only recommend
grants, and not
awarding them.
(b) Through published grant-making
criteria which set out the activities the
trusteeswish to support in|

furtherance of NINA’s charitable objectives. The criteria also include activities which the trustees do not wish to support because they do not consider them to be in line with NINA’s purpose. The trustees accept that they will occasionally make grants outside published criteria, however, in all such cases, the activity supported will be charitable in the eyes of the law. (c) Through grant-making processes which set out how decisions are reached for awarding grants from different types of funds at NINA. Grant-making principles The principles which underpin the trustees’ governance of the NINA’s grant-making, take into account the scale and range of its grants and strike a balance between proper oversight of decision-making and responsive customer service for both applicants and donors. The principles are as follows; (a) The Board of trustees has ultimate collective responsibility for all grantmaking decisions in line with NINA’s charitable purposes and any restrictions agreed with donors and funding partners. (b) Trustees may delegate certain decision-making responsibilities to its sub-committees, Board members or staff within its scheme of delegation. Such delegated decisions are subject to scrutiny and review from time to time by NINA trustees. (c) NINA trustees reserve the right to apply conditions to any grant. (d) Trustees also reserve the right not to approve any recommendation or nomination if they (or those acting with their delegated authority) determine that the

which we intend to replicate across

our second fnancial year even though

Children and young people of Uganda
and Burundi were supported with
scholastic materials such as books,
pen, pencils, mathematical sets, and
transparent plastic school bags.
Although, the project in Uganda was
enabled by a well wisher who
provided us with the materials that
we supplied. All the money that was|

donations was spent on the Burundi

involvement in poor communities like
Teza – Burundi, did give the parents
of our benefciaries some breathing
space to focus on other issues such as
ensuring that there is food and
medicine in the house. In other words,
our support in terms of ensuring that
less privileged children and young
people had scholastic materials
helped keep some money in the
pockets of their parents to spend on
other essential needs.|

## **OBJECTIVES AND ACHIEVEMENTS OF NIKO NAWE:**

**CHARITY ACTIVITIES:**

Even though we were not able to rise a lot of donations in our first financial year, it was a great learning period for us – we made connections with wonderful people, we were exposed to important information along the way, we have also identified people whom we believe would love to be a part of the organisation in case we need volunteers, and most of all, we self-reflected on our approaches regarding our fundraising campaigns. As a result, we were able to raise enough funds for our projects which happened in Burundi.
## **GOVERNANCE AND MANAGEMENT:**
## OUR MEETINGS:
At Niko Nawe, we hold our board meetings four times a year. During these meetings, we discuss the previous, current, and future developments of the charity and a vote is always cast at the end of our discussions to decide on the direction we choose to take. Our previous meeting in the financial year 06/04/2022 – 05/04/2022 led to fruitful results – we managed to review our fundraising methods, we drew priorities in terms of where our intervention was needed the most and what type of help suited which society. Consequently, in our subsequent financial year we managed to run two successful projects in two countries (Uganda and Burundi).
## NEW TRUSTEES:
We intend to get more trustees on board according to the needs of the charity. Whenever we recruit new trustees/volunteers, we will make sure that they all undergo an orientation to enlighten them on their legal obligations under the charity law - operating under the guidelines of the charity constitution, the decision-making process, the recent financial performance of the charity, the recent projects, and the future developments. These new members will be encouraged to attend external training events relevant to develop their skills and gain experience relevant to their roles and responsibilities.
