## **OBJECTIVES AND ACTIVITIES** 

To advance the arts for public benefit by promoting in particular, but not exclusively, the art of Dance, and by advancing public education in the appreciation and practice of the Arts. 

Mobius Dance Group Limited is a contemporary dance company that strives to broaden the perception of what dance is, champion creative talent, & nurture audiences, using performance, screen dance, cross-artform collaborations & an education & training programme to develop cultural innovation across the North & beyond, with the following values: 

- _**Collaborative**_ – with the dance community, with other cultural organisations, with a diverse range of partners beyond the cultural sector, & with communities at the heart of our work: people local to Bradford & West Yorkshire; people from socio-economically deprived areas; members of the LGBTQ+ community; young people, esp. aged 13-25; creating intergenerational and intersectional communities 

- _**Challenging**_ – as dance advocates, leading research, creation & engagement, presenting work in different settings from stages to ateliers, from digital platforms to outdoors 

- _**Curious**_ – to stimulate change, test new ways of working, embracing people, ideas & diversity as a catalyst for learning; to provide greater opportunities, embed change and strengthen communities and outcomes 

- _**Diverse**_ – making innovative dance with, and for all kinds of people, presenting its work in different formats and contexts across England and around the world. MD has diversity embedded across all levels of the organisation, from the Board of Trustees, to the senior leadership team, to the creatives we work with, ensuring that the organisation is not only representative of the communities we work with & whose stories we tell, but also that it platforms & advocates for other backgrounds not currently represented in the local arts sector.  MD enhances the company’s understanding through engagement with people from a range of communities, backgrounds and cultures, to bring understanding & insight which informs & fosters change 

- _**Nurturing**_ - sharing MD’s passion, knowledge & resources with artists, participants, collaborators & audiences, supporting talent retention & development 

Mobius Dance creates extraordinary and inclusive dance which engages and resonates with audiences; we work with talented performers and choreographers nationally and internationally, to make dance for traditional and non-traditional spaces, indoors and outdoors, online and for the education of the public, bringing an understanding of the arts to a wider audience, who may not have engaged in the arts previously.

The trustees have had regard to the guidance contained in the Charity Commission’s general guidance on public benefit when reviewing the aims and objectives of the charity and in planning future activities. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

Mobius Dance Group Limited is a registered charity, number 1193822. The governing Memorandum and Articles of Association dated 3rd April 2020, now Articles adopted by special resolution dated 24th September 2020, as amended by special resolution and registered at Companies House on 13th March 2021. 

As a Company Limited by Guarantee & a registered charity, Mobius Dance is overseen by a Board of Trustees. They work with Artistic Director & CEO Gianluca Vincentini to deliver MD’s work & ensure MD is well-run, attending an annual Board Development Away Day, meeting quarterly to review company activity against KPI’s, reviewing the finances of MD, & offering consistent support & advice with the development & growth of Mobius Dance Group Limited. 

The Board contains the necessary skills to promote and support the work of Mobius Dance Group Limited, containing relevant industry expertise, complimented with extensive private sector experience and, critically, reflects the communities that Mobius Dance Group Limited engages. Mobius Dance Group Limited plan to further strengthen their Board, with an additional 2-4 key roles, over the next 12 months. 

## **ACHIEVEMENTS AND PERFORMANCE** 

Mobius Dance Group limited began 2023/24 year with an ambition to continue to expand on the successes of their previous years and particularly the growth experienced in their first year as a registered Charity. 

A new opportunity and collaboration with the Northern School of Contemporary Dance presented for the AD & CEO Gianluca Vincentini, back in 2022. This included a year-long employment to develop a new post-graduate course as well as the possibility to embed Mobius into international productions. In consultation with the Board of Trustees, the decision of undertaking this opportunity was of unanimously agreed. The opportunity was seen through to July 2024. 

In May 2023, we launched the beginning of the creation of _‘SEEDS, DREAMS & CONSTELLATIONS’ -_ a a new collaboration between Mobius Dance, Northern School of Contemporary Dance and Leeds 2023, Choreographed by Sharon Watson, Musician Corinne Bailey Rae. Performed by a cast of over 35 dancers drawn from Leeds-based dance companies award-winning Mobius Dance, Watson Dance Project and VERVE, the performances took place at the Riley Theatre, Leeds. This project was made possible with the generous support of Northern School of Contemporary Dance and Mobius Dance. With seed commission funding from Leeds 2023 and supported by Arts Council England. 

In October 2022, we launched the Mobius Dance Atelier Retreats. This activity has become part of our Atelier offer. A 1-day retreat series was run until June 2023, co-facilitated by Fabiano Culora and Jennifer-Lynn Crawford to a closed group of 12 people based on the relationship between Dance and

Health & Wellbeing as a way to gather resources for life.  A new ‘Atelier Retreats Leeds’ cohort (11 people) began a series in September 2023, which end in June 2024. 

In January 2024, we launched the Atelier Online. A series of online classes using somatic approaches led by facilitator Fabiano Culora, to guide people towards a better physical and psychological wellbeing. This initiative is now part of our ‘Atelier Programme’. 

In January 2024, we submitted an application to the Arts Council England - via their ‘Project Grant’ scheme - to develop a new work. This received a positive outcome in March 2024, with the project timeline starting preparation in April 2024, with creation and rehearsal to take place in summer 2024. Initially tilted Poetry in Motion, now called ‘The Long Summer Day’ is a 50 minute choreographic score developed by Co-Directors Gianluca Vincentini and Fabiano Culora, with four dancers, Musician Otis Jones, and award-winning Poet Andrew McMillan. 

## **FUTURE DEVELOPMENTS FINANCIAL REVIEW** 

Due to having minimal fixed assets, requiring little maintenance and minimal business overheads, the Trustees agree the current reserves are sufficient to cover the organisation’s committed overheads for the coming year. 

An improvement on our reserves has been achieved this year, with movement from £11,887 to £22,726. 

The current reserves policy is to only spend against committed Funding and Income from commissions, with an aim to build a reserve that would allow our core operating expenses to be maintained for between 3 to 6 months. 

Due to having minimal fixes assets, requiring little maintenance and minimal business overheads, the Trustees agree the current reserves are sufficient to cover the organisation’s committed overheads for the coming year. 

No funds are in deficit from our pre-Covid reserve positions.

## **STATEMENT OF TRUSTEES’ RESPONSIBILITIES** 

The charity trustees are responsible for preparing a trustees' annual report and financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). 

The law applicable to charities in England and Wales requires the charity trustees to prepare financial statements for each year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, of the charity for that period. In preparing the financial statements, the trustees are required to: 

• select suitable accounting policies and then apply them consistently; 

• observe the methods and principles in the applicable Charities SORP; 

• make judgements and estimates that are reasonable and prudent; 

• state whether applicable accounting standards have been followed, subject to any material departures that must be disclosed and explained in the financial statements; 

• prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business. 

The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and to enable them to ensure that the financial statements comply with the Charities Act 2011, the applicable Charities (Accounts and Reports) Regulations, and the provisions of the trust deed. They are also responsible for safeguarding the assets of the charity and taking reasonable steps for the prevention and detection of fraud and other irregularities.

I report to the trustees on my examination of the accounts of the above Company for the year ended 30 April 2024. 

**Responsibilities and** As the charity's trustees of the Company (and also its directors), you are **basis of report** responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (“the Act”). 

Having satisfied myself that the accounts of the company are not required to be audited under part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

**Independent** I have completed my examination.  I confirm that no material matters have **examiner's statement** come to my attention in connection with the examination which gives me cause to believe that in, any material respect: 

- the accounting records were not kept in accordance with section 130 of the Charities Act; or 

- the accounts did not accord with the accounting records; or 

- the accounts did not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair’ view which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the period ended 30 April 2024. 

The members have not required the company to obtain an audit of its financial statements for the period ended 30 April 2024 in accordance with Section 476 of the Companies Act 2006. The trustees acknowledge their responsibilities for 

- (a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and 

- (b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit  for  each financial year in accordance with the requirements of Sections 394 and 305 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company. 

These financial statements have been prepared in accordance with the provisions applicable to charitable companies subject to the small companies’ regime.

## **1. GENERAL INFORMATION** 

Mobius Dance Group Limited is a charitable company, limited by guarantee, incorporated in England and Wales under the company number 12546073 and charity number 1193822. 

## **2. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)’, Financial Reporting Standard 102 ’The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Charities Act 2011. The financial statements have been prepared under the historical cost convention. 

## **Going concern** 

The financial statements have been prepared on a going concern basis. The Trustees have reviewed and considered relevant information in making their assessment. Based on these assessments, the Trustees have concluded that they can continue to adopt the going concern basis in preparing the annual report and accounts. 

## **Company status** 

The company is a company limited by guarantee. The members of the company are the Trustees named on page 1. In the event of the company being wound up, the liability in respect of the guarantee is limited to £1 per member of the company. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

Donated services or facilities are recognised when the company has control over the item, any conditions associated with the donated item have been met, the receipt of economic benefit from the use of the company of the item is probable and that economic benefit can be measured reliably. In accordance with the Charities SORP (FRS 102), the general volunteer time of the volunteers is not recognised and refer to the Trustees' report for more information about their contribution. 

On receipt, donated professional services and donated facilities are recognised on the basis of the value of the gift to the company which is the amount the company would have been willing to pay to obtain services or facilities of equivalent economic benefit on the open market; a corresponding amount is then recognised in expenditure in the period of receipt. 

## **Income** 

Income tax recoverable in relation to investment income is recognised at the time the investment income is receivable. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Charitable activities are support costs and costs relating to the governance of the company apportioned to charitable activities. 

All expenditure is inclusive of irrecoverable VAT. 

## **Tangible fixed assets** 

Tangible fixed assets are carried at cost. 

Depreciation is provided at rates calculated to write off the cost of fixed assets, less their estimated residual value, over their expected useful lives on the following bases: 

Equipment - 20% straight line basis 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **Pension costs and other post-retirement benefits** 

The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company’s pension scheme are charged to the Statement of Financial Activities in the period to which they relate. 

## **Debtors** 

Short term debtors are measured at transaction price, less any impairment. 

## **Cash and cash equivalents** 

Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to  known amounts of cash with insignificant risk of change in value. 

## **Creditors** 

Short term creditors are measured at the transaction price. 

## **Functional and presentation currency** 

The company's functional and presentational currency is GBP (£).
