The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30 September 2022. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
OBJECTIVES AND ACTIVITIES
Objectives and aims
Our main activities and who we serve as an organisation are described below. All our charitable activities focus on building an environmentally sustainable visual arts sector, to further our charitable purposes for the public benefit.
We have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing our aims and objectives and in planning our future activities. In particular, the trustees consider how planned activities will contribute to the aims and objectives they have set.
Public benefit
The goal of GCC is to facilitate the decarbonisation of the visual art sector and promote near zero-waste practices. The trustees confirm that they have referred to the Charity Commission's guidance on public benefit when reviewing the Trust's aims and objectives and in planning future activities.

ACHIEVEMENT AND PERFORMANCE Charitable activities
Gallery Climate Coalition (GCC) has evolved from an informal collective and now operates as a quickly growing international charity and coalition, employing 3 full time members of staff (in addition to several regular part time freelancers) and serving over 800 members across 40 countries, made up of artists, museums, non-profits, art sector businesses and commercial galleries.
From October 2022, GCC has been operating publicly as an environmental charity and membership organisation for two years. GCC's initial strategy was to raise awareness about sector-specific impacts, build a community and provide relevant resources to help members implement effective changes needed to create an environmentally responsible art world. This stage has proved successful, but GCC's 2030 targets are rapidly approaching and effective action is more urgent than ever. As such, 2022 marked a change in strategy, from resource provision and raising awareness to one based on tangible action/lobbying.
2022 Achievements;

Membership grown to 800+ members across 40 countries

Raised £5.5m+ for ClientEarth through Artist's for ClientEarth auction collaboration with Christie's

Launched the Sustainable Shipping Campaign

Successfully lobbied insurers to develop best practice guidelines for insurance of artwork travelling via sea freight, in collaboration with representatives of Lloyd's Market Association (LMA) Joint Specie Committee

Introduced a new system for Standardising Emissions Data for Shipping Quotations and Invoices, to guide all players in the sector (galleries, artists, collectors etc) towards the companies offering products and services in line with GCC reduction targets.

FINANCIAL REVIEW
Financial position
The balance held as unrestricted funds at 30 September was £230,452 (2021 £52,490.00).
Based on the above, going concern is not considered an issue for GCC.
Principal funding sources
Our principle source of funding is through donations from the charity's membership and Supporters Circle.
In 2022, GCC received a $50,000 research grant from the US based Tieger Foundation.
Other sources of funding include that from event ticket sales and through a charitable art auction series. These funds were spent on office rent during the period of 21-22.
Investment policy and objectives
We do not currently consider the investment of surplus funds to be appropriate at this point of time. This will continue to be reviewed.
Reserves policy
GCC maintains free reserves in unrestricted funds of £70,000 which equates to approximately 3 months of unrestricted charitable expenditure. The trustees consider that this will provide sufficient funds to continue the payment of employees and fulfil further financial obligations for a minimum of 3 months.
The intended expenditure for the remaining allocated reserves are outlined in the 22-23 budget.
Principal risks and uncertainties
Through the charity's risk management procedures it has considered its principle risks and areas of uncertainty and planned mitigating action wherever possible. The key areas of risk identified by the Trustees are:

STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006.
Recruitment and appointment of new trustees
Trustees were recruited from the original group of founders, who had been part of the organisation's original conception and creation. In 2022 the group of trustees expanded, appointing 2 new positions to the board, to include a broader range of experiences based on the charities' changing needs.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Organisational structure
As of 30 September 2022, GCC had three full time team members, several regular freelance contributors and numerous volunteers (comprising some of GCC's members).
In addition to the full time team (Managing Director - Heath Lowndes, Project Manager - Aoife Fannin and Membership and Fundraising Coordinator - Poppy Paulus-Nicolas) GCC employs Victoria Siddall (permission granted by Charities Commission for a trustee to engage in paid work for the charity) in an Executive Consultant role one day a week.
Other regular freelancers such as environmental advisors and editorial contributors provided support and on a project-by-project basis. Occasionally GCC receives pro-bono support from individuals or organisations for specific services such as design or press & communications.
Key management remuneration
The total remuneration of key management personnel in 2022 (including salaries and other benefits) was £71,170 (2021 £26,587).
This report has been prepared in accordance with the special provisions of Part 15 of the Companies Act 2006 relating to small companies.

Independent examiner's report to the trustees of Gallery Climate Coalition ('the Company')
I report to the charity trustees on my examination of the accounts of the Company for the year ended 30 September 2022.
Responsibilities and basis of report
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.
Independent examiner's statement
Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a member of the Institute of Chartered Accountants in England and Wales, which is one of the listed bodies.
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or
-
the accounts do not accord with those records; or
-
the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
-
the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 30 September 2022.
The members have not required the company to obtain an audit of its financial statements for the year ended 30 September 2022 in accordance with Section 476 of the Companies Act 2006.
The trustees acknowledge their responsibilities for

(a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and

(b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.

1. ACCOUNTING POLICIES
Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.
Income
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.
Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.
Patents and licences
Trademarks are amortised on a straight line basis over 10 years.
Computer equipment
Depreciation is charged on a straight line basis over 3 years.
Taxation
The charity is exempt from corporation tax on its charitable activities.
Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.
Foreign currencies
Assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are taken into account in arriving at the operating result.
Pension costs and other post-retirement benefits
The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.

Gallery Climate Coalition is a company Limited by Guarantee and has no share capital. In the event of the charity being wound up, the liability in respect of the guarantee is limited to £10 per member of the charity.
