## **Constitution** 

The company is incorporated under the Companies Act, company number 08816616 and its governing document is its Memorandum and Articles of Association. The company is a registered charity, number 1193681. 

## **Directors and trustees** 

The directors of the charitable company ("the charity") are its trustees for the purpose of charity law and throughout this report are collectively referred to as the trustees. 

As set out in the Articles of Association the trustees are appointed by members of Lost Dog Dance Ltd at our Annual General Meeting (AGM) or by postal vote. One third of the members of the board of trustees must stand down at each AGM, and members are eligible for re-election for a maximum of six years, after which they must stand down for a minimum of one year. 

Policies and procedures adopted for the induction and training of trustees are ongoing and incorporated indirectly into the regular trustees meetings.

## **Trustee’s Report** 

The trustees are pleased to present their annual directors’ report together with the financial statements for the year ending 31 December 2024 which are also prepared to meet the requirements for a directors’ report and accounts for the Companies Act purposes. 

The legal and administrative information set out above forms part of this report. The financial statements comply with the Charities Act 2011, the Companies Act 2006, The Memorandum and Articles of Association, and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Report Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **Objectives and Activities** 

Lost Dog aims, for the public benefit, to advance education in and knowledge, understanding and appreciation of, contemporary dance. In particular, but not exclusively, by developing and producing live public performances and related workshops and masterclasses. 

Lost Dog’s main activities for the public benefit are to: 

1. Create and tour high quality, universally moving and entertaining dance theatre productions. 

2. Undertake workshops, residencies and mentoring to support and strengthen the dance/theatre sector. 3. Deliver commissions and collaborations in partnership with other organisations in the cultural, commercial and HE Sector that extend our reach and the diversity of the people that engage with our work. 

In shaping our objectives for the year and planning our activities, the Trustees have considered the Charity Commission's guidance on public benefit, including the guidance 'public benefit: running a charity (PB2)'. 

Lost Dog Dance Limited (Lost Dog) is a dance theatre company led by award winning director/choreographer Ben Duke. Since 2014 we have created and toured small and mid-scale shows that consistently defy categorisation. Led by a strong narrative and frequently based on well-known books, stories or plays, Lost Dog’s work incorporates elements of dance, theatre, comedy, clowning and circus and finds its audiences in venues of all sizes. 

The company is made up of three core team members – Ben Duke (Artistic Director), Daisy Drury (Executive Producer) and Emma Evans (Producer). In order to deliver our work both on stage and off we rely on a large pool of loyal and talented freelance performers, creatives and theatre practitioners. 

## **Company Values** 

Lost Dog aims to create and tour excellent shows widely and well - with consideration for the planet, care for our staff and performers and generosity towards our audiences. We treasure and celebrate the temporary community that is created when people share time, space and air in a theatre - whether that theatre is a village hall or a major metropolitan opera house. 

## **Overview of the Year** 

The low-key planning and fundraising of 2023 paid dividends in 2024 which, thanks to a successful Arts Council Project Lottery Grant, saw Lost Dog on the road again.  We toured, both overseas and in the UK, with three productions that showcased our ability to work across scales – _Juliet & Romeo_ , _Ruination_ and _Paradise Lost (lies unopened beside me)_ . We continued to collaborate with other companies and venues on new projects and we extended our Residency programme to create a follow-up Part 2 offer for previous participants.

## **AIM 1: Creation, Touring and Performance** 

## _Juliet & Romeo_ 

After more than 4 years of planning with our North American Tour Booker – Laura Colby from Elsie Management - Lost Dog finally made a North American debut with a short 5 show, 2 venue tour to Duke University, North Carolina and Stanford University, California. The company was warmly received by audiences, staff and students at both universities and the run on each campus was accompanied by a programme of workshops and seminars for graduate and undergraduate students. With the support of Duke University we were able to future-proof our touring plans by having a new North American set built.  Currently stored at the University of Arizona in Tucson, we expect to have it out of its wrapping for further touring in Canada and the US in 2026. 

In May 2024 _Juliet & Romeo_ followed in the footsteps of _Paradise Lost (lies unopened beside me)_ and _A Tale of Two Cities_ with a week-long run at Théâtre de la Ville (Des Abbesses) in Paris.  Parisian audiences have truly taken Lost Dog’s work to heart and we are immensely grateful to Claire Verlet and her team for their fierce loyalty and continued support for Ben and the company.  Despite the show’s roaring success, the week was tinged with sadness as both Solène Weinachter – co-creator, collaborator and our original Juliet – and Kip Johnson – who took over the role of Romeo from Ben in 2020 – stepped away from the therapist’s chairs for good.  Back in March 2020 we were in the final days of rehearsal before setting off on tour when lockdown descended and the team scattered across Europe. It would be 18 months before we were able to get the show back on stage. So when their final performance together - 4 years, 38 shows and 7 countries in 4 continents later – ended with a sold-out standing ovation it was a fitting tribute to their talent, teamwork and resilience. 

## _Ruination_ 

Nascent plans to create a touring version of Ruination were fast-tracked in January 2024 when we received an invitation from Sir Wayne Macgregor to present the show at the Teatro Malibran as part of the 2024 Venice Dance Biennale. We are so grateful to the whole Ruination team who came back together at short notice to make the most of this opportunity. The creative team re-imagined the show outside of the Linbury which, given its semi site-specific design, was not straightforward. The cast and stage management team got the show back up on its feet in just a week of rehearsals. Our Production Manager worked hard negotiating the logistics of transport and tech and, when the time came, our set was floated into Venice on a barge before being unloaded directly from the water onto the back of the stage. It’s possible that there’s something a bit foolish about trying to present a great show against the backdrop of the most beautiful and dramatic city in the world and rebuilding our most ambitious show in such a short space of time and at such a high-profile festival was not without its challenges. But the team rose brilliantly to them and gave audiences in Venice two unforgettable evenings of world-class dance theatre. 

Six months later, they were reunited again for the show’s return to its home in the Linbury Theatre at the Royal Opera House for a 6-week Christmas run.  The opportunity to revisit a show over such a long run (27 performances) in one place with the complete original cast is rare and we must acknowledge the support of Kevin O’Hare, Emma Southworth, Rhiannon Savill and Hannah Mayhew and the whole team at the Royal Opera House that made this possible.  The show, and every individual performance in it, has become richer and stronger as a consequence and we are delighted that Hannah Shepherd’s powerful performance as Medea has been acknowledged by a 2024 National Dance Award Nomination.

## **Trustee’s Report** 

## _Paradise Lost (lies unopened beside me)_ 

- A plan to recast and remount our 2014 hit solo show – _Paradise Lost (lies unopened beside me)_ was a pillar of our successful Arts Council Project Lottery Grant. The tour enabled us to reconnect with audiences in small scale and rural touring venues that we had not visited since 2019.  We also used the remounting process to work in new ways and with new collaborators. Director Lucy Morrison joined us to work with Ben on the difficult process of mounting a deeply personal solo show on another performer and, for the first time, we engaged the services of a casting director – Arthur Carrington – to help us find an artist with the right combination of movement and acting skills. In June 2024 we announced that the role of God/Father would be played by Olivier Award nominated actor, Sharif Afifi.  Rehearsals took place at Laughton Lodge in September 2024. 

The autumn tour kicked off at artsdepot, London, to a sold-out audience and went on to visit 18 small-scale venues in the South East and South West in collaboration with House theatre network and the Rural Touring Dance Initiative. Overall Paradise Lost achieved the highest audience numbers of any house network show in 2024 and we received some wonderful audience feedback. 

_“I loved this play. I thought the actor’s range and breadth of skills and the quality of his dance was amazing . I found it elegant, moving and funny. The Eve-post-Apple dance was brilliant. Merely sitting and clapping felt inadequate as an audience response - massive congrats to all involved.”_ 

_“Wow, the performance had a bit of everything: comedy, drama & visually impactful. I feel inspired by how the story is written. What a wonderfulshow!”_ 

Prior to the remount work Ben was delighted to fulfil a long standing (covid-postponed) commitment to Cork Midsummer Festival with two performances in June 2024. 

## **AIM 2: Workshops and Mentoring** 

## _Residencies_ 

We hosted two Residencies at Laughton Lodge this year, one of which was our first ‘Part 2’ residency which was specifically aimed at those who had participated in a previous residency to be able to go deeper into the Lost Dog process. Both residencies ran smoothly thanks to the delivery team and Residency Coordinators Jules Young and Mason Pretorius. 

## _Sector Support /Mentoring_ 

Across the year Ben Duke/Lost Dog supported 5 artists through shadowing, mentoring time and dramaturgical support.  This figure is lower than in previous years and is caused by a range of factors including team availability now that we are back on tour again and the increased competition for ACE Developing Your Creative Practice funding which has underpinned much of our recent mentoring work. Lost Dog’s Producer continued to support and advise independent artists particularly through reading and editing fundraising applications. 

## **AIM 3: Partnerships and Collaborations** 

## _Death Trap_ 

After the separate successes of both _Cerberus_ and _Goat,_ Rambert invited Ben to bring both pieces together into a single evening of work entitled _Death Trap_ which, between October 2023 and April 2024, toured to York, London, Bath, Brighton, Truro, Southampton, Aberdeen, Cardiff, Salford, Newcastle, Paris reaching audiences of 22,983 across 31 performances

_“Death Trap, Rambert’s double bill of works by Ben Duke, is a tragicomic knockout. Cerberus and the 2017 work Goat both set baffled, very human characters against death, grief, the horrors of the world. They’re full of games that become painfully real.”_ The Independent 

## _White Hare_ 

Commissioned for Sadlers Wells’ Elixir Festival for and by Older People, _White Hare_ featured a couple confronting and attempting to survive an impending apocalypse caused by the invasion of a giant tortoise (played live on stage by Tipple, the Duke family tortoise).  With designs by Delia Peel and lighting by Jackie Shemesh, the piece was presented for a one-off performance on the Sadlers’ Wells main stage on 14 April 2024 in a triple bill alongside Germaine Acogny and Louise Lecavalier. 

## _Chunky Jewellery_ 

In 2021, during the depths of the pandemic, Ben was invited to work with Scottish artists Natasha Gilmore and Jude Williams on this new piece for Barrowland Ballet.  The show finally premiered at Tramway in Glasgow in March 2024 and was described as _‘genuinely moving and life-affirming_ ’ in The Herald.  The team at Barrowland Ballet plan to remount the show for further performances and a run at the Edinburgh Fringe in Spring/Summer 2025. 

Outside of the work specifically associated with production we wish to acknowledge here our ongoing partnerships with: Joanna Dong from Performance Infinity (Tour Booking – China), Laura Colby and her team at Elsie Management (Tour Booking North America), Christina Elliott, Eddie Nixon and Courtney Beadle at The Place (Rural Touring Dance Initiative), Mark Makin at House Theatre Network, 

## **Audiences and Evaluation** 

Across the year Lost Dog’s work reached 13,966 people, of which 9,973 were in the UK and 3,993 were overseas. Across the year our shows achieved average sales of 77% which was well above our target of 65%. Most notably our small-scale tour of _Paradise Lost (lies unopened beside me)_ in the South East in collaboration with House Network secured an average attendance of 67% and was the best-selling show in the programme for that season. 

Once again, our audience figures were boosted by the significant marketing resources mobilised by the Royal Opera House for our second run of _Ruination_ .  Across 27 shows we achieved a total audience of 8,642, 83% capacity.  The ROH team found that the week before Christmas was significantly quieter than in 2022, although all the post-Christmas shows then Sold Out. Audience data analysis indicates that _Ruination_ brought a newer, younger audience to the Royal Opera House. There was a much larger than average number of First Time Bookers (38.6% against a usual average of 26.6%) and 66% of audiences aged 16-25 were first time bookers. 

Online, thanks to our increased touring activity, our website views increased by 74% on the previous year. Our Social Media presence is always boosted by our runs at the Royal Opera House and this year proved no exception with our follows on FB and Instagram increasing by 1,200 (20%) across the year. 

## **Access** 

Ensuring our work is accessible to everyone remains a priority.  All our touring is accompanied by a package of support to help venues make their programmes as accessible as possible for people who experience barriers. For _Paradise Lost (lied unopened beside me)_ we included captioned and British Sign Language Interpreted performances throughout the tour. Additionally, we created a slate of accessible marketing materials for access audiences, ensuring they were able to engage with the production at every stage.

## **Trustee’s Report** 

Take up of our access offer in very small or volunteer run organisations is low, however, due to limited capacity and resources within the organisation to engage with the hard to reach audiences that would benefit from this offer. 

The run of _Ruination_ at the Linbury Theatre involved a BSL Consultant who supported Katie Fenwick in developing the integrated interpretation of the production. There were 4 BSL, captioned or Audio Described performances across the 27 show run and one full relaxed performance – only the third ever relaxed performance in the Linbury Theatre. 

## **Climate Careful Touring** 

This year, following the pattern set in previous years, earned income from international touring (£99,019) was nearly double fees earned from touring in the UK (£50,420).  The increased demand for our work overseas is cause for celebration but must be accompanied by a clear understanding of the environmental costs – especially where touring involves long-haul (6 hour plus) international flights. Data gathered across the touring programmes in 2024 and 2025 will allow us to benchmark our environmental impact and develop a touring strategy that will support our ambition for Climate Careful touring. While we build the data picture across 2024/25 the measures we have taken this year to reduce the environmental impact of our touring activity include: 

- Building a states-side set for _Juliet & Romeo_ to reduce freight distances. The set is now in storage in Tucson, Arizona and will be used again for further North American touring in 2026. 

- Land transport as opposed to air freight when moving in-country. 

- Self-drive transit vans used on UK and European tours with at least two (out of five) team members travelling in the van. 

- A focus on creating high quality digital marketing assets and downloadable Freesheets instead of print. 

- - A commitment record environmental data in our Annual Reports. 

## **Fundraising** 

Thanks to Match Funding from one of our regular donors, Lost Dog took part in the 2024 Big Give Christmas Challenge in which all new donations made to the organisation between 3 and 10 December were matched, initially by our donors and then subsequently by Champion Funding from The Reed Foundation.  We promoted the fundraising drive through our Social Media channels, two dedicated newsletters and on our website.  Thanks to the generosity of 43 donors we exceeded our £10,000 target and raised a total of £11,411 (including Gift Aid).

## **Board Update** 

Emily Gray, our longest serving trustee, and Alvin Ittoo stepped down from the Board in 2024. The remaining Board Members and the Lost Dog team would like to express their profound thanks for the vital contributions and support that both trustees have provided over the years. A search for up to 3 new Board Members was launched in Autumn 2024 with the aim of having a full board of 7 members in place by June 2025. 

## **Financial Review** 

In 2024 there are incoming resources of £289,733 (2023: £132,554) and outgoing resources of £314,115 (2023: £117,623). The Trustees note that the year’s turnover has returned to the same level as 2022 which is in line with their expectation around a non-producing year (2023) and a producing year (2024). The deficit of £24,382 is also in line with expectations and reflects the cashflow generated by a large Arts Council Project Lottery Grant that crosses the year end. The deficit will be recouped through Theatre Tax Relief and further earned income from touring in 2025. 

## _Reserves Policy_ 

The trustees have considered the charity’s requirements for reserves. In light of the main risks to the organisation as detailed below the board believes that the appropriate level of free reserves should be a minimum of £36,000 – equivalent to 3 months of overhead costs. These reserves are designated in the accounts as an Operational Fund. In 2024 some of these funds have been utilised in order to cashflow. These reserves will be replenished through income from future touring. 

## _Major Risks_ 

At quarterly board meetings the trustees review and update a Risk Register which outlines the major risks to the company and the systems put in place to mitigate these risks. The main areas of identified risks and mitigations are: 

- The lack of core funding which means that planning is driven by financial security rather than longterm strategic goals. This risk is mitigated by robust control measures by the core team and regular oversight by the Board. 

- International touring remains a key income stream for us and this carries greater risks – financial, political, physical – than domestic touring. To mitigate this risk we work with reputable partners with good local knowledge, we tour to a number of different countries and continents and we tour a breadth of work that can deliver on different scales. 

- Team Capacity - Lost Dog’s business model relies on keeping our overheads to a minimum, retaining a core team of three people and working with a wide network of freelancers to deliver projects. The trustees have identified that the core team is working at capacity and that if one of them were to fall ill or be unable to work then the financial health of the organisation would suffer. The trustees are mitigating this risk by ensuring that all project budgets contain an appropriate level of additional freelance support and that the core team are able to take breaks and holidays as required.

## _Organisation and Structure_ 

The board of trustees administers the charity. The main business of the board is conducted through quarterly board meetings but these are frequently interspersed with one to one meetings with individual board members when matters related to their individual expertise arise. Responsibility for the day-to-day running of the organisation is delegated to the Artistic Director and Executive Producer, within the terms of delegation approved by the trustees, on matters of management, creative output, finance and HR. 

## **Small Company Exemptions** 

The above report has been prepared in accordance with the special provisions relating to companies subject to the small companies regime within Part 15 of the Companies Act 2006.

I report on the accounts of the charity for the year ended 31 December 2024, which are set out on pages 10 to 20. 

## **Respective responsibilities of trustees and examiner** 

The trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the accounts. The trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. The charity's gross income exceeded £250,000 and I am qualified to undertake the examination by being a qualified member of the Association of Chartered Certified Accountants. 

Having satisfied myself that the charity is not subject to an audit under company law and is eligible for independent examination, it is my responsibility to: 

ꞏ examine the accounts under section 145 of the 2011 Act; 

ꞏ follow the procedures laid down in the general Directions given by the Charity Commission (under section 145(5)(b) of the 2011 Act; and 

ꞏ state whether particular matters have come to my attention. 

## **Basis of independent examiner's statement** 

My examination was carried out in accordance with general Directions given by the Charity Commission.  An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records.  It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters.  The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a "true and fair view" and the report is limited to those matters set out in the statement below. 

## **Independent examiner's statement** 

In connection with my examination, no matter has come to my attention 

1. which gives me reasonable cause to believe that in, any material respect, the requirements: ꞏ to keep accounting records in accordance with section 386 of the Companies Act 2006; and

## **1. Accounting policies** 

## **1.1. Basis of preparing the financial statements** 

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice (issued in October 2019) applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019) - (Charities SORP (FRS 102)), and the Companies Act 2006. 

The charity meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy note(s). 

## **1.2. Preparation of the accounts on a going concern basis.** 

The company is dependent on the continued support of grant aiding bodies. The trustees believe that the company will continue to receive this support and accordingly consider that it is appropriate to prepare the financial statements on the going concern basis. 

## **1.3. Incoming resources** 

All incoming resources are included in the Statement of Financial Activities when: 

- the charity is legally entitled to the funds 

- any performance conditions attached to the income have been met or are fully within the control of the charity 

- there is sufficient certainty that receipt of the income is considered probable 

- the amount can be reliably measured 

## **- Donations and legacies** 

Grants/donations are recognised in incoming resources in the year in which they are receivable, except as follows: 

- when donors specify that grants/donations given to the charity must be used in future accounting periods, the income is deferred until those periods 

- when donors impose conditions which have to be fulfilled before the charity becomes entitled to use such income, the income is deferred and not included in incoming resources until the preconditions for use are met. 

## **- Charitable activities** 

Theatre - income from box office, performance fees and sundry other theatrical income is included in incoming resources in the period in which the relevant show takes place. 

Project specific funding - when donors specify that donations and grants are for particular restricted purposes, which do not amount to pre-conditions regarding entitlement, this income is included in incoming resources of restricted funds when receivable. 

## **- Investment income** 

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the charity; this is normally upon notification of the interest paid or payable by the Bank.

## **1.4. Expenditure** 

All expenditure is included on an accruals basis inclusive of any VAT which cannot be recovered and is recognised when: 

- there is a legal or constructive obligation to make a payment 

- it is probable that settlement will be required 

- the amount of the obligation can be measured reliably 

## **- Costs of raising funds** 

Costs incurred in attracting donations, and those incurred in trading activities that raise funds. 

## **- Charitable activities** 

Theatre - costs incurred in production and running of productions toured in the year. 

## **- Support costs** 

The administrative and overhead costs associated with running the office from which the company operates as well as governance costs. Support costs are wholly attributable to theatre production costs. 

## **- Governance costs** 

Costs associated with the constitutional and statutory requirements of the charity. 

## **1.5. Fund accounting** 

Funds held by the charity are either: 

- Unrestricted general funds - these are funds which can be used in accordance with the charitable objects at the discretion of the trustees. 

- Designated funds - these are unrestricted funds of the charity which the trustees have decided at their discretion to set aside to use for a specific purpose. 

- Restricted funds - these are funds that can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **1.6. Tangible fixed assets and depreciation** 

Individual fixed assets costing £1,000 or more are capitalised at cost. 

Depreciation is provided at annual rates calculated to write off the cost less residual value of each asset over its expected useful life, as follows:

## **1.7. Debtors** 

Trade and other debtors are recognised at the settlement amount due after any trade discount offered. Prepayments are valued at the amount prepaid after taking account of any trade discounts due.

## **1.8. Cash at bank and in hand** 

- Cash at bank and in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account. 

## **1.9. Creditors and provisions** 

Creditors and provisions are recognised where the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognised at their settlement amount after allowing for any trade discounts due. 

## **1.10. Financial Instruments** 

The charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value, and subsequently measured at their settlement value (with the exception of bank loans which are subsequently measured at amortised cost using the effective interest method). 

## **1.11. Significant Accounting Estimates and Judgements** 

In determining the carrying amounts of certain assets and liabilities, the charity makes assumptions of the effects of uncertain future events on those assets and liabilities at the balance sheet date. The charity's estimates and assumptions are based on historical experience and expectation of future events and are reviewed annually. 

## **2. Incoming resources** 

The percentage of income for the year which derived from outside the UK was 34% (2023 - 35%).
