## **REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31 DECEMBER 2024**
Vache Baroque presents its report and the audited financial statements as a charitable incorporated organisation (CIO) for the charity’s year ended 31 December 2024.
Vache Baroque is a charitable incorporated organisation (CIO) registered with the Charity Commission. The charity number, principal addresses and details of professional advisors are included in the administrative information on page 1.
## **Constitution and objectives**
Vache Baroque is constituted under a trust deed dated 3 January 2021.
The charity’s objectives are, for the public benefit, to:
1. Advance the arts and the education of the public by promoting and advancing the appreciation and enjoyment of music of the baroque era, including by means of (but not limited to) the running of an annual festival of baroque music and/or related art forms.
2. Establish associated educational programmes.
## **Our Mission**
We are Vache Baroque: professional musicians on a mission to connect a younger and more diverse range of people to the amazing power of Baroque music. We are an award-winning UK charity producing critically-acclaimed music and drama projects. From operas and concerts to children’s shows and youth residencies, we are passionate about creating dynamic, impactful, and unexpected experiences for all to enjoy. We give special focus to offering young and disadvantaged people opportunities to participate alongside leading professionals.
## **Our Vision**
Our vision is to see the diversity in the UK’s population clearly represented in our audiences, artistic personnel, core team, and board; to tour our projects around the UK; to host residencies and courses with subsidised/free places for socially and economically disadvantaged young people and adults; and to build up an online educational resource portal for the teaching, study, and enjoyment of art forms connected to Vache Baroque.
## **Our Values**
We believe music should be for everyone. We believe everyone should have the opportunity to encounter and engage with it. We believe that creativity and cultural engagement improve the health and wellbeing of people and their communities. We therefore strive to bring people together to participate in and experience arts and culture in new and exciting ways. We support people to nurture a lasting relationship with Baroque music and opera. We work in partnership with schools and frontline charities, drawing on their experience, connection and understanding to inform and inspire our artistic programme and audience development plans. We reserve approximately 20% of our total seating capacity for accessible tickets through targeted schemes. We provide most outreach and education projects free of charge to participants. Our community outreach and education programmes are integrated into our artistic projects. We work towards clear outcomes in order to have an impact on vulnerable and marginalised groups. We believe our projects can inspire, empower, and transform lives.

## **2024 IN NUMBERS**
This year we welcomed approximately **1,640 audience members** across **21 live performances** . We worked with **1011 children** and **132 adults** from diverse backgrounds across our education and outreach projects, including **9 congenitally deafblind young people** and **11 hospital patients** facing life-changing spinal injuries. We engaged **94 freelance creatives** and won our first award for _Visionaries_ : “Best cultural collaboration” at the 2024 Bucks Spark Awards.
## **Charitable activities**
This year we produced our fourth Summer Opera festival while continuing to expand our programme of year-round performances, as well as our education and outreach work. We established new creative partnerships, launched new placemaking projects, developed our youth engagement work, toured further afield, and started working with young people with SEND. We continue to be very grateful to all the private individuals, trusts, foundations, volunteers, and other organisations who have made our work this year possible. In 2024, Vache Baroque carried out the following charitable activities:
## **ARTISTIC PERFORMANCE PROJECTS (2)**
## _**1. Visionaries: a multi-sensory experience**_
_Visionaries_ was our June 2024 project celebrating the creativity of people who lived and live with blindness. 6 public performances of **G. F. Handel’s** _**L’Allegro**_ (part 1 of his HWV 55 pastoral ode based on the poetry of **John Milton** ) took place inside the hall of The Vache. 5 singers, 9 players and 4 dancerguides took over 150 audience members on a unique concert journey. Sighted participants were invited to put on blindfolds and enter into an immersive world of smell, touch, taste, movement, and surround-sound music. This project was co-devised and co-produced with **Milton’s Cottage** and **Bittersuite** . Key supporters included **GuideDogs UK** volunteers, who advised and trained our team, and **Kevin Carey, RNIB exchairman** , who helped to curate a series of investigative and informative pre-show exhibits, including a series of touch sculptures and examples of braille music notation.
This project was generously funded by **The Rothschild Foundation** , **Buckinghamshire Council** and **The Arts Society - Vale of Aylesbury** . We are continuing to develop the outreach strand of this project as part of our work with young people with SEND. We are also seeking future performance opportunities as part of our core ambition to tour our work across the UK.

## **2. G. B. Pergolesi’s opera** _**L’Olimpiade**_
This was our fourth opera festival at The Vache in Bucks; 4 evening performances, as well as our first ‘relaxed’ adaptation, took place 31 August - 8 September. This Metastasio libretto was set to music by over fifty composers, making it one of the most popular in opera history. Based on the story of the ‘Trial of the Suitors’ by the ancient Greek historian Herodotus, it has all the materials necessary for a work of high drama - loyal friends, crossed lovers, secret backstories, deception, disguise, and possible ruin. A cast of 7 singers and an orchestra of 16 players received praise from audiences and critics alike for these performances of Pergolesi’s thrilling Italian arias within a newly commissioned English script from writerdirector Laura Attridge.
Audiences were welcomed into the grounds from 3pm each day to picnic and enjoy sports-themed activities and sound installations, before the opera. From archery and BMX to skateboarding, radio

controlled boats and egg-and-spoon races, this was a playful invitation to celebrate sport in the wake of the Paris 2024 Olympic and Paralympic Games. We were particularly excited that the **National Paralympic Heritage Trust** and **Wycombe Wanderers Foundation** joined us to demonstrate Boccia and Football respectively.
This project was generously funded by a number of private individuals; our first ‘relaxed’ performance was made possible thanks to support from the **Denham, Gerrards Cross and The Chalfonts Community Board** . We integrated several strands of our education and outreach work into this opera production, ensuring that our flagship project reached participants and audiences who face significant barriers to involvement in the arts, particularly classical music.

## **TOURING AND SMALLER-SCALE CONCERTS (4)**
## **1. ROSSI** _**Songs of Solomon**_ **in Italy and Manchester**
In 2024 we toured our programme celebrating the Jewish-Italian composer Salomone Rossi’s groundbreaking Hebrew collection ‘ _The Songs of Solomon_ ’ to Italy and Manchester. Joyful prayers, lamenting solo songs, and passionate madrigals by Rossi and his contemporaries from across Europe were brought to life by 5 singers, accompanied by the enchanting sounds of the chitarrone. Our consort performed a dinner-concert at **Lerici Music Festival, Italy** in August and a ‘ _Synagogue Nights_ ’ concert at **Manchester Jewish Museum** in November.
## _**2. Sounds of the World: a festive journey through different cultures**_
In December, our Young Ambassadors presented their self-produced _Sounds of the World_ event at Chalfont St Giles Parish Church. The concert featured our most varied lineup of performers and music to date: from Christmas carols and chamber music by Telemann and Vivaldi, through Jazz and improvisations on Hindustani ragas, to a breathtaking virtuoso performance on the Erhu, a Chinese two-stringed bowed instrument.

## **3. Milton’s Cottage and** _**C**_ **hiltern Open Air Museum Performances**
An intimate evening in March celebrating the connection between writer John Milton and composer Henry Lawes featured 3 Vache Baroque musicians. In June, Chiltern Open Air Museum invited us to perform at a ‘ _Midsummer Gathering_ ’ event for their supporters. These were two great opportunities to build our local reputation and showcase our musicians.
## **4.** _**Out of the Deep**_ **Dinner-Concert at The Vache**
In November 2024 we held a dinner-concert for 50 supporters at The Vache. Thanks to the generosity of attendees, we successfully raised funds for our 2025 projects while presenting a range of beautiful chamber music (from Bach to Fauré) connected to future programmes.

## **EDUCATION AND OUTREACH PROJECTS (9)**
## **1.** _**A History of Sound**_ **workshop-show**
This year we worked with **954 children** across Bucks, Brent and Slough. We delivered 28 90-minute workshop-shows to Key Stage 2 children at state primaries, onboarded a 2nd cast, and developed our resources pack. In July we took part in **Buckinghamshire Culture** ’s Open Weekend for the first time, performing to local families at The Vache, with sound-inspired printmaking on offer afterwards. In October we took part in **Bucks Council** ’s Cultural Capital Conference. In November, one cast undertook training with top SEND music specialists ahead of 2 days of **R&D workshop-performances at Heritage House Special School in Chesham** . This was an exciting few days for all involved; we’re thrilled at how positive the response from both learners and teachers has been (please see below). We will develop our relationship with Heritage House and other Special schools in 2025, alongside continued Key Stage 2 delivery.
In 2024 _A History of Sound_ was generously funded by several committed individuals, as well as **The Rothschild Foundation** , **Buckinghamshire Culture, Denham, Gerrards Cross and The Chalfonts Community Board, Heart of Bucks Community Foundation** , **The Pell Charitable Trust** , **The Childhood Trust** , and **Three Monkies Trust** .

## **2.** _**Visionaries:**_ **workshop-concert with deafblind young people**
In 2024 we partnered with Bucks Council’s Integrated SEND Service and Milton’s Cottage to create an adapted performance of **Handel’s** _**L’Allegro**_ for 9 congenitally deafblind young people from Buckinghamshire, who attended with approximately 18 of their parents/carers. The session took place at the Waterside Theatre in Aylesbury. Interveners helped the young people engage with the concert through an accompanying story massage; subsequent 1-1 work included playing instruments, exploring tactile multi-sensory cloaks, writing poetry, and more.
This workshop was commissioned by Buckinghamshire Council’s Culture Development Team to coincide with **Deafblind Awareness Week** , celebrating Buckinghamshire as the birthplace of the Paralympics. Thanks to generous support from the **Rothschild Foundation** , we have been able to create multi-sensory impairment follow-up packs containing audio recordings and story massage prompts for all participants. This inspiring collaboration has reaffirmed our belief in the power of music to connect and empower; we look forward to working with these partners in 2025, celebrating successes and learning from experience and feedback to ensure future iterations will be ever more impactful.

## **3.** _**L’Olimpiade**_ **Relaxed Performance** _**:**_
Our 2024 opera festival featured our first ever ‘relaxed’ performance. This included musical highlights with narration, as well as introductions to the orchestral instruments. A BSL interpreter signed throughout. This interactive, accessible version included a performance by our Children’s Choir and was made possible thanks to support from the Denham, Gerrards Cross and The Chalfonts Community Board.

## **4. Children’s Choir**
13 local children aged 7-14 took part in a series of workshops at the Vache, culminating in them taking part in the Relaxed performance of _L’Olimpiade_ . Led by top animateurs Suzzie Vango, Elliott Mercer, Hannah King and Antonio Oliviera, the workshops featured vocal warm-ups and games, team-building exercises, learning fun songs and rehearsals of the musical material for the performance itself. The course also included a football session facilitated by the Wycombe Wanderers Foundation. Participation was free and travel was organised for some participants. Everyone ate hot and healthy lunches together.

## **5. Craft and music workshops for Wycombe Refugee Partnership**
Building on a successful 2023 trial, we held two craft and music afternoons for 13 participants of all ages from Wycombe Refugee Partnership. Our opera designer Caitlin led flag-making sessions while Music Director Jonathan introduced Pergolesi’s music. Everyone attended the Relaxed performance of _L’Olimpiade_ and saw their flags proudly on display.
## **6.** _**Come & Learn To Sing:**_ **community singing sessions in Bucks**
Our community singing workshops are for anyone that has always wanted to learn how to sing, to read music notation, to find out what being part of a choir might be like, and to discover the multitude of related health benefits. In 2024 we held 4 sessions in the Spring and 8 sessions in the Autumn across 3 venues: **Wycombe Arts Centre** , **The Dove Cafe** in Beaconsfield, and for **One Can Trust** volunteers at Adams Park. **Wycombe Refugee Partnershi** p volunteers often came along together with service users. Our friendly facilitators welcomed 52 participants across the year; all sessions were either free or pay-whatyou-can. We have been delivering this programme since 2022, strengthening our partnerships year on year to increase our reach and achieve a more strategic impact on our local community.

## **7.** _**A Breath of Fresh Airs:**_ **informal concerts in hospitals**
We presented a short programme of French and English music for soprano and harpsichord in two NHS spinal injury centres - at the Royal National Orthopaedic Hospital in Stanmore and the Stoke Mandeville Hospital in Aylesbury. These informal concerts were hosted by Horatio’s Garden, a charity that nurtures

the well-being of people facing life-changing spinal injuries and long stays in hospital.

## **8. Young Ambassadors scheme**
We launched our Young Ambassadors Scheme in May which empowered 8 talented and creative teenagers (aged 14-19) to contribute to our future while developing their professional and creative skills. This cohort attended professional performances in London and observed _L’Olimpiade_ studio rehearsals and tech days. They also gained hands-on experience and insight through creating their own social media content as well as programming and delivering their own concert and workshop, _Sounds of the World._

## **9.** _**Sounds of the World:**_ **a family workshop**
Our Young Ambassadors organised an afternoon workshop as part of _Sounds of the World,_ featuring Bulgarian dancing, Christmas carols and Samba percussion. A wonderful time for all!
## **Public benefit**
The trustees confirm that they have referred to the Charity Commission’s general guidance on public benefit when reviewing the CIO’s aims and objectives and in planning future activities. The trustees consider that the CIO’s activities are for the benefit of the public generally.
## **Organisational structure**
The charity is currently managed by eight trustees. Any new trustees will be appointed by existing trustees. All trustees receive induction information containing the charity’s key documents and attend at least one meeting a year. Throughout the year, trustees receive regular updates on the activities of the charity. Trustees are also strongly encouraged to attend the performances and events themselves.
## **Management**
During the 2024 financial year Vache Baroque’s management team comprised the following individuals, engaged on a retainer or freelance basis:
- Artistic Director Jonathan Darbourne devised the programme, leading on casting, musical direction and developing the organisation’s brand, with joint responsibility for driving forward the mission and vision of the charity with the Executive Director.
- Executive Director Betty Makharinsky led on financial planning and fundraising, developing the organisation’s mid-term strategy.
- General Manager Paula Price-Davies effectively coordinated the day-to-day running of the organisation for 18 months, until October 2024.
A successful fundraising drive in late 2024 will allow Vache Baroque to employ a full time General Manager from Summer 2025, a notable and exciting milestone for the charity.
## **Contributed Income; Support In Kind**
2024 saw an increase of over 95% in contributed income, compared with 2023. Over 100 individuals and 14 grant makers generously supported our work this year. In 2025 the charity continues to attract ever greater philanthropic support across performance and education projects. Notably the Rothschild Foundation awarded our 2024 _Visionaries_ project our most significant grant to date. We are grateful and excited that our relationship with this strategic arts and heritage funder continues to develop.

The trustees continue to be grateful to the owners of The Vache, who provided the house and grounds as support in kind. The charity also benefited significantly from a state-of-the-art sound system thanks to Martin Audio, discounted pricing from The Stretch Tent Co, printing at cost thanks to Halstan & Co, and event equipment thanks to Grange Park Opera.
## **Financial review**
Total incoming resources for the year amounted to £312,719. The resources expended amounted to £311,465. This results in a profit of £1,254. With retained earnings, the year ended with a positive balance of £25,580.
Vache Baroque makes mid-term commitments to its audiences and outreach beneficiaries, as well as to its core team of consultants and its contracted artists. It is the clear objective of the trustees therefore to gradually build a financial reserve which will realistically provide liquidity and sustainability for the future.
Vache Baroque targets as a minimum financial reserve equivalent to the larger of three months running costs or amount required to cover all redundancies in the event of a foreclosing. The appropriate minimum reserve amount under this policy will be determined by management and reviewed annually. It is acknowledged that in these first years of operation Vache Baroque is operating under unusual circumstances with minimal retained earnings and that maintaining the minimum reserves will be on a best-effort basis.
The minimum reserves policy does not preclude Vache Baroque from, at the choice of management (and guided by Trustees if appropriate) opting to maintain a larger cash balance under a prudent financial management strategy.
## **Risk management**
The trustees have assessed the major risks to which the charity is exposed and in particular those relating to the specific operational areas of the charity and its finances. The trustees believe that by ensuring controls exist over key financial systems and by regularly examining the operational and business risks faced by the charity, they have established effective systems to mitigate those risks.
Two subcommittees (HR and Finance) meet periodically to review and advise on key operational matters, strategic implications, cash flow and risks to the charity’s current activities. Key risks are monitored in the Risk Register and each risk is reviewed with potential impacts quantified, and mitigations agreed. The approach to risk management is aligned with the standards required by the Charity Commission.
## **Statement of Trustees’ responsibilities**
Law applicable to charities in England & Wales requires the trustees to prepare financial statements for each financial year which give a true and fair view of the charity’s financial activities during the period and of its financial position at the end of the period. In preparing financial statements giving a true and fair view, the Trustees should follow best practice and:
- select suitable accounting policies and then apply them consistently;
- observe the methods and principles in the Charities SORP;
- make judgements and estimates that are reasonable and prudent;
- state whether applicable UK Accounting Standards and statements of recommended practice have been followed, subject to any material departures disclosed and explained in the financial statements;
- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business.

## **1. ACCOUNTING POLICIES**
## **1.1 Basis of preparing the financial statements**
The financial statements of the charity, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) ‘Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Charities Act 2011.
The financial statements have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts.
## **1.2 Income**
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured with sufficient reliability.
Grants and donations are only included in the SoFA when the general income recognition criteria are met (FRS102 SORP).
Income from interest, royalties and dividends is included in the accounts when receipt is probable and the amount receivable can be measured reliably.
## **1.3 Expenditure**
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably.
Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.
## **1.4 Taxation**
The charity is exempt from tax on its charitable activities.
## **1.5 Fund accounting**
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

## **1.6 Going concern**
These accounts have been prepared on a going concern basis whereby the charity is viewed as continuing in business for the foreseeable future.
The charity has no long-term commitments, leases or contracts. Funds available are £32,278, with £6,698 creditors balance.
The Trustees are confident that the charity will continue as a going concern for the foreseeable future.
## **1.7 Reserves policy**
The reserves held by the charity should be maintained at sufficient cash levels to maintain the charity's operations in the event of unforeseen costs.
Reserves at 31[st] December 2024 were £25,580. These reserves provide sufficient financial stability and the means for the development of our principal activities.
## **1.8 Hire purchase and leasing commitments**
Rentals paid under operating leases are charged to the Statement of Financial Activities on a straight-line basis over the period of the lease.
