The trustees preswrt their Annual Report Oftt￿ d￿lIty for the ending 31* Decenknr
2025. The Finanoal Ststemerrts have been prepared in a(X>)rthn￿ with the aCC￿nting
pOI￿leS set out in the notes to the acojunts and u)mpty with the charws governing
document. the Charities Ac* 2011 and the Statement of Recxjmmended Prai*o (SORP)
applicabk to charities prepafing their aco)unts in aC￿rdan￿ wth the Finanoal Reporting
Standard (FRS102) pub1tstr￿ bn 2015.
Prior to 7 November 2024 Wrnxall Charities CIO had no funds or assets.
The Charity Commission has nwed the unincorporated charities (VArchioness of
Northampton. Thomas Klrvjt(￿ and Abraham Elion, ￿lIe£￿'velY known as Wraxall
Parochial Charrtiesl with Wraxall Charities CIO with a transfer date of 7 November 2024.
The uninc0rFL)fa￿I charities have n(M been reffl0￿ from the Register of Charrties and
are shown by the Chanty CommissN)n as having funds and assets trdnsferred to Wraxall
Charit￿S CIO.
Structure, Govemance and IAanagthTh
Wraxall Chatitss CIO is a regtstered tharrty a c¢￿StItuti￿ and was apwoved by the
Charty Commission on 18 FebNary 2021.
The charity not acti4ely fundrdise and 88eks to C(xrt1n￿ the chartsble of the
fOrn￿r unincxxporated thafities.
There are Gurrently fNe trustees.. three nomjnatr¥e trustees appointed by the Parish Council
of Wraxall and Failand, cwtats.ve trustees and an ex-officio tnth, the Rector of the
parish of Wraxall wrth Fa￿and. There is ￿rrenty a vaoncy to be filled by a c¢>optstsve
Land assets compw:
Nailsea Land
The Nailsea Land ￿ subject to an OW Agreement with Visty, a devek>per and
lom￿rtY Linden Limited. WPD have an Opt￿ agreement for an e&8ement for pylons
and underground cab*s (together with dats ixbles from Surf Tele(x)ms) across the
land. V15ty has suljntited a planniThJ applicatsx for outline planning pernission in
Odober 2023 and is awath'ng a decisK)n. Wards no longer wish to supp)rt th8 CIO.
The Trustees ceased to instruc* Wards and appointsd DAC Beachcroft in Juty 2025,
as solicrtors to work with G￿￿p West on the OptTh Agreerrwrt.
Wraxall Land
The trRlve-mcth agticulturnl tenancy for one part of the Wraxall Land vras ren8wed
for a second year in May 2025. There has been an expression of intefest in this part
of land from a developer. whth is being managed by Group West. The other
part of the Wraxall laNI is let as a ￿r park to Bakef Hughes, the lease erKls in May
2028.
Transfer Deeds for the land assets of the fomier uninCorprt￿ charities ￿re finally
registered at HM Land Registy in November 2025. Work with ￿, the charrties solicitors
for managing the trdnsfer to the CIO. is now compkts.
All cash and investsrnnts tr￿n the fonTrr uninixxw)rated thariti8s ware transferred into
accounts held by Wraxall Charities CIO in Ntr4emtsr 2024.

The last tenant of part of the Wraxall Land left a debt of £9CO. His deposit has
been refunded by the Land Agent aThJ the iemaining debt has vKitten off by
the trustees. The rent has been incxea>d tr the agreement wth the new tenant.
Baker Hughes ha￿ made an additional payn*nt for the interest on kte payn
for the car park land rent. The fvjures ft)r 2024 aR from the previous

Inveslmerrt income
Proceeds trom the sal8 of land ar￿ 0ptK￿s agreements in pre￿uS years have

Wards solicrti)rs re-imbursed £5￿ held on deposit and the Land Regth also

Wth the transfer of assets to the CIO in 2024. DavKI James & Partners r&sued
reports re-valuing the land based on rts potentsal for development. The Nailsea
land is valued at £400,000 arKI the Wrdxall land is v8lue(J at £200.IY)O.
The total value of in￿S￿l￿ts hehj in ts CCLA COIF fund 31 D8￿rnber 2025
was £598,932. T￿￿ dUrM￿ this PWKXJ was £30,110, equivalent to 5%.
