## **REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31 OCTOBER 2023**
The trustees present their report with the financial statements of the charity for the year ended 31 October 2023. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
## **OBJECTIVES AND ACTIVITIES**
## **Objectives and aims**
The charity was formed for the purposes of a village hall for the use of the inhabitants of the parish of Ellingham.
## **Public benefit**
The trustees have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing the charity's objectives and aims and in planning future activities.
## **FINANCIAL REVIEW**
## **Financial position**
At 31 October 2023, the charity had an unrestricted general fund balance of £22,949 (2022: £27,040) and a restricted fund balance of £351,326 (2022: £316,908).
## **Reserves policy**
The trustees aim to ensure that the charity holds sufficient reserves to meet its annual running costs and loan repayments.

## **ACHIEVEMENT AND PERFORMANCE Charitable activities**
## **History**
Two years ago we completed both the financing and lease for a new hall to be built. Some may remember it was also when John Grundy spoke about the importance of Village Halls as a hub for the community.
During the build process we constantly battled through increasing material costs post-Covid and had to reduce space and specification of the building to control the cost. We did not reduce insulation and energy efficiency levels. We have pursued solar energy and battery storage so that comfort and security for the community was assured. We also stuck our neck out to fund the installation of a full sound system with a hearing loop to enable a high-quality facility for meetings and events.
In August 2022 the build began and our builder, Stephen Willcox, set out a schedule to complete within one year. And he did! We hope you will agree the result is excellent.
The project from design to completion has been overseen by our Architects, David and Jane Darcy. We have all benefitted and are extremely grateful for their exceptional diligence and professional expertise. We have received many compliments about the hall including one from a person covering the North of England that 'this is the best-looking village hall he has ever seen'.
## **What for the future?**
Now we have this wonderful building with classes, events and meetings taking place and increasing. However, we have struggled with framing suitable costings to hire the hall. At present we have three categories:
- Parties and Social Events,
- Business Meetings and
- Health & Welfare.
The cheaper costs for health & welfare are our initial attempts to promote those activities for improving health & welfare e.g. yoga, Zumba, table tennis. Costs for parishioners to hire the hall are at 50% for Parties and Social Events.
A huge success has been the formation of the Toddlers and Baby group. This is an exciting development in a community that now has a growing number of young children.
## **Committee**
We have a committee of 8 members. Our constitution allows up to 12 members. The committee have worked hard to oversee through the development of the new village hall. They have a range of skills which has been essential to supporting this project and establish activities. We are keen to have more enthusiastic members (the only requirement!) to contribute, ideas or develop further events and activities that support our community.
We have produced a Business Plan to cover the next 5 years. It aims to encourage and develop more ownership of ideas and events by any members and groups from the greater community.

## **Governing document**
The charity is a charitable incorporated organisation (No. CE024862) registered with charity number 1193462.
## **Risk management**
The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error.
The trustees have made an assessment of the major risks facing the charity and are satisfied that there are policies in place to minimise these risks.

## **Independent examiner's report to the trustees of Ellingham Village Hall**
I report to the charity trustees on my examination of the accounts of Ellingham Village Hall (the CIO) for the year ended 31 October 2023.
## **Responsibilities and basis of report**
As the charity trustees of the CIO you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the Act').
I report in respect of my examination of the CIO's accounts carried out under Section 145 of the Act and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under Section 145(5)(b) of the Act.
## **Independent examiner's statement**
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:
1. accounting records were not kept in respect of the CIO as required by Section 130 of the Act; or
2. the accounts do not accord with those records; or
3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **1. ACCOUNTING POLICIES**
## **Basis of preparing the financial statements**
The financial statements of the charity, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Charities Act 2011. The financial statements have been prepared under the historical cost convention.
## **Income**
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.
## **Expenditure**
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.
## **Tangible fixed assets**
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

## **Taxation**
The charity is exempt from tax on its charitable activities.
## **Fund accounting**
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

## **6. TRANSFER FROM THE UNINCORPORATED ELLINGHAM VILLAGE HALL**
Ellingham Village Hall was previously an unincorporated charity and its final accounts were for the year ended 31 October 2021. Its funds were transferred to the charitable incorporated organisation and the unincorporated charity has been removed from the register of charities.

On 3 December 2021, the trustees of Lady Belinda Gadsden's 1997 Children's Settlement granted the charity a 99 year lease for the property on which a new village hall has since been built.
