## **Report of the Trustees for the Year Ended 31 March 2024** 

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 March 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **Objectives and activities** 

## **Objectives and aims** 

The Charity continues its objectives of the Charitable Incorporated Organisation to preserve and protect the health of the public in Wales by continuing to expand the mobile Heartscreening programme, now with the addition of providing free Heartscreening for all 16-25yr olds, as well as subsidised screening for ages above. Heartscreening not only identifies possible life-threatening conditions before they become untreatable but also raises awareness for the importance of heart health.  The Charity also continues to supply defibrillators which save lives, as well as free CPR training. 

## **Significant activities** 

Fundraising activities continues to be an essential part of income generation for the Charity, in order to achieve its objectives. Donations are received and applications made for grant funding - some successful, others not, as there is a lot of competition.  Gift Aid continues to be an excellent source of income for the Charity. 

## **Public benefit** 

Calon Hearts has considered its objectives for the forthcoming year, bearing in mind the Charity Commission guidance on public benefit. The Charity has given importance to providing activities which are accessible, financially and practically, to all eligible members of the community. re accessible to all eligible users from all aspects of the community. 

## **Volunteers** 

The Charity has greatly valued its workforce of volunteers. The Charity is particularly fortunate to have built a team of excellent, qualified CPR trainers, who willingly run most of the CPR training sessions. The Charity has also been fortunate to secure excellent admin/event volunteers, which have significantly assisted the small, permanent team. However, it has been found that it has become increasingly difficult to find volunteer workforce.

## **Achievement and performance Charitable activities** 

Calon Hearts has continued to grow as a widely-recognised, respected Charity, having arranged many popular, high-profile fundraising community events, as well as regular Heartscreening sessions, organising free CPR training sessions and raising the awareness of the benefits of Heartscreening to potentially save lives through the detection of possible heart defects. 

Between 1st April 2023 and 31st March 2024, the Charity has heart-screened over 720 people aged 16yrs and over, using private Heartscreening facilities. 

The Charity believes passionately in the value of Heartscreening and continues to put pressure on the Welsh Government to recognise this. Petitions are continually actioned to bring in Heartscreening for sports-people, prior to them being allowed to join a sports club or gym. 

We are proud to partner the Welsh Rugby Union, the FAW and Sport Wales with whom we run free Heartscreening sessions for their players and sports-people. 

Many successful fundraising events have been organised by our small, dedicated fundraising team, who work incredibly hard to raise the profile and, indeed, funds.

## **Financial review** 

## **Financial position** 

The Charity has worked tirelessly since it was founded to further its goals and aims, by holding a packed year of fundraising events and Heartscreening sessions, as well as working with third-parties to organise events to benefit the Charity. The Charity has also received many donations and grants, where available. All incoming funds have been utilised to further the principal objectives of the Charity. 

## **Reserves policy** 

The Trustees as a Board have considered the financial reserves of the Charity. This review encompassed the nature of income and expenditure streams and the need to match variable income with fixed commitments and the nature of reserves. The Trustees are aware of the importance and need to continually monitor reserves but are satisfied that the Charity will be able to meets its obligations as they fall due and that reserves, as at 31st March 2024, are sufficient for that purpose.

## **Going concern** 

The Trustees have reviewed their future requirements, fundraising plans and obligations and are satisfied that the going concern concept as a basis for the preparation of the financial statements is entirely appropriate. 

## **Structure, governance and management** 

## **Governing document** 

The legal form of the charity is that of a Charitable Incorporated Organisation (CIO) which is subject to a governing document, its constitution, which took effect from the date of registration of the CIO, which was 4 February 2021, the constitution was amended on 15 December 2022. 

## **Recruitment and appointment of new trustees** 

The appointed trustees actively encourage and seek to identify appropriate persons to join the CIO as trustees. On appointment, each new trustee is provided with a copy of the constitution and the CIO's latest available Trustees Annual Report and accounts. Appropriate training and induction is provided to ensure any new trustee is able to fulfill their duties. 

## **Organizational structure** 

The charity trustees manage the affairs of the CIO in attendance with their powers as set out in the constitution document. There must at all times be at least three charity trustees with a maximum number of 12. Apart from the first charity trustees, every trustee is appointed for a term of three years after meeting the criteria set out in the constitution. 

The trustees meet regularly to discuss all aspects of the affairs of the CIO. 

Day to day management and direction of the charity is delegated to Sharon Owen, who is a salaried employee of the charity with the job title of Charity and Fundraising Director. Other paid staff are:- Ana Waite, Operations Manager (full time), Bridget Hall, Admin (part time), Ravena Jandu, Marketing Officer (part time), Matthew Lee, Marketing (part time) and staff contracted through a third party recruitment agency. 

## **Risk management** 

The trustees have a duty to identify and review the risks to which thecharity charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error. 

The trustees review such risks on a regular basis in line with its adopted risk management policies.

## **Independent examiner's report to the trustees of Calon Heart Screening ('the Company')** 

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2024. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a member of the Association of Chartered Certified Accountants, which is one of the listed bodies. 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or 2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or 

4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31 March 2024. 

The members have not required the company to obtain an audit of its financial statements for the year ended 31 March 2024 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for 

- (a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and 

- (b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.

## **1. General information** 

Calon Heart Screening is a Charitable Incorporated Organisation registered with and regulated by the Charity Commission in England. The address of the Charity and principal place of activity is White House Cottage, Cathedral Green, Llandaff, Cardiff, CF5 2EB. Further information about the objectives of the charity and the trustees who held office during the year are provided in the Trustees Report included as part of the financial statements. 

## **2. Accounting policies** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **Hire purchase and leasing commitments** 

Rentals paid under operating leases are charged to the Statement of Financial Activities on a straight line basis over the period of the lease. 

## **Pension costs and other post-retirement benefits** 

The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.

## **10. Related party disclosures** 

During the year ended 31 March 2024, The charity made monthly payments of £480 to Comlegals Ltd. These were for consultancy fees in relation to legal advise. The director and sole shareholder of Comlegals Ltd is also a trustee of the charity. 

## **11. Ultimate controlling party** 

There is no controlling party of the charity other than its members acting together. 

## **12. Members limited liability** 

In accordance with its constitution, in the event of a winding up of the CIO the members have no liability to contribute to its liabilities.
