Structure, Governance and Management
Type of organisation
Pandemonium Drummers is a Charitable Incorporated Organisation (CIO) with voting members other than its charity trustees.
Governing document
Pandemonium Drummers is governed by their constitution based on the association model and entered the register of the Charity Commission for England and Wales on 28th January 2021.
Trustee selection methods
Between 3 and 12 trustees are appointed or reappointed annually at the CIO’s Annual General Meeting (AGM) by members’ vote including proxy voting for a period of up to three years. A third of trustees shall retire from office each year. Vacancies can be filled by member or trustee decision at any time, and persons so appointed shall retire at the next AGM.
Membership
Membership is open to anyone who is interested in furthering the purposes of the Pandemonium Drummers. Admission incurs an annual fee of £12, and the inaugural membership year runs for an extended period until 31 August 2023.
Management
Pandemonium Drummers are 100% volunteer-run.
A Workshop Team of 15 members runs operations, and seven trustees are responsible for governance.

Objectives and Activities
Object of the Pandemonium Drummers CIO
To advance, improve, develop and maintain public education in, and appreciation of, the art and science of the performing arts in music, drama and dance by any means the trustees see fit, in particular but not exclusively through the development and presentation of public performances, the provision of workshops, and the publication of materials.
Summary of main activities
The CIO started during Covid-19 restrictions. While most activities were preparatory, trustees are confident that they have considered and applied the Charity Commissions guidance on public benefit throughout.
The key activities can be summarised as:

Setting up an operational structure to prepare for activities set out in the objects.

Managing a merger with an unincorporated association, including a transfer of assets to facilitate activities.

Building on the foundations laid by the group as an unincorporated association over the years since London 2012 including in the development of skills and activities such as creating music videos and relationships with a wide variety of individuals, organisations and events.

Speaking at public events, publication of case studies about the benefits of group drumming and performing and feeding into local history London 2012 legacy projects.

Starting member registrations and a first post-lockdown rehearsal in February 2022.

Planning and scheduling rehearsals, workshops and performances for the following reporting period.
Achievements and Performance
The CIO started under difficult circumstances during a pandemic with strict restrictions. It is therefore a major achievement to end the reporting period with a healthy number of 90 members plus interested candidates, with the first completed rehearsal, and with a schedule of rehearsals to prepare for a number of confirmed performances - we will be delivering on our objects!
Feedback from the first rehearsal shows the positive effect on motivation, happiness and confidence created by drumming together. Our scheduled performances at a variety of events, some of which are high profile, provide the framework to learn and enhance music and movement skills, and to offer the general public opportunities to appreciate the unique joy and fascination brought about by banging on buckets to music - something that can be done by everyone and that releases its powerful energy only in a group, as our active members ably demonstrate.
In the absence of opportunities for practical music making, we ran some networking activities, which allowed us to raise awareness of the public benefits of our activities through umbrella organisations like Creative Lives and Making Music. Our event scheduling maintained and developed our relationships with a number of charities, and our performances will both further our own mission and support their fundraising activity in a fun and positive way.
A challenge for the future will be to strengthen our governance, the responsibility of the trustees and our organisational structures, currently in the hands of the Workshop Team as well as to ensure our organisation is accessible and welcoming to people with protected characteristics under the Equalities Act 2010, which is the responsibility of the whole organisation. These areas will be a focus for the next reporting period, so that we are able to set goals and monitor progress. This will include reviewing the financing of our operations and keeping costs of engagement as low as possible to fulfil our public benefit commitment for the widest possible population.
Setting up a new organisation requires a significant amount of administrative effort and often financial risk.
We are grateful to everyone who originally helped the unincorporated association of the same name to evolve organically including Steve Ball, Neil Goulder, Howard Kemp and Royston Wareham.
We were fortunate that the unincorporated association put trust in the CIO and decided to disband and transfer their assets to the CIO.
Following a decision of their committee we started a merger process that we aim to complete during the next reporting period, pending a final stock-taking exercise to arrive at a definite asset list. Until then, a partial asset transfer was made to support the process.
While bucket drums, equipment, cash and digital assets are important, the unincorporated association also entrusted to the CIO a plethora of unique, invaluable assets that do not appear on any balance sheet. Deep in the DNA of the Pandemonium Drummers is an ethos gained from our positive experiences of the way we were treated by the producers of the London 2012 Olympic Opening Ceremony. We absorbed passion, a positive mental attitude, support, encouragement, adaptability, joyfulness, teamwork, hard work, fun and learning. We value the attributes of each individual member and aim to promote a sense of belonging and community.
We are mindful of the positive impact that the London 2012 Olympic Opening Ceremony had on the nation and the memories it has evoked ever since. We are proud of the role we played and feel it is important that we continue as a positive legacy of the Games.
In the 10 years since that time we have performed at nearly 300 large and small events including parades, festivals, sporting opening ceremonies, marathons, charity balls, conferences, TV shows, weddings, bar mitzvahs and funerals. The CIO trustees pledge to act as responsible custodians, to keep the positive memories alive, and to build on the ethos and relationships already established.
Financial review
Policy on reserves
Sufficient funds are to be held to cover at least 3 years of fixed costs in the event of a total loss of income and to meet unforeseen expenditure. This policy will be reviewed upon definition of the parameters of a full business plan.
Current assets of £10,690.58 would cover fixed costs in excess of 1 5 years.

Further details
Three main sources of funds are (1) low annual membership fees of £12 per year with an aim to cover fixed operational costs, (2) performance fees from commercial clients with the aim to use this income to subsidise performances for charities, and (3) rehearsal cost contributions from members to help cover associated costs such as hall hire.
All expenditure is directly related to enabling the core mission of the CIO. This include modest contributions to volunteer travel and subsistence at events.
The CIO does not have any investments.
To support the building of the organisation, we intend to approve a one-time use of reserves (1) to subsidise shortfalls in operational costs such as hall hire, and (2) purchase equipment to improve skill training and performance quality. The reserve policy will still apply.

1 Accounting Period
The accounting period represents the formal start date of the CIO, which was 28/1/21, extended to the year end 31/3/22.

£352 from Runfest to cover travel and subsistence expenses.
3.Asset Transfer
The asset transfer is the transfer of cash from the UA account to the CIO account. The remainder will be transferred imminently and the UA account closed.
