## **2. Structure, Governance & Management**
## **2.1. Type of Governing Document**

## **2.2. Charitable Objects**
As defined in the Charity’s Constitution (Governing Document):
The charity’s objects (“objects”) are:
For the public benefit in the area of Banbury, Oxfordshire and neighbouring counties using the medium of musical, operatic, and dramatic arts and performance-based activities and events to further the purposes:
The advancement of musical, operatic, and dramatic arts, and the education of the public in such arts in particular by the provision of opportunities to participate in said arts.
To advance in life and help young people through the provision of recreational and leisure time activities provided in the interest of social welfare, designed to improve the conditions of life.
## **2.3. Trustee Selection Methods**
There must be at least three charity trustees. The maximum number of trustees is five. In accordance with the Constitution, Trustees are appointed or re-appointed for a term of two years by a resolution passed at a properly convened meeting of the charity trustees.
With reference to clause 12 (Charity trustees), subclause 13 (Appointment of charity trustees) of the CIO’s constitution, the trustee selection methods are as follows:
At every subsequent annual general meeting of the members of the CIO, at least two-fifths of the charity trustees shall retire from office. Such trustees are eligible to be reappointed at that or any subsequent general meeting.
The charity trustees to retire by rotation shall be those who have been longest in office since their last appointment or reappointment. If any trustees were last appointed or reappointed on the same day those to retire shall (unless they otherwise agree among themselves) be determined by lot;
The vacancies so arising may be filled by the decision of the members at the annual general meeting; any vacancies not filled at the annual general meeting may be filled as provided in sub-clause (5) of this clause;
The members or the charity trustees may at any time decide to appoint a new charity trustee, whether in place of a charity trustee who has retired or been removed in accordance with clause 15 (Retirement and removal of charity trustees), or as an additional charity trustee, provided that the limit specified in clause 12(3) on the number of charity trustees would not as a result be exceeded.
A person so appointed by the members of the CIO shall retire in accordance with the provisions of sub-clauses (2) and (3) of this clause. A person so appointed by the charity trustees shall retire at the conclusion of the next annual general meeting after the date of his or her appointment and shall not be counted for the purpose of determining which of the charity trustees is to retire by rotation at that meeting.
The Chairman, Treasurer, Secretary and Youth Officer of BOS shall automatically, by virtue of holding that office (“ex officio”), be charity trustees.
If unwilling to act as a charity trustee, the office holder may:
before accepting appointment as a charity trustee, give notice in writing to the trustees of his or her unwillingness to act in that capacity; or
after accepting appointment as a charity trustee, resign under the provisions contained in clause 15 (Retirement and removal of charity trustees).
The office of an ex officio charity trustee who does not wish or is not eligible to serve in that capacity may be filled by a general meeting or by the trustees. A trustee appointed in this way, if not otherwise replaced, shall cease to be a trustee when that office holder ceases to hold office.
In appointing Trustees due consideration is given to ensuring that the Trustees have, between them, the skills and experience necessary to manage the charity effectively and in accordance with charity law.
## **3. Activities**
## **3.1. Statutory Declaration**
The Trustees of Banbury Operatic Society (BOS) and Youth of Banbury Operatic Society (YOBOS) confirm that they have paid due regard to the guidance issued by the Charity Commission on public benefit in deciding what activities the charity should undertake.
## **4. Achievements & Performance**
## **4.1. Outputs and Outcomes for the Charity’s Beneficiaries**
In August 2023, YOBOS staged a production of ‘Everybody’s Talking About Jamie’ as part of our summer school. The production was a huge success with three sell out shows. After the show we announced that our next production would be Les Miserables.
In October 2023, BOS performed a production of ‘Kinky Boots’. This was a fantastic show with lots if lively musical numbers, emotional moments and colourful costumes. We performed to packed out audiences at every show.
In February 2024, BOS performed a production of ‘Calamity Jane’. With a range of leading and supporting roles this was a great pick for BOS, plus it was a good break from some of the more modern musicals we’d staged recently like Ghost and Kinky Boots.
## **4.2. How the Public Have Benefitted**
Year Ended 31 May 2024
We entertained audiences with 3 Musicals, Everybody’s Talking About Jamie, Kinky Boot and Calamity Jane. We also hosted publicity days for every show at local shopping establishments around Banbury and performed in additional concerts to help publicise the shows.
## **4.3. Contributing to Activities Run by Other Organisations**
We have had a close relationship with other amateur musical theate groups in the City and for Kinky Boots recruited a Director that sits on the committee of another society. We share our costumes, hire out sound and light equipment and help them promote their shows by posting ticket links on our socials.
## **4.4. Trustee Development**
Trustees are encouraged to participate in development opportunities as and when appropriate.
## **4.5. Suicide prevention training/Safeguarding/child protection**
The Youth Officer for Banbury Operatic Society and Youth of Banbury Operatic Society undertook continued safeguarding and child protection training in his professional capacity as a teacher that he was then able to apply to his role for the charity.
## **5. Financial Review**
## **5.1. Details of Any Funds Materially in Deficit**
The Charity has no funds which are materially in deficit.
## **5.2. Policy on Reserves**
The Charity’s policy on reserves is to generate and maintain a balance which is sufficient:
To preserve the financial viability of the Charity in the event that unforeseen and/or unavoidable circumstance precipitate a short-term fall in its income,
To enable the Charity, in the interests of meeting its objectives, to undertake from time to time the setting up of new and innovative projects on a pilot basis to demonstrate the viability and potential benefits of such activities as a precursor to securing the external funding necessary to maintain such projects on an on-going basis.
For these purposes the Charity will endeavour to generate and maintain reserves of £15,000 over the next three to five years. This figure will cover the running costs of both societies for a year where income may be limited, as we have experienced this year, as well as allowing for unforeseen expenditure. This reserve will be held in the joint charity bank account.
## **5.3. Principal Sources of Income and Expenditure**
The financial year 2023-2024 was a successful year for both BOS and YOBOS, with both groups of the charity bringing popular productions to the people of Banbury and beyond.
BOS’s first show of the year was _Kinky Boots_ in October 2023, which made an in-year profit of £1299.63 (and an operational profit of £566.26) despite being one of the most expensive shows we have ever staged. This was followed in February 2024 by _Calamity Jane_ , for we staged a relaxed performance for the first time, including the provision of a British Sign Language interpreter. This family favourite show turned an in-year profit of £5363.66 although a liability of over £2000 was outstanding at 31/05/2024.
The main source of fundraising income for BOS continued to be our 100 Club which generated a profit of £411.00 for this period.
The administration costs for the year far outweighed our income and saw BOS running at an in-year deficit of £5643.77. The major expenses of running BOS in this period were, as usual, the costs associated with maintaining our extensive storage facility (£3480.53), our insurance and licences (e.g. for radio mics) (£1319.90), and the purchase of a number of assets {£2381.46) which was predominantly costume-related items including a range of drag queen style boots (purchased for _Kinky Boots_ ) and some new head mics. We did have some income (£379.00) to offset these expenses, such from hiring out our _Kinky Boots_ costumes to other societies. Our main source of income is our membership and ‘Friends of BOS’ subscriptions (£1440.00), but overall this was an expensive year for BOS.
Overall, BOS ended the year with a slight increase of £630.97 in its main Lloyds bank account compared with the start of the year, and plans to improve its financial health in the short-term future are in progress.
For YOBOS, the main event of the year was the show ‘Everybody’s Talking About Jamie’ (ETAJ), the annual summer school production. Three performances were staged to predominantly full houses, and, due to some significant expenses on sound, lighting and the performing rights for the show, the show ran at an in-year loss of £1629.56.
The expenses associated with running YOBOS are shown as Administration costs, separate from the main show expenses. However, it should be noted that, primarily, it is the income from the main YOBOS show of that year that is expected to cover these running costs as well as the show costs. A small amount of additional income is received from BOS e.g. where assets that also belong to YOBOS are hired out, but YOBOS are also expected to contribute to the running costs such as society insurances.
In the financial period being reported on, YOBOS also spent £1484.95 on Administration costs, including £860.00 on a performance workshop for the cast of ETAJ with one of the stars of the West End professional production, Layton Williams, which was an incredible opportunity, as well as an unforgettable experience, for everyone who took part. There was also significant expenditure on the previous financial year’s concert, ‘Platinum’, of £1059.10, which was predominantly the payment of hiring liabilities (venue and costumes). As assortment of assets (both equipment and costume) were also purchased by YOBOS at a cost of £435.59, although the costs of these will be shared with BOS. Receipt of income of £7785.00 towards the next YOBOS production, ‘School of Rock’, which will take place in the next financial year, meant that YOBOS ended the year with a healthy increase of £2660.22 in its Lloyds account, and remains in an extremely healthy financial state.
We also have our Easyfundraising shopping scheme which also raises funds for the charity at no cost to the shopper. Income from this scheme is paid directly into our charity bank account (see 6.4), and we received £257.10 in this financial year. This charity account also receives the income for SumUp, which we use to take card payments at our events, although the income is then transferred to the main Lloyds account of BOS or YOBOS for the relevant event.
