Ergun Ozen. Chairperson of TEV UK, was the CEO of BBVAGaranliBank, one of the largest private banks of Turkey, between 2000-2015. He is now board member or chairperson al several large Turkish corporations. Sule Arinc is the founder of Atelier T-Delight, an interior design company. Dalinc Ariburnu is the founder of Centricus, a Lorbdon based global investménl firm. He is also a former scholarship holder of the Turkish Education Foundation. Sezai Taskent is a well-known businessman from Turkey and one of the owners of STFA conglomerate. He is also a Board member at the Turkish Education Foundation. The charity aims to maximize the funds to be allocated to charitable purposes. mainly supporting the education of young people. Therefore, the Charity tries to minimize its fundraising expenses by seeking out help from supporters. Fof example, to realize its launch event on 3 March 2022, TEV UK received invaluable support from Turkish Embassy and other supporters, now collectively Considered in the Friends of TEV UK circle. TEV UK has a close relationship with one ofthe most prominent, respectable, and impactful charities of Turkey, Turkish Educalion Foundation ITEV). TEV has been supporting the education needs of young people since 1967. TEV awards scholarships and other supports to help students continue their educalion. TEV UK allocates the donations it collects to joint TEV-TEV UK scholarships whose main collaboration frame has been determined by a Gooperation agreement be￿een TEV and TEV UK. According to this agreement {TEV - TEV UK Cooperation Protocol), TEV UK detemiines the nature of the scholarships it awards to students. Subsequently, TEV makes announcements for these scholarships, collects applications by deadlines, and apply its award placemenl procedures to these applicants to delermine a shortlisted pool of candidates. TEV UK eventually chooses the SUC￿ssful candidate to award the scholarship from this shortlisted pool. Please see appendix for TEV-TEV UK Cooperation Protocol. Section D Achievements and performance Summary of the main achievements of thè charity durlng the year TEV UK was established an independent Charitable Incorporated Organisation on 8 January 2021. Following its eslablishment, Sule ARINC, one of the Trustees at the Board of Directors has formed a development committee with volunteers for running the daily activities and fund raising events of the TEV UK. Two bank accounts, at Isbank London Branch and HSBC Plc, were opened to be able accept donations and make payments for services purchased to run the Charity. In the meantirne, TEV UK enlered talks with sev6ral prominent UK universities to establish joint scholarships. Among these universilies, agreements with Oxford and Imperial College were finalized in 2021. Students related to these partnerships are accepted for 2022123 academic year. 2022123 academic year will be the first year in which TEV UK has scholars. Please see 8gre8ments with Oxford University and Imperial College for these scholarships at Ihe appendix. TEV UK also finalized its collal>oration agreement with TEV in 2021 to detail the procedures Ihat will be applied to granting of TEV UK'S scholarships (Please see TEV-TEV UK Protocol at the appendix for full details). TEV has started to collect applications for TEV UK scholarships in fall 2021 for the 2022123 academic year and granting of these scholarships were completed in early 2022. TEV UK also registered to HMRC for receiving gift aid in 2021. On the book-keeping side, TEV UK bought a monthly subscription from X¢ro, a well-established aGcounting platform, and staned to book all cash inflows and oufflows on this platform. TEV UK keeps track of all ils transactions with ease in this plafform and also keeps all records related to these transactions like donation receipts and bills. Therefore, the Chaflty did not undertake any large-scale fundraising activities or campaigns in 2021. The arrangement** TEV UK and Imperial College London, hereafter referred to as “Participants”, have decided to collaborate in a scheme to provide scholarships for overseas students wishing to study for eligible one-year taught Master’s degree at Imperial College London. The Scheme will be for academic year **2022/23** only before this MOU expires. Maximum number of annual Awards** A maximum of **2 a** wards will be available under this scheme for the academic year covered by this MOU (each an “ **Award** ”). There is no implicit undertaking that the maximum number of Awards will be taken up. The number of Awards taken up will be contingent on eligible applicants being selected. ## **THE SCHOLARSHIPS** ## **4. Award components** Each Award will provide for payment of: - academic tuition fees; - a monthly stipend for living expenses sufficient for a single student; Details of the Award components are set out in the schedule at **Annex B** . Participants will share the costs the indicative cost of which is specified in Section 5 unless otherwise agreed by the Participants. ## **5. Participant funding** Each Participant has decided to contribute towards the funding of any (but no more than two) Awards awarded for the academic year covered by this MOU. The College’s contribution is underpinned by, and dependent on, a gift from a donor (the “ **Donor** ”). This will break down as follows: The College undertakes to meet 25% of the tuition fees subject to: - the College receiving TEV UK’s contribution to the monthly stipend - the College receiving the remaining 75% of the tuition fees from the donor 2 And TEV UK undertakes to meet: - the monthly stipend Participants will not consent to or cause additional costs to be incurred without the prior written consent of all Participants. ## **6. Applicants’ conditions of eligibility** In order to be eligible for an Award, candidates must: - (a) Hold a first degree that is equivalent to at least a good UK second-class honours degree. - (b) Be ordinarily a resident and/or citizen of Turkey - (c) Satisfy TEV UK that they have a demonstrable financial need for scholarship support (d) Hold an offer of admission for a full-time one year Masters level courses offered by the Faculty of Engineering the Faculty of Natural Sciences at the College. **Courses offered by Imperial Business School and the Faculty of Medicine are not eligible for the Scheme.** ## **7. Selection procedures** In order to be considered for an Award candidates must: - (a) apply to the College for an eligible course (as provided under paragraph 6) through the College’s normal application and selection procedures; the College retains complete and sole control of its admission and selection process and the College will evaluate the candidates and will provide each qualified and selected candidate with a copy of an offer for admission; and - (b) formally apply to TEV for an Award following their procedures & deadlines; Following the agreed closing date for the scholarship TEV UK and or TEV will send the College a list of candidates who meet the conditions set out above at clauses 6(a), 6(b) and 6(c) for an Award. The College will check that these candidates meet the condition set out above at clause 6(d) for an Award - (c) If more than 6 candidates meet all the conditions, the College will then shortlist 6 of those candidates based on their academic ability - (d) The College will share the list of shortlisted students with TEV UK - (e) TEV UK and TEV will conduct interviews with the candidates and select who will be offered an Award. 3 The College also reserves the right to terminate the enrolment of any student funded by a Scholarship (each a “Scholar”) for failure to comply with its rules and regulations, following the normal procedures for making such a decision. ## **8. Promotion and publicity** The Participants will jointly promote the Scholarships as widely as possible and they will be acknowledged equally in all promotion and publicity surrounding it. Participants will use their reasonable endeavours to ensure that two Awards are awarded. Participant logos, trade names, trademarks or service marks cannot be used without prior written consent from the relevant Participant. Any public reference to this Scheme (including press releases and adverts) must be approved by all Participants before public dissemination. ## **9. Administration and welfare** A model timetable for the administration of the Award scheme, promotion and publicity, and application and selection procedures is set out at **Annex A** . The College will, be responsible for: - The administration of the Scholars; - Paying the appropriate stipend directly to the Scholars (subject to TEV UK having provided the College with the corresponding contribution); All cost components are set out in **Annex B** of this MOU. ## **10. Disputes Settlements** In the event of any dispute, controversy or claim arising out of or relating to this MOU, including any question regarding its breach, existence, validity or termination or the legal relationships established by this MOU (“Dispute”), whether or not this MOU has been terminated, neither Party will take legal proceedings for resolution of such Dispute without first having taken positive steps to resolve it by negotiation. If the Parties are unable for any reason to settle the Dispute within 30 days of one Party notifying the Dispute to the other, the Dispute may be finally resolved by court proceedings. Any Dispute, which could not be determined by agreement of the Parties, shall be finally referred to and determined by the English courts. This MOU and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. ## **11. Termination and consequences of termination** 4 The College may give TEV-UK 60 days’ written notice at any time to terminate the MOU. The College may terminate this MOU on giving written notice in the event that the TEV-UK or the Donor fails to pay any sums due under this MOU for more than 90 days after the relevant invoice has been raised. ## **12. Consultation, Exchange of Information and Freedom of Information** The Parties may exchange and/or share data and information for the purposes of the Scholarships, if necessary, in the spirit of cooperation, but shall at all times comply with relevant data protection law in doing so. Each Party shall not disclose any data or information obtained from the other Party to any third party, without the express consent of the other Party. Notwithstanding the preceding Clause, the Parties may, according to their respective internal rules and regulations, disclose information in accordance with laws, regulations or orders to governmental authorities or courts, or to their employees, officers, directors, agent or representatives; and their lawyers, certified public accountants, tax accountants or other professional advisors to the necessary extent. In particular, the Sponsor acknowledges that the College is subject to the requirements of the Freedom of Information Act 2000 and the Environmental Information Regulations.
