The trustees who present their report with the financial statements of the charity for the year ended 31 March 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
## **OBJECTIVES AND ACTIVITIES**
## **Objectives and aims**
To preserve and protect the physical, mental and emotional health of parents and families in the West Midlands caring for sick and preterm babies by offering hospital and community-based services, ancillary to those provided by medical professionals and which are not covered by statutory funding.
## **STRUCTURE, GOVERNANCE AND MANAGEMENT**
## **Governing document**
Noah's Star CIO is a Charitable Incorporated Organisation (CIO) and is registered with the Charity Commission in England. The Charity was incorporated on 8th January 2021.
## **Organisational structure**
The administration of the Trust is effected by the Trustees whom meet regularly. The board of Trustees implements and monitors matters of policy.
## **ACHIEVEMENTS AND PERFORMANCE**
## **Introduction**
Noah’s Star began to provide support to families in 2017 based upon the lived experience of their founder. Her twin boys were born in July 2015 at only 25 weeks gestation. Devastatingly, Noah only lived for 30 hours, and Oscar spent 12 weeks within the Birmingham Women’s Hospital (BWH). During this incredibly challenging time, their founder noticed that whilst hospitals provide amazing medical support for premature and sick babies, this is where the support is focussed. As a result of the lack of psychological support available to families their mental health has suffered.
In response, Noah’s Star was established and officially registered as a charity in January 2020. Noah’s Star was created to support siblings of premature and sick babies. As the charity has grown, they have increased their support for the whole family. However, their priority is always focused on the sibling.
## **The year in review**
As we reflect on the past year, we are proud of the incredible strides Noah’s Star has made in supporting families of premature and sick babies. Despite challenges, our team’s dedication and the generosity of our funders and volunteers have enabled us to deliver impactful services and expand our reach.

## **ACHIEVEMENTS AND PERFORMANCE - continued**
This year has been one of growth and transformation for Noah’s Star, with several significant accomplishments:
Expanded Hospital Support: We restarted our support service at Birmingham Women’s Hospital and increased from weekly to daily visits, ensuring families have consistent, reliable support during challenging times.
Support at Ronald McDonald House: We continued to engage with families staying at Ronald McDonald House, including hosting family pizza nights to foster community and offer a comforting environment.
Volunteer Recruitment: A dedicated team of 30 volunteers joined us, enabling us to extend and diversify the support we provide to families.
Weekly Stay and Play Groups: Our Stay and Play group grew into a weekly session, offering parents and children a space for play, connection, and shared experiences.
Community-Based Support: We introduced new initiatives, including counselling services, forest school experiences, and magical Santa visits for families.
Promoting Literacy on Neonatal Units: Donated bookcases and books to neonatal units, encouraging parents to read to their babies and strengthen those early bonds.
Secured Significant Funding: Received a grant from the National Lottery and secured a contract for the Best Start for Life program, enabling us to offer peer support at both Birmingham Women’s Hospital and Birmingham Children’s Hospital.

## **The Future**
Looking ahead, we are excited to continue growing our services to meet the evolving needs of families:
Community Support Expansion: Increase the availability of counselling services and introduce 1:1 peer support in the community.
New Initiatives: Launch our support services at Birmingham Children’s Hospital and recruit a dedicated peer support worker for dads.
Enhanced Volunteer Training: Provide specialised training to our volunteers to deepen the impact of our support services.
## **FINANCIAL REVIEW**
## **Financial Overview**
The charity received income amounting to £19,357 (2022-23: £24,391) during the year. This includes grants received of £8,500 (2022-23: £15,965) and donations received of £5,927 (202223: £3,256). The charity was able to also generate income from providing training services which amounted to £4,930 (2022-23: £5,170) during the year.
The charity's expenditure for the year amounted to £29,172 (2022-23: £23,610) which includes direct costs amounting to £28,552 (2022-23: £23,160) and support costs amounting to £620 (2022-23: £450).
Notable expenditure includes £17,758 on staffing (2022-23: £6,730), £2,170 on consultancy (2022-23: £2,230) and £1,236 (2022-23: £1,647) spent on events.
After taking all financial activity into account the charity made a deficit of £9,815 (2022-23: £781 surplus) across all funds. This includes a deficit of £1,582 (2022-23: £2,248 surplus) in unrestricted funds, and a deficit of £9,815 in restricted funds (2022-23: £1,467 deficit).
## **Reserves policy**
The trustees have agreed to a policy to build an unrestricted reserves position of a minimum of 3 months unrestricted expenditure. Based on current unrestricted reserves of £1,687 this policy has not been achieved. However, the charity has received a substantial grant in the 2024/25 financial year which is expected to significantly contribute towards the running costs of the charity.
## **Going concern**
The financial statements have been prepared on a going concern basis as the trustees believe that no material uncertainties exist. The trustees have considered the level of funds held and the expected level of income and expenditure for 12 months from authorising these financial statements.

## **STATEMENT OF TRUSTEES RESPONSIBILITIES**
The trustees are responsible for preparing the report of the trustees and the financial statements in accordance with applicable law and United Kingdom accounting standards (United Kingdom Generally Accepted Accounting Practice).
In preparing those financial statements, the trustees are required to:
- select suitable accounting policies and then apply them consistently;
- observe the methods and principles in the Charity SORP;
- make judgements and estimates that are reasonable and prudent;
- state whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements;
- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business.
The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

## **1 ACCOUNTING POLICIES**
## **Basis of preparing the financial statements**
The financial statements of the charitable entity have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 ' The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.
## **Income**
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.
For donations to be recognised the charity will have been notified of the amounts and the settlement date in writing. If there are conditions attached to the donation and this requires a level of performance before entitlement can be obtained then the income is deferred until those conditions are fully met or the fulfilment of those conditions is within the control of the charity and it is probable that they will be fulfilled.
Income from trading activities includes income earned from fundraising events, trading activities and the charges of premises costs to tenants. Income is received in exchange for supplying goods and services, in order to raise funds and is recognised when entitlement has occurred.
Income from grants, whether 'capital' grant or 'revenue' grants, is recognised at fair value when the charity has entitlement after any performance conditions have been met, it is probable that the income will be received and the amount can be measured reliably. If entitlement is not met then these amounts are deferred.
Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the charity; this is usually upon notification of interest paid or payable by the Bank.
## **Expenditure**
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all costs relating to the category. Where costs cannot be directly attributed to a particular heading they have been allocated to activities on a basis consistent with the use of resources. Expenditure is classified under the following activity headings:

## **Expenditure - continued**
Expenditure on charitable activities includes the direct costs of activities undertaken to further the purposes of the charity, including grants payable and all associated support costs.
Cost of raising funds comprises the costs of commercial trading.
Support costs are those that assist the work of the charity but do not directly represent charitable activities and include governance costs and administrative support costs. They are incurred directly in support of expenditure on the objects of the charity. Where support costs cannot be directly attributed to particular headings they have been allocated to cost of raising funds and expenditure on charitable activities on a basis consistent with the use of resources.
## **Cash at bank and in hand**
Cash at bank and cash in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.
## **Creditors and provisions**
Creditors and provisions are recognised where the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognised at their settlement amount after allowing for any trade discounts due.
## **Debtors**
Trade and other debtors are recognised at the settlement amount due after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due.
## **Taxation**
The charity is an exempt charity within the meaning of schedule 3 of the Charities Act 2011 and is considered to pass the tests set out in Paragraph 1 Schedule 6 Finance Act 2010.

## **1 ACCOUNTING POLICIES**
## **Fund accounting**
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
A detailed summary of each fund, both restricted and unrestricted, is included in the notes to the financial statements on page 14.
## **Trustees remuneration and benefits**
Jo-Anne Shellum who is the Chief Executive Officer and a Trustee of the charity received remuneration amounting to £17,758 (2022/23: £6,730 for her role as Chief Executive Officer. No remuneration was paid to Jo-Anne Shellum in relation to her ordinary duties as a Trustee. Her role as a Trustee is undertaken in a voluntary capacity.
Any and all remuneration has been paid in accordance with the charity's constitution, effective from 21 May 2020.
## **Trustees' expenses**
There were no trustees' expenses paid for the year ended 31 March 2024, nor for the year ended 31 March 2023 with the exception of reasonable out of pocket expenses.

## **8 MOVEMENT IN FUND - continued**
**General Fund -** This relates to general unrestricted funds including donations, training services and unconditional grants towards to be used towards the cost of general activities associated with the operations of Noah's Star.
The **Awards for All** grant was awarded to provide our support at Birmingham Women’s Hospital for a period of 12 months. The money is used to fund the project administrator salary and volunteer expenses.
The **Saturday Hospital Fund** was awarded for a 12 month period towards the costs of our counsellor.
A grant from the **Delamere Dairy Foundatio** n enabled us to deliver our stay and play groups to support babies and siblings.
Funds from the **Eveson Trust** were awarded to expand the work that we do within hospitals in the West Midlands.
