Introduction

The Trustees of STOS Theatre Company present their report and the unaudited financial statements as a charitable incorporated organisation (CIO) for the year ended 28th February 2025.

Reference and administrative information set out on page 1 forms part of this report. The financial statements comply with current statutory requirements, the charities constitution, and the Statement of Recommended Practice - Accounting and Reporting by Charities: SORP applicable to charities preparing their accounts in accordance with FRS 102.

The CIO was registered with the Charities Commission 6[th] January 2021, having previously been an unincorporated society.

Objectives and activities

For the public benefit, to promote and advance education in the performing arts, in particular, but not exclusively by the study and performance of operas, operetta, musicals and other genres of theatre including play readings, concerts, excerpts and fully staged performances in Sheffield and its surrounding area.

STOS Theatre Company achieves is objectives primarily through the performance of musical theatre, and the furtherance of amateur theatre in and around the Sheffield area.

Achievements and performance

In the year in question STOS Theatre Company has rehearsed and performed ‘Crazy For you’ with critical and artistic success. The show was staged at the Lyceum Theatre, Sheffield from November 19[th] to 23[rd] . A total of 6 shows were performed with audiences that were less than the previous year (Barnum)

The cast numbered 30+ including new members taking part in the production.

The live orchestra consisted of a total of 15 musicians.

Backstage a further 40+ people were involved in supporting roles ranging from Stage Management to Make-up, Properties design and Management, Dance Captain to mention just a few. Many roles are required to achieve our level of standards and success.

Financial review

The charity shows a deficit of £22,198 in the year (2024: £9,817). At the year-end total funds amounted to £88,705 (2024: £110,903). The charity’s funds are wholly unrestricted but there is a designated fund within these (The Wilkinson Hope Fund) which amounted to £1,555 at the end of the financial year (2024: £1,555).

The charity operates on the basis that any given show should be cost neutral. That is to say that the tickets sales, which are the charity’s main source of income, should cover the cost of presenting the show. Any surplus that is generated will be reinvested into the organisation’s future activities. The Trustees aim to hold reserves at a level approximating to the full cost of a production to ensure that any unforeseen loss of income does not jeopardise the charity as a going concern. This year, we are

showing a deficit on funds due to numerous factors, those mainly including lower than anticipated ticket sales, due to the current financial climate and rising costs, whilst trying to maintain the highest of production standards with our amateur status. This is the second year in a row where losses have been incurred and the Trustees are highly aware of this issue, leading to a more appealing show title to be chosen for 2025/26 with the hope this will reach more of a cross section of theatre goers and entice them to attend our productions.

Structure, governance and management.

The charity is governed by a board of Trustees.

The Trustees meet on a monthly basis to plan and make decisions on behalf of the charity and operate within the terms of the STOS Theatre Company Foundation document.

Every Trustee is appointed for a term of two years by resolution passed at a properly convened meeting of the board. In selecting individuals for appointment as charity Trustees, the charity Trustees have regard to the skills, knowledge and experience needed for the effective administration of the charity.

On appointment, each new charity Trustee is provided with a copy of the charity’s constitution and a copy of the latest Trustees' Annual Report and statement of accounts.

Risk and Going concern.

The Trustees do not consider there to be any going concern issues at present. The board considers the risks to which the charity might be exposed, in terms of both underlying operations and for each production and considers that adequate systems are in place to minimise and mitigate exposure to them.

STATEMENT OF TRUSTEES’ RESPONSIBILITIES

The charity Trustees are responsible for preparing a Trustees' annual report and financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

The law applicable to charities in England and Wales requires the charity Trustees to prepare financial statements for each year which give a true and fair view of the state of affairs of the CIO and of the incoming resources and application of resources, of the CIO for that period. In preparing the financial statements, the trustees are required to:

INDEPENDENT EXAMINER’S REPORT TO THE TRUSTEES OF STOS THEATRE COMPANY

I report on the accounts of STOS Theatre Company for the year ended 28 February 2025 which are set out on pages 6 to 21.

Respective responsibilities of trustees and examiner

The charity’s trustees are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”). I report in respect of my examination of the charity’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

Basis of independent examiner’s statement

My examination is carried out in accordance with Regulation 11 of the 2006 Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.
