REPORT OF THE TRUSTEES FOR THE 11 MONTHS ENDED 31 AUGUST 2022
The trustees who are also directors of the charity for the purposes of the Companies Act 2006 present their report and financial statements for the 11 months ended 31 August 2022 and confirm they have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019) and the Charities Act 2011.
Structure, governance and management
Homes for Humanity is a UK charity registered with the Charity Commission in England and Wales on 6 January 2021 under charity number 1192992. It is a charitable company limited by guarantee as defined by the Companies Act 2006 (company registration number 10968056) which was incorporated on 18 September 2017 and the governing documents are its Memorandum and Articles of Association.
The company is limited by guarantee without a share capital with use of “Limited” exemption. The liability of members is £10 each.
The trustees who served during the period and up to the date of this report are shown on page 2.
The charity is actively recruiting additional trustees to strengthen its skillset in financial management, fundraising and more specific experience dealing with the issues faced by the homeless which the charity aims to support.
In accordance with the Articles, the trustees obliged to retire by rotation will offer themselves for reelection at the next Annual General Meeting.
Objectives and activities
The objectives of the charity as set out in the governing document are:

to help to relieve poverty amongst persons throughout England and Wales who are homeless, potentially homeless or sleeping rough and provide advice on housing and accommodation; and
-
to promote any other charitable purpose in furtherance of the objects as the trustees from time to time determine.
The trustees have had due regard to the Charity Commission guidance on Public Benefit.
Achievements and performance
Since becoming a registered charity in January 2021, the charity has concentrated on fundraising and grant applications to support future activities. At the date of this report, a number of applications have been submitted but no grant funding has been agreed.
Financial review
The trustees have overall responsibility for the financial management of the organisation.
Expenditure is constantly under review to ensure that sufficient funds are available to meet the charity’s obligations as they fall due and the trustees have reasonable grounds to believe that future donation income and other support will be available to enable the charity to continue normal operations for the foreseeable future and undertake the planned future activities.

Future activities
In May 2023, the charity has acquired a small shop in Accrington which, after renovation, will provide a facility for the provision of support and advice to the homeless in the area.
The trustees continue to seek grant funding for future service delivery to the charity’s beneficiaries in furtherance of the charity’s objectives.

INDEPENDENT EXAMINER’S REPORT TO THE TRUSTEES OF HOMES FOR HUMANITY
I report to the charity trustees on my examination of the accounts of Homes for Humanity (the “Company”) for the 11 months ended 31 August 2022.
Responsibilities and basis of report
As the charity's trustees of the Company (and also its directors for the purposes of company law), you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (the “Companies Act”).
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the Companies Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under Section 145 of the Charities Act.
In carrying out my examination, I have followed the Directions given by the Charity Commission under Section 145(5)(b) of the Charities Act.
Independent examiner's statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:
-
accounting records were not kept in respect of the Company as required by Section 386 of the Companies Act; or
-
the accounts do not accord with these records; or
-
the accounts do not comply with the accounting requirements of Section 396 of the Companies Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
-
the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102)).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order for a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the period ended 31 August 2022.
The members have not required the company to obtain an audit of its financial statements for the period ended 31August 2022 in accordance with Section 476 of the Companies Act 2006.
The trustees acknowledge their responsibility for:
-
a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006; and
-
b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial period and of its surplus or deficit for each financial period in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.
These financial statements have been prepared in accordance with the provisions applicable to charitable companies subject to the small companies regime.

1. Accounting policies
The financial statements of the charitable company, which is a public benefit entity under FRS102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charites: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland’ and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.
Incoming resources
All incoming resources are included in the statement of financial activities when the charity is entitled to the income and the amount can be quantified with reasonable accuracy.
Resources expended
Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered and is reported as part of the expenditure to which it relates.
Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its beneficiaries. It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them.
Support costs are those costs incurred directly in support of expenditure on the objects of the charity and include project management.
Taxation
The charity is exempt from corporation tax on its charitable activities.
