## British Indian Colorectal Surgical Society

## THE PURPOSES OF THE CHARITY ARE:- 

(a) Promoting and educating British surgeons and trainees of Indian Origin with professional development and mentorship opportunities 

(b) For the public benefit funding, assisting, or contributing to, academic and/or medical research and other projects in collaboration with institutions in India aimed at discovering or improving medical knowledge of the causes of bowel diseases and aimed at finding or developing cures or treatments for bowel disease 

(c) Advancing the education of the public through information campaigns, collaborative research and developing registries to improve colorectal cancer outcomes for British Asians 

(d) Improving education of health professionals by developing exchange fellowships, specialist colorectal nurse training courses and online modular courses in Colorectal surgery (MSc, MD, PhD) in collaboration with Universities 

## TRUSTEES 

The charity shall be managed by a committee of trustees. The permanent trustees are Mr 

Veerbhadram Garimella (president), Mr Abhiram Sharma (treasurer) Mr Ramanna Kallam (treasurer) 

and Mr Sushil Maslekar (secretary). The rest of the trustees are appointed for a three year term at the Annual General Meeting (AGM) of the charity. They can apply for re-election at the end of their 

## term. 

## CARRYING OUT THE PURPOSES 

In order to carry out the charitable purposes, the trustees have the power to: 

(1) raise funds, receive grants and donations 

- (2) apply funds to carry out the work of the charity 

- (3) co-operate with and support other charities with similar purposes 

(4) do anything which is lawful and necessary to achieve the purposes 

## MEMBERSHIP 

The charity shall have a membership. People who support the work of the charity and are aged 18 

or over, can apply to the trustees to become a member. Once accepted by the trustees, 



membership lasts for 1 year and may be renewed. The trustees will keep an up-to-date membership list. 

The trustees may remove a person’s membership if they believe it is in the best interests of the charity. The member has the right to be heard by the trustees before the decision is made and can be accompanied by a friend. 

## ANNUAL GENERAL MEETING - AGM 

(1) The AGM must be held every year, with 14 days notice given to all members telling them what is on the agenda. Minutes must be kept of the AGM. 

(2) There must be at least 3 members present at the AGM. 

(3) Every member has one vote. 

- (4) The trustees shall present the annual report and accounts. 

(5) Any member may stand for election as a trustee. 

(6) Members shall elect between 3 and 10 trustees to serve for the next 3 years. They will retire after 3 years but may stand for re-election. 

## TRUSTEE MEETINGS 

(1) Trustees must hold at least 3 meetings each year. These may be face to face or video meetings. At their first meeting after the AGM they will elect a working committee to run the charity’s activities. Trustees may act by majority decision. 

(2) At least 3 trustees must be present at the meeting to be able to take decisions. Minutes shall be kept for every meeting. 

(3) If trustees have a conflict of interest, then they must declare it and leave the meeting while this matter is being discussed or decided. 

(4) During the year, the trustees may appoint up to 2 additional trustees. They will stand down after 3 years. 

(5) The trustees may make reasonable additional rules to help run the charity. These rules must not conflict with this constitution or the law. 

## MONEY AND PROPERTY 

(1) Money and property must only be used for the charity’s purposes. 

(2) Trustees must keep accounts. The most recent annual accounts can be seen by anybody on request. 



(3) Trustees cannot receive any money or property from the charity, except to refund reasonable out of pocket expenses. 

(4) Money must be held in the charity’s bank account. The two treasurers will have access to the charity’s accounts and will present full accounts at AGM every year. 

## GENERAL MEETINGS 

If the Trustees consider it is necessary to change the constitution, or wind up the charity, they must call a General Meeting so that the membership can make the decision. Trustees must also call a General Meeting if they receive a written request from the majority of members. All members must be given 14 days notice and told the reason for the meeting. All decisions require a two thirds majority. Minutes must be kept. 

(1) Winding up - any money or property remaining after payment of debts must be given to a charity with similar purposes to this one. 

(2) Changes to the Constitution - can be made at AGMs or General Meetings. No change can be made that would make the organisation no longer a charity. 

(3) General Meeting - called on written request from a majority of members. 

(4) Trustees may also call a General Meeting to consult the membership 

## Annual report of the Trustees 

After the pandemic which completely overtook the world for two years, normalcy finally returned in 2022.  Due to work commitments and pressures after COVID 19, we could not organise an annual conference. Dates in both spring and winter were discussed amongst members but it was identified that due to significant personal and work burden, we were not getting good attendance for the event. Hence plan for meeting was shelved and we had the necessary trustees meeting via zoom. All the plans previously put in place to get our educational/ training charity going have had to be re - started. The trustees meeting was held in March via zoom link and current situation 

Setting up a website was almost complete and progressing well 

1. Presentation of accounts by A Sharma. No expenditure this year. 

2. Charity status discussed by V Garimella. Work and future direction. 

3. Accounts reviewed and agreed. 

4. Aims and objectives revisited and options considered. Use of social media: Twitter / Facebook.

Plan: To ask members to do standing order on an annual basis. 

Overseas training networking. Colleague support for clinical improvement. Collaborative work with Indian Training Institutes to upscale and advance structured training in Indian subcontinent. 

Brics travelling fellowship for overseas and UK trainees to improve learning experience. Other website design and content nomination:

## Current Progress and future aspirations 

Website was in last stages of being set up. Last meeting with the website team, a few final points on the website were identified and these changes were being made before official launch of the website. Discussions with India surgical organisations like Indian Association of Gastrointestinal endosurgeons (IAGES) were had for mutual memorandum of understanding (MOU).  Initial travelling fellows have come from India to our centres and have benefitted from quality of surgical practice in this country. The long term goal is to have a steady flow of surgeons from both sides visiting, learning and enriching the experience. Setting and organising training courses (both simulation and cadaveric) in Indian Institutions  and also in UK would help in training the future generations of trainees
