Report of the Trustees

The Trustees present their report and financial statements for the year ended 31 March 2023.

Objectives and Activities

The purposes of the charity are:

(a) the advancement of education of the public in the subjects of sustainable and organic horticulture, beekeeping, sustainable development and environmental protection;

(b) the preservation and protection of good health among persons who are suffering from mental ill health or disability by the provision of therapeutic horticulture and related naturebased activities;

(c) the promotion of social inclusion for the public benefit by preventing people from becoming socially excluded, and relieving the needs of those people who are socially excluded and assisting them to integrate into society;

(d) the provision of facilities in the interests of social welfare for recreation or other leisure time occupation of individuals who have need of such facilities by reason of their youth, age, infirmity or disability, financial hardship or social circumstances with the object of improving their conditions of life.

“sustainable development” means development that meets the needs of the present without compromising the ability of future generations to meet their own needs;

“socially excluded” means being excluded from society, or parts of society, as a result of one of more of the following factors: unemployment; financial hardship; youth or old age; ill health (physical or mental); substance abuse or dependency including alcohol and drugs; discrimination on the grounds of sex, race, disability, ethnic origin, religion, belief, creed, sexual orientation or gender re-assignment; poor educational or skills attainment; relationship and family breakdown; poor housing (that is housing that does not meet basic habitable standards); crime (either as a victim of crime or as an offender rehabilitating into society).

Cross-Cultivate seeks to achieve these objects by fostering learning and skills in ecological agriculture, particularly for people from disadvantaged backgrounds, and supporting the development of broader training programmes in this field across the UK, particularly exploring how artists can support people to engage in creative activities that foster learning and skills, using a ‘green care’ approach.

The charity has started small and will seek to grow organically, responding to demand and need and developing partnership opportunities as they arise. In its first reporting period the focus was on establishing the charity’s procedures, strategic planning and fundraising. In this second period secured funds were used to to provide educational opportunities and advice in sustainable horticulture and broader environmental issues.

The trustees will review the aims, objectives and activities of the charity each year. As well as reporting what the charity has achieved and the benefits the charity has brought to those groups of people that it is set up to help, the review will also help the trustees ensure the charity's aims, objectives and activities remained focused on its stated purposes.

The trustees have referred to the guidance contained in the Charity Commission's general guidance on public benefit in reference to the charity's aims and objectives and in planning its future activities. In particular, the trustees consider how planned activities will contribute to the aims and objectives that have been set.

Achievements and performance

The charity was registered as a Charitable Incorporated Organisation on 17 November 2020. The Trustees’ initial goals were to set up a bank account and start to seek funds to deliver activities in line with the charity’s purpose. Due to the COVID-19 pandemic, trustee capacity was limited and banks were experiencing major delays in administering new accounts. It was therefore not until November 2021 that a bank account was opened, and fundraising undertaken.

The Trustees identified two areas of focus relating to securing funds for its early developmental phase, the first being to provide educational opportunities in horticulture and the second being environmental education relating to the climate emergency, with a particular focus on beneficiaries who are newly arrived migrants with English as a Second Language (ESOL), and disadvantaged young people included those not in education, employment or training. Three projects were carried out during the year which included work with these particular beneficiaries in Waltham Forest, as well as work with other people facing disadvantage through low income, unemployment or lack of qualifications, as outlined below.

The Trustees are satisfied that, having secured funds and spent them on educational activities in horticulture and environmental awareness, that Cross-Cultivate meets the statutory requirement to act for the public benefit. The Trustees have, through the course of the reporting period, referred to guidance published by the Charity Commission for England and Wales relating to the public benefit requirement when making decisions.

Financial review

The charity secured the following grants in 2022-23:

Reserves policy

The Trustees had agreed a target that Cross-Cultivate should hold a minimum of £500 in reserves by the end of its first reporting period. This was not intended to be the long-term reserves level, but a reflection of the trustees’ estimation of an attainable target. This target was not initially met due to delays in opening a bank account and being able to fundraise. However, it has been exceeded in this period.

The Trustees decided that Cross-Cultivate should seek to increase its reserve level in order to ensure that it is protected against any short-term incidents that could have a negative effect on CrossCultivate’s financial position. The long-term reserves level target was set by Trustees as the greater of 50% of annual expected turnover or £7,500, and this is subject to annual review.

Exemptions from disclosure

Cross-Cultivate has not sought any exemptions from disclosure in accordance with applicable law.

Funds held as Custodian Trustee on behalf of others

Cross-Cultivate has not acted as a custodian trustee on behalf of others during the reporting period.

Principal risks and uncertainties

The principal financial risk to the organisation is the uncertain funding environment in which we operate. The main steps to mitigate this are developing our work in planned, sustainable ways at a pace in keeping with funds available, and beginning to identify potential to diversify funding streams (earned income, donations, grants, etc).

Risk management

Internal financial risks are controlled by the directors through the receipt of a regular financial report encompassing management accounts, bank statements and reconciliation reports.

External risks to the charity are subject to constant review by the directors and will, in time, result in a strategic plan designed to minimise or eliminate their potential effects.

The charity trustees have given consideration to the major risks to which the charity is exposed and satisfied themselves that systems or procedures are established in order to manage those risks.

Plans for future periods

With funding secured, the charity has begun to implement educational activities in line with its purpose, working with partners as relevant to ensure grant outcomes are delivered. The charity will continue to identify further potential funding sources and fundraising opportunities, particularly in relation to providing bursaries for socially excluded students for environmental education and training.

Structure, governance and management

The organisation is a charitable incorporated organisation, registered as a charity on 17 November 2020.

The organisation was established under a memorandum of association which established the objects and powers of the CIO and is governed under its articles of association. The trustees are members of the charity but this entitles them only to voting rights. The trustees have no beneficial interest in the charity. All trustees give their time voluntarily and receive no benefits from the charity. No expenses were reclaimed from the charity in the reporting period.

The board of trustees administers the charity. The board normally meets quarterly online. An administrator providing pro bono services is appointed by the trustees to manage the day-to-day operations of the charity.

Appointment of trustees

As set out in the Articles of Association, Trustees are appointed for a term of three years by a resolution passed at a properly convened meeting of the Trustees.

None of the Trustees received any remuneration or benefits for their duties as Trustees. The payment of trustees is permitted by the charity’s governing document.

Trustee induction and training

New trustees are selected with regard to the skills, knowledge and experience needed for the effective administration of the CIO. New trustees are welcomed with an induction pack containing Constitution, latest published accounts and annual report, and set of the charity’s adopted policies and procedures.

Related parties and relationships with other organisations

None of our trustees receive remuneration or other benefit from their work with the charity. Any connection between a trustee with any service providers must be disclosed to the full board of trustees

in the same way as any other contractual relationship with a related party. In the current year no such related party transactions were reported.

During the year, one of the directors was also a director of OrganicLea CIC (Clare Joy). OrganicLea was paid by Cross-Cultivate to carry out activity on its behalf to assist with the delivery of grant-funded projects in pursuit of Cross-Cultivate's aims. In line with the organisation's memorandum of association clause on Conflicts of Interest and Conflicts of Loyalties, and its Conflict of Interest policy, the common director did not participate in discussion or decisions relating to these transactions.

Note 2 Accounting policies 2.2 INCOME

This standard list of accounting policies has been applied by the charity except for those ticked "No" or "N/a". Where a different or additional policy has been adopted then this is detailed in the box below.

Recognition of income
Gifts in kind for use by the charity are included in the SoFA as income from donations
when receivable.
Support costs
The charity has incurred expenditure on support costs.
Volunteer help
Donated goods for resale are measured at fair value on initial recognition, which is the
expected proceeds from sale less the expected costs of sale, and recognised in 'Income
from other trading activities' with the corresponding stock recognised in the balance
sheet. On its sale the value of stock is charged against 'Income from other trading
activities' and the proceeds from sale are also recognised as 'Income from other trading
activities'.
Goods donated for on-going use by the charity are recognised as tangible fixed assets
and included in the SoFA as incoming resources when receivable.
The value of any voluntary help received is not included in the accounts but is described
in the trustees’ annual report.
These are included in the Statement of Financial Activities (SoFA) when:
 the charity becomes entitled to the resources;
· it is more likely than not that the trustees will receive the resources; and
 the monetary value can be measured with sufficient reliability.

Grants and donations

Tax reclaims on donations
and gifts
Gift Aid receivable is included in income when there is a valid declaration from the donor.
Any Gift Aid amount recovered on a donation is considered to be part of that gift and is
treated as an addition to the same fund as the initial donation unless the donor or the
terms of the appeal have specified otherwise.
Donated services and facilities that are consumed immediately are recognised as income
with an equivalent amount recognised as an expense under the appropriate heading in
the SOFA.
The cost of any stock of goods donated for distribution to beneficiaries is deemed to be
the fair value of those gifts at the time of their receipt and they are recognised on receipt.
In the reporting period in which the stocks are distributed, they are recognised as an
expense at the carrying amount of the stocks at distribution.

Settlement of insurance Insurance claims are only included in the SoFA when the general income recognition criteria are met (5.10 to 5.12 FRS102 SORP) and are included as an item of other claims income in the SoFA. This includes any realised or unrealised gains or losses on the sale of investments and Investment gains and losses any gain or loss resulting from revaluing investments to market value at the end of the year.

2.3 EXPENDITURE AND LIABILITIES

Liability recognition Liabilities are recognised where it is more likely than not that there is a legal or constructive obligation committing the charity to pay out resources and the amount of the obligation can be measured with reasonable certainty.

Support costs have been allocated between governance costs and other support. Governance and support Governance costs comprise all costs involving public accountability of the charity and its costs compliance with regulation and good practice.

Support costs include central functions and have been allocated to activity cost categories on a basis consistent with the use of resources, eg allocating property costs by floor areas, or per capita, staff costs by the time spent and other costs by their usage. Where the charity gives a grant with conditions for its payment being a specific level of Grants with performance service or output to be provided, such grants are only recognised in the SoFA once the conditions recipient of the grant has provided the specified service or output. Where there are no conditions attaching to the grant that enables the donor charity to Grants payable without realistically avoid the commitment, a liability for the full funding obligation must be performance conditions recognised. Redundancy cost The charity made no redundancy payments during the reporting period. Deferred income No material item of deferred income has been included in the accounts.
