## **TRUSTEES’ ANNUAL REPORT**
The Trustees present their annual report and financial statements for Hastings Philharmonic Orchestra for the year ended 31 August 2025.
The financial statements have been prepared in accordance with the Charities Act 2011, applicable accounting standards and the Statement of Recommended Practice: Accounting and Reporting by Charities (FRS 102).
The Trustees confirm that they have had regard to the Charity Commission's guidance on public benefit when reviewing the charity's aims and objectives and planning future activities.
## **CHARITY’S OBJECTIVES**
- To advance education in classical music for the public benefit in Hastings and the wider 1066 region, East Sussex and Kent.
- To provide professional orchestral concerts, recitals, opera and educational events.
- To widen access to high-quality music across socio-economic boundaries.
- To build partnerships with schools, community groups and local charities.
- To introduce children and young people to live music and performance opportunities.
## **STRUCTURE, GOVERNANCE AND MANAGEMENT**
Hastings Philharmonic Orchestra is a Charitable Incorporated Organisation (CIO) governed by its Constitution.
The Board of Trustees is responsible for the strategic direction, governance and financial oversight of the charity. Day-to-day management is delegated to the Artistic Director and General Manager.
The charity has a formal recruitment/appointment process for its trustees. The candidates’ names are put forward by other trustees and the chair requests formal e- mail from applicants with a CV and expression of interest. The board of trustees discuss opportunity in the next board meeting or through e-mails. Then they make a formal appointment when a positive decision has been made.

## **ACHIEVEMENTS AND PERFORMANCE**
The 2024–25 season was one of the most active and impactful in Hastings Philharmonic Orchestra’s history.
During the year the orchestra delivered 21 projects encompassing full-scale orchestral concerts, chamber music, opera, choral performances, recitals and educational activity across Hastings, St Leonards, Winchelsea, Etchingham and other venues in Sussex and beyond.
The season featured repertoire spanning more than three centuries, including works by Verdi, Grieg, Brahms, Handel, Mozart, Dvořák, Bartók, Stravinsky, Prokofiev, RimskyKorsakov and Bernstein.
## **Highlights of the year included:**
A major autumn concert at the White Rock Theatre featuring music by Verdi, Grieg and Brahms, attended by 749 audience members.
A Christmas Gala at Christ Church which attracted an audience of over 500.
A staged performance of Mozart’s Don Giovanni at Christ Church in St Leonards on Sea and at The Cockpit in London in partnership with Ensemble OrQuesta. Dvořák’s Stabat Mater with Hastings Philharmonic Choir at Christ Church. Stravinsky’s The Soldier’s Tale at the Stables Theatre.
Chamber concerts and recitals featuring guest artists including Emil Chakalov.
## **Audience Statistics**
The season generated total audience attendance of 3,932 and included the distribution of 841 free tickets through the charity’s accessibility schemes.
HPO created 426 paid engagements for professional musicians and 425 opportunities for amateur performers, demonstrating the orchestra’s dual role as both a professional performing organisation and a community music charity.
## **PUBLIC BENEFIT**
The Trustees consider that Hastings Philharmonic Orchestra delivered significant public benefit during the year by:
Presenting a varied programme of high-quality orchestral, chamber, choral and operatic performances.
Providing free and subsidised access to live classical music through Pay What You Can initiatives and free ticket schemes.

Offering educational opportunities for children and young people through HPO Songbirds and family concerts.
Creating performance opportunities for amateur singers and musicians.
Supporting professional musicians through paid engagements.
Working in partnership with schools, charities and community organisations.
HPO Songbirds, the orchestra’s free children’s choir, continued to flourish and had approximately 30 members by the end of the reporting period.
In total, the charity provided 187 participatory opportunities for children and young people during the year.
## **Audience Growth**
Audience attendance rose from 3,216 to 3,932 and free ticket uptake increased from 171 to 841.
## **Friends Scheme**
HPO saw continued growth in Friends membership.
## **Geographic Reach**
The programme extended beyond Hastings into the wider 1066 region including Winchelsea, Etchingham and Horsham.
## **Organisational Development**
The year demonstrated the need to strengthen staffing and operational capacity as the organisation continues to grow.
## **FUNDRAISING AND FUNDRAISING PRACTICES**
Principal sources of income include ticket sales, grants from trusts and foundations, sponsorship, individual donations and membership income from the Friends scheme. The Trustees are particularly grateful to the Garfield Weston Foundation, the Foyle Foundation, the Chalk Cliff Trust, the Kowitz Family Foundation, and to all donors, friends and other supporters.

## **FINANCIAL REVIEW**
The charity ended the year in a positive financial position and the Trustees are satisfied that the charity remains a going concern.
During the year, the charity received unrestricted income of £147,294 (2024:£158,214) and total charitable expenditure for the year was £160,216 (2024:£128,607) leaving a net deficit for the year of £12,923 (net surplus for 2024: £29,607).
## **RESERVES**
The Trustees recognise the importance of maintaining appropriate unrestricted reserves to provide resilience and support future development.
As of 31[st] August 2025, the charity had unrestricted reserves of £20,240 (2024: £33,162).
## **RISK REVIEW**
The principal risks facing the charity include rising production costs, economic pressures on audiences, variability in grant funding, organisational capacity constraints and cancellation risks.
## **PLANS FOR CELEBRATING THE ORCHESTRA’S TENTH SEASON**
- Celebrating the orchestra's tenth season.
- Consolidating audience growth.
- Expanding educational and community programmes.
- Strengthening organisational capacity.
- Growing fundraising from individuals, trusts and corporate supporters.
- Further developing HPO Songbirds and opportunities for young people.

## **THE TRUSTEES’ RESPONSIBILITIES**
The trustees are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that year.
In preparing these financial statements, the trustees are required to:
- select suitable accounting policies and then apply them consistently;
- observe the methods and principles in the Charities SORP;
- make judgements and estimates that are reasonable and prudent; and
- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation.
The trustees are responsible for keeping adequate accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

## **INDEPENDENT EXAMINER’S REPORT**
I report to the trustees on my examination of the financial statements of Hastings Philharmonic Orchestra (the charity) for the year ended 31 August 2025.
## **Responsibilities and basis of report**
As the trustees of the charity, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the 2011 Act').
I report in respect of my examination of the Charity's accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
## **Independent examiner's statement**
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:
- 1 accounting records were not kept in respect of the Charity as required by section 130 of the Act; or
- 2 the accounts do not accord with those records.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **1. Accounting policies**
## **1.1 Basis of preparation**
The accounts have been prepared on the Receipts and Payments basis and in accordance with the Charities Act 2011.
## **1.2 Going Concern**
At the time of approving the financial statements, the trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus the trustees continue to adopt the going concern basis of accounting in preparing the financial statements.
## **2 Related parties and transactions with trustees.**
During the year two trustees were paid for the provision of services to the charity, Marcio da Silva was paid a total of £23,051 for his administrative role of CEO/Artistic director and Helen May da Silva was paid £15,368 for her role as General manager.

## **TRUSTEES’ ANNUAL REPORT**
The Trustees present their annual report and financial statements for Hastings Philharmonic Orchestra for the year ended 31 August 2025.
The financial statements have been prepared in accordance with the Charities Act 2011, applicable accounting standards and the Statement of Recommended Practice: Accounting and Reporting by Charities (FRS 102).
The Trustees confirm that they have had regard to the Charity Commission's guidance on public benefit when reviewing the charity's aims and objectives and planning future activities.
## **CHARITY’S OBJECTIVES**
- To advance education in classical music for the public benefit in Hastings and the wider 1066 region, East Sussex and Kent.
- To provide professional orchestral concerts, recitals, opera and educational events.
- To widen access to high-quality music across socio-economic boundaries.
- To build partnerships with schools, community groups and local charities.
- To introduce children and young people to live music and performance opportunities.
## **STRUCTURE, GOVERNANCE AND MANAGEMENT**
Hastings Philharmonic Orchestra is a Charitable Incorporated Organisation (CIO) governed by its Constitution.
The Board of Trustees is responsible for the strategic direction, governance and financial oversight of the charity. Day-to-day management is delegated to the Artistic Director and General Manager.
The charity has a formal recruitment/appointment process for its trustees. The candidates’ names are put forward by other trustees and the chair requests formal e- mail from applicants with a CV and expression of interest. The board of trustees discuss opportunity in the next board meeting or through e-mails. Then they make a formal appointment when a positive decision has been made.

## **ACHIEVEMENTS AND PERFORMANCE**
The 2024–25 season was one of the most active and impactful in Hastings Philharmonic Orchestra’s history.
During the year the orchestra delivered 21 projects encompassing full-scale orchestral concerts, chamber music, opera, choral performances, recitals and educational activity across Hastings, St Leonards, Winchelsea, Etchingham and other venues in Sussex and beyond.
The season featured repertoire spanning more than three centuries, including works by Verdi, Grieg, Brahms, Handel, Mozart, Dvořák, Bartók, Stravinsky, Prokofiev, RimskyKorsakov and Bernstein.
## **Highlights of the year included:**
A major autumn concert at the White Rock Theatre featuring music by Verdi, Grieg and Brahms, attended by 749 audience members.
A Christmas Gala at Christ Church which attracted an audience of over 500.
A staged performance of Mozart’s Don Giovanni at Christ Church in St Leonards on Sea and at The Cockpit in London in partnership with Ensemble OrQuesta. Dvořák’s Stabat Mater with Hastings Philharmonic Choir at Christ Church. Stravinsky’s The Soldier’s Tale at the Stables Theatre.
Chamber concerts and recitals featuring guest artists including Emil Chakalov.
## **Audience Statistics**
The season generated total audience attendance of 3,932 and included the distribution of 841 free tickets through the charity’s accessibility schemes.
HPO created 426 paid engagements for professional musicians and 425 opportunities for amateur performers, demonstrating the orchestra’s dual role as both a professional performing organisation and a community music charity.
## **PUBLIC BENEFIT**
The Trustees consider that Hastings Philharmonic Orchestra delivered significant public benefit during the year by:
Presenting a varied programme of high-quality orchestral, chamber, choral and operatic performances.
Providing free and subsidised access to live classical music through Pay What You Can initiatives and free ticket schemes.

Offering educational opportunities for children and young people through HPO Songbirds and family concerts.
Creating performance opportunities for amateur singers and musicians.
Supporting professional musicians through paid engagements.
Working in partnership with schools, charities and community organisations.
HPO Songbirds, the orchestra’s free children’s choir, continued to flourish and had approximately 30 members by the end of the reporting period.
In total, the charity provided 187 participatory opportunities for children and young people during the year.
## **Audience Growth**
Audience attendance rose from 3,216 to 3,932 and free ticket uptake increased from 171 to 841.
## **Friends Scheme**
HPO saw continued growth in Friends membership.
## **Geographic Reach**
The programme extended beyond Hastings into the wider 1066 region including Winchelsea, Etchingham and Horsham.
## **Organisational Development**
The year demonstrated the need to strengthen staffing and operational capacity as the organisation continues to grow.
## **FUNDRAISING AND FUNDRAISING PRACTICES**
Principal sources of income include ticket sales, grants from trusts and foundations, sponsorship, individual donations and membership income from the Friends scheme. The Trustees are particularly grateful to the Garfield Weston Foundation, the Foyle Foundation, the Chalk Cliff Trust, the Kowitz Family Foundation, and to all donors, friends and other supporters.

## **FINANCIAL REVIEW**
The charity ended the year in a positive financial position and the Trustees are satisfied that the charity remains a going concern.
During the year, the charity received unrestricted income of £147,294 (2024:£158,214) and total charitable expenditure for the year was £160,216 (2024:£128,607) leaving a net deficit for the year of £12,923 (net surplus for 2024: £29,607).
## **RESERVES**
The Trustees recognise the importance of maintaining appropriate unrestricted reserves to provide resilience and support future development.
As of 31[st] August 2025, the charity had unrestricted reserves of £20,240 (2024: £33,162).
## **RISK REVIEW**
The principal risks facing the charity include rising production costs, economic pressures on audiences, variability in grant funding, organisational capacity constraints and cancellation risks.
## **PLANS FOR CELEBRATING THE ORCHESTRA’S TENTH SEASON**
- Celebrating the orchestra's tenth season.
- Consolidating audience growth.
- Expanding educational and community programmes.
- Strengthening organisational capacity.
- Growing fundraising from individuals, trusts and corporate supporters.
- Further developing HPO Songbirds and opportunities for young people.

## **THE TRUSTEES’ RESPONSIBILITIES**
The trustees are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that year.
In preparing these financial statements, the trustees are required to:
- select suitable accounting policies and then apply them consistently;
- observe the methods and principles in the Charities SORP;
- make judgements and estimates that are reasonable and prudent; and
- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation.
The trustees are responsible for keeping adequate accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

## **Responsibilities and basis of report**
As the trustees of the charity, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the 2011 Act').
I report in respect of my examination of the Charity's accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
## **Independent examiner's statement**
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

## **1. Accounting policies**
## **1.1 Basis of preparation**
The accounts have been prepared on the Receipts and Payments basis and in accordance with the Charities Act 2011.
## **1.2 Going Concern**
At the time of approving the financial statements, the trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus the trustees continue to adopt the going concern basis of accounting in preparing the financial statements.
## **2 Related parties and transactions with trustees.**
During the year two trustees were paid for the provision of services to the charity, Marcio da Silva was paid a total of £23,051 for his administrative role of CEO/Artistic director and Helen May da Silva was paid £15,368 for her role as General manager.
