## "Never doubt that a small group of thoughtful committed individuals can change the world." 

## Margaret Mead 

Having a breast cancer diagnosis is a traumatic experience. Being given a diagnosis and then being told it’s a disease that you’ve never even heard of, only compounds the fear and sense of isolation. This is the experience of most people on being told that they have lobular breast cancer: the second most prevalent subtype of this disease. 

Despite making up around 15% of all breast cancers, there are no targeted treatments for lobular despite research demonstrating that it behaves and responds to treatments in a unique way. 

Covid-19 has also had a devastating effect on cancer treatment since 2020 with increased waiting times, delays in diagnosis and treatments being postponed or stopping completely. 

Whilst I would never advise anyone to set up a charity in the middle of a global pandemic, it highlighted the importance of patient focused organisations in driving forward our needs and ensuring that we are at the heart of new knowledge, innovations and clinical change. 

I am really proud of what we have achieved in our first year as a small group of volunteers. We are already seeing impacts from the work we have begun. 

I want to personally thank our Founder Members & first Trustees Emma Amos, Danni Buck, Helen Coulthard, Darlaine Honey, Lorna McHattie, Kirstin Spencer and Ruth Warden for their vision, energy and commitment in launching our Charity. We are all living with a lobular breast cancer diagnosis. 

Our Board joins me in thanking our first Patron Josie Lloyd, who has had her own lobular diagnosis; our Scientific and Medical Advisory Group; our families, friends, supporters, funders and partners especially our international partners Lobular Breast Cancer Alliance, Lobular Ireland and the European Lobular Breast Cancer Consortium. 

We look forward to 2022 with renewed vigour and a commitment to unlocking the primary challenges presented by this distinct disease that is lobular breast cancer.

## Objects and aims 

The object of the CIO is to preserve and protect the health and wellbeing of people in the UK through the provision of education, training, support with trials and research, lobbying and advocacy around lobular breast cancer. 

## Review of Activities 

We lead with our purpose “Working together, we can all live well” and our primary value “The patient is always first” 

Launching a new charity in the middle of a global pandemic was no mean feat but it demonstrated our resilience, professionalism and commitment to making changes in the lives of everyone with a lobular breast cancer diagnosis. 

The restrictions of the pandemic prevented us from providing activity in a face-to-face capacity, and actually accentuated the isolation that many people feel from a lobular breast cancer diagnosis. 

We had to rethink the initial plans for our first year identifying what we could do digitally and remotely that enabled us to drive forward our aims and provide public benefit. 

In October 2021, published author Josie Lloyd joined us as our first Patron, bringing her own lived experience of a lobular diagnosis to the charity. 

## Stakeholder Consultation 

We held a series of online consultation workshops with people who have had a lobular breast cancer diagnosis. This was to ensure that our plans were in line with the needs of a broad range of people and not simply the initial founder members. 

This consultation has been fed into our plans for the charity.

In October 2021, working with De Montfort University, we launched a Delphi study Setting Priorities for lobular breast cancer research: a patient-led consensus study led by Dr Helen Coulthard and Dr Lorna McHattie to help lead out work in the UK. The study will be published in 2022. 

With imaging being a huge issue for lobular patients, De Montfort University MA student Victoria Rake, began a study to understand the experience of having a cancer that has been missed on mammogram: Missed Cancers: Lobular Breast Cancer that has been missed on screening. The findings will be published in 2022.

## Fundraising disclosures 

We began planning the delivery of our first pilot fundraising event Walking our Mammaries, a mountain challenge tackling peaks named after breasts. The challenge will take place in May 2022 in Scotland. In October 2021, 8 women took part in the first training weekend for the challenge in the Peak District. 

We have received donations and in-kind support from companies Boom Solutions, Eden Search, Joy of Adventure, Large Outdoors and individual donations from family and friend supporters in helping us to fund the first year of our charity. 

## Public benefit 

The trustees confirm that they have complied with the requirements of section 17 of the Charities Act 2011 to have due regard to the public benefit guidance published by the Charity Commission for England and Wales. 

## Financial review 

As a volunteer run charity we currently have no overheads. 

Our annual budgets are approved and monitored by the Board at each quarterly meeting. Any variances from the proposed budget are highlighted and discussed at the meetings. 

In the opinions of the Trustees, the Charitable Company’s assets are sufficient to fulfil the obligations of the Charity.

## Policy on reserves 

For the first year, the Board has agreed to have zero reserves due to there being very limited fixed operational costs within LBCUK (especially no staff costs) and no picture of the actual overheads and income streams that we will be accessing as a new charity. 

In the long term, the trustees propose to maintain the charity’s reserves at a level which is at least equivalent to three/six months’ operational expenditure. This figure will be set after production of our first charity accounts..

## Aims and key objectives for future periods 

Our future plans focus on building activity to achieve the four key aims of our charity: 

AIM 1: INFORMATION & EDUCATION: we advance education and understanding of lobular breast cancer by providing information for the public, clinicians, health professionals, researchers, relevant charities and the media. 

AIM 2: POLICY & TREATMENT GUIDELINES: we will work with partners to develop appropriate policy and treatment guidelines across the UK, recognising the different health systems across the four countries. 

AIM 3: RESEARCH: we will work with patients, clinicians and health professionals to ensure that research and trials conducted for lobular breast cancer meet the needs of patients, and we will raise funds for research projects. 

AIM 4: SUPPORT: we provide routes to appropriate support and connection for patients, reducing the isolation and fear of a lobular breast cancer diagnosis. 

A key focus for 2022 is to start providing activity that brings together people who have had a lobular diagnosis helping to reduce their isolation and provide information in a safe and supportive environment. 

We want to build stronger collaborative relationships across the UK and internationally with other lobular specific and breast cancer charities. In June 2022, we will be attending the annual International ILC Symposium to build knowledge about LBCUK, strengthen existing and build new relationships, and to be at the forefront of research into this distinct disease.

## Nature of governing document 

The Charity is a Charitable Incorporated Organisation and is governed by its Foundation CIO Constitution. It is registered as a CIO with the Charity Commission for England & Wales.

## Recruitment and appointment of trustees 

The Trustees are collectively known as the Board. 

Trustees are appointed by invitation from the existing Trustees and through an open recruitment process, following a majority vote of the Trustees of the Charity. 

Invited potential Trustees are requested to either provide a CV and covering letter for consideration by the Board or to complete a formal application process for open recruitment. All Trustees are interviewed by a panel of three Trustees and a recommendation is made to the Board if they are determined to be suitable to be invited as a Trustee. 

## Induction and training of trustees 

New Trustees are provided with a copy of the Charity Commission’s leaflet for new Trustees, 'The Essential Trustee: what you need to know, what you need to do' (CC3), copy of our Constitution, a copy of the Charity Governance Code, recent Board minutes and Annual Report and Accounts. They also receive a briefing with the current Chair. 

## Organisational structure 

The Charity is governed by the Board and managed by the charity’s Trustees and four voluntary Founder Members. The Trustees who have acted during the year are listed above. 

Trustees meet together approximately 4 - 5 times a year to discuss and agree on all matters of charity governance, policy and strategy. Further ad hoc meetings are organised as required to address specific issues. Trustees develop strategies to increase charity awareness, widen reach across our stakeholders and build the sustainability of this new and growing organisation. 

These meetings also include budget reports and cash flow. Any changes in strategy are discussed, amended and when agreed, adopted as written charity policy by Trustees. 

Where risks are identified, steps are taken to mitigate these risks, including reference to how the charity has met its charitable aims in the advancement of education, training, support, research and advocacy. Any actions taken are then reported on and reviewed at subsequent meetings. 

The implementation of policies and strategies is delivered operationally by the five Trustees and the four volunteer Founder Members. To ensure that all of our activities are evidence based and reflect the latest scientific knowledge about lobular breast cancer, we have a Scientific and Medical Advisory Group involving five respected clinicians and researchers in the field of lobular breast cancer. 

We have no premises and are based across the UK. 

All Trustees and relevant volunteers are DBS checked and participate in relevant training programmes.

## Review of Risks 

The Trustees have considered the major risks facing the charity and have put in place appropriate policies and procedures to mitigate them. 

COVID 19 remains an on-going concern, especially when working with people who may be vulnerable, and we continue to follow government guidelines in this area.

## Statement of Trustees' Responsibilities 

Under charity law, the charity trustees are responsible for preparing the trustee's annual report and financial statements for each financial year in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice), including FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland". 

The law applicable to charities in England and Wales requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the income and expenditure of the charity for that period. In preparing these financial statements, the trustees are required to: 

- select suitable accounting policies and apply them consistently; 

- observe the methods and principles in the Charities SORP; 

- make judgements and estimates that are reasonable and prudent; 

- state whether FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" has been followed, subject to any material departures disclosed and explained in the financial statements; and 

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation. 

The trustees are responsible for keeping accounting records that are sufficient to show and explain the charity's transactions and disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 2011, the Charities (Accounts and Reports) Regulations 2008 and the provisions of the CIO constitution. It is also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

The trustees are responsible for the maintenance and integrity of the charity and financial information included on the charity's website. Legislation in the United Kingdom governing the preparation and dissemination of financial statements may differ from legislation in other jurisdictions.

## 1 Charitable incoporated organisation status

## 2 Accounting policies 

## Summary of significant accounting policies and key accounting estimates 

The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all the years presented, unless otherwise stated. 

## Statement of compliance 

The financial statements have been prepared in compliance with United Kingdom Accounting Standards, including Financial Reporting Standard 102, ''The Financial Reporting Standard applicable in the United Kingdom and the Republic of Ireland'' (''FRS 102'') the Charities Act 2011, and Charities (Accounts and Reports) Regulations 2008, as well as the Statement of Recommended Practice (SORP) “Accounting and Reporting by Charities” 2019. 

## Basis of preparation 

Lobular Breast Cancer UK meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy notes. 

## Going concern 

The trustees consider that there are no material uncertainties about the charitable incoporated organisation's ability to continue as a going concern nor any significant areas of uncertainty that affect the carrying value of assets held by the charitable incoporated organisation. 

## Exemption from preparing a cash flow statement 

The charitable incoporated organisation opted to early adopt Bulletin 1 published on 2 February 2016 and have therefore not included a cash flow statement in these financial statements. 

## Income and endowments 

All income is recognised once the charitable incoporated organisation has entitlement to the income, it is probable that the income will be received and the amount of the income receivable can be measured reliably.

## Donations and legacies 

Donations are recognised when the charitable incoporated organisation has been notified in writing of both the amount and settlement date. In the event that a donation is subject to conditions that require a level of performance by the charitable incoporated organisation before the charitable incoporated organisation is entitled to the funds, the income is deferred and not recognised until either those conditions are fully met, or the fulfilment of those conditions is wholly within the control of the charitable incoporated organisation and it is probable that these conditions will be fulfilled in the reporting period. 

## Expenditure 

All expenditure is recognised once there is a legal or constructive obligation to that expenditure, it is probable settlement is required and the amount can be measured reliably. All costs are allocated to the applicable expenditure heading that aggregate similar costs to that category. Where costs cannot be directly attributed to particular headings they have been allocated on a basis consistent with the use of resources, with central staff costs allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset’s use. Other support costs are allocated based on the spread of staff costs. 

## Raising funds 

These are costs incurred in attracting voluntary income, the management of investments and those incurred in trading activities that raise funds. 

## Charitable activities 

Charitable expenditure comprises those costs incurred by the charitable incoporated organisation in the delivery of its activities and services for its beneficiaries. It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them. 

## Support costs 

Support costs include central functions and have been allocated to activity cost categories on a basis consistent with the use of resources, for example, allocating property costs by floor areas, or per capita, staff costs by the time spent and other costs by their usage. 

## Taxation 

The charitable incorporated organisation s a registered charity and is thus exempted from taxation of its income and gains falling within section 524 of the Income Tax Act 2007 to the extent that they are applied to its charitable objectives. No tax charge has arisen in the year. 

## Cash and cash equivalents 

Cash and cash equivalents comprise cash on hand and call deposits, and other short-term highly liquid investments that are readily convertible to a known amount of cash and are subject to an insignificant risk of change in value. 

## Fund structure 

Unrestricted income funds are general funds that are available for use at the trustees's discretion in furtherance of the objectives of the charitable incoporated organisation.

## Classification 

Financial assets and financial liabilities are recognised when the charitable incorporated organisation becomes a party to the contractual provisions of the instrument. 

Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the charitable incorporated organisation after deducting all of its liabilities.

No trustees, nor any persons connected with them, have received any remuneration from the charitable incoporated organisation during the year. 

No trustees have received any reimbursed expenses or any other benefits from the charity during the year.
