The Foundation wa5 establi4hert in 2015 as an unincorF4)rated charitsble foundation Iregister￿ charity number 11572291. In
2019, the tfustees resolved to transition to a Charitable Incorporated Organi5ation ICIOI 5trutture to enhance govemance and
operational flexibiltty. Thi5 change was formalty recoEnised in 2020 wrth the re¥i5tration of the new entity. In 2021, all assets
of the original foundation were successfulty transferred to the ne*lormed DWF fwndation (Tegistefed charity number
11913471. The orlgin31 foundation was dosed in 2022.
In 2019. OWF donatEd 1.8 million shares to the charityas prt of fioating as a public company. Th1$gener￿J5 gift was intended
to suptK)rtthe charity's gTant-Kr¥ing 6ctivttie5. The Sha￿5 weTe translerred to the Foundation in 2021.
In 2023, DWF LIE4isted from the st(Kk exhange and tts ￿SUed Share capikl was bought a pr￿ate e4uity&cked company.
Following the sale of the shares, the Four￿at￿n trustees instructed weath manager5, Rathbtsries. to rEinvEst the protÈeds I

The Foundation has maintained its commitment to awarding one-year 8ftnts. ensuAng that funds are dlsbursed onty tf the
cash 15 available in the bank.
The Found*ion's reserves policy of £IO.(MX) Ls deemed suffldent to resKX)nd to emergÈnLV 6ppli¢ation5 for grdnts and to cover
80vernance costs. The Foundation's prudent finantial managemert is further supwrted by the generou5 in-kind 5UPPOrt
provided by DWF, whlch covets overhead tosts and ernploys the Foundation Mafidger and Corporate ￿Cial Responsibility
"CSR") Officer who support the operational actNitTe5 of the chaftty.
The FOunda￿on'$ Investment portfolio continves to generatr a stsble incorne, prO￿dIng flexibilty for the trustees to manage
funds withln the guidelinÈs Set by the Charity Commission.
The Foundation has also e5tabli5hed a separate investment pot to manage fvnds received from dormant accounts, mitSgatlng

All income is recpi¥ed into a dedicated bank account (separate from DWF systemsl to preserve the Foundation's independen
and financial integrtty- Income ￿ mcnitored monthly through bank ststements provided by the DWF Payments Team. Grant
payments are approved by trustees and Pfocessed through a strurtured wOrk￿0W involving corrfirrnation etnails, payrnent
spreadsheets and final authorisation by the Foundation Manager kfore submission to the DWF Finance Teatri. Non-grant
expenditure 15 proce55ed via DWF's Snternal systern. overseen ty the DWF Foundatlon M3nageF and authorised by DWF'S Chief
Sustsinability Officer.

The trtstteos airn to rnaintain free reserves of £10.(￿ in Unrestr￿ted ftsnds. -Free reseryes are deflnÈd as unrertrictÈd lunds
that are readily availèble for use. exduding any designated funds or fixed assets. Th55 amount is deemed suffitient to respond

At the time of approving the financial ststements. the trustees I￿e a reasonable expect4tion that the charity has
