Trustees who served during the year ended 30 September 2025:

Kidenza does not appoint fixed officeholders among its trustees; the Chair is chosen at each board meeting.

Chief Executive Officer: Claire Lambert, Founder and CEO. Claire is not a member of the board of trustees; she leads the charity's day-to-day operations and reports to the trustees.

2. Structure, Governance and Management

Kidenza is a Charitable Incorporated Organisation, governed by its constitution, which was adopted on 10 December 2019. It is administered by its board of trustees, who meet regularly to review activity, finances and strategy.

The constitution has not been amended since its adoption.

The charity is led day to day by the Founder and CEO, supported since September 2025 by a part-time Concert Coordinator. The board agreed at its away-day in January 2025 to recruit this role in order to share the CEO's workload and increase capacity for fundraising and relationship-building.

During the year the board continued to seek a trustee with marketing expertise, advertising the role via LinkedIn and other channels, but this recruitment remained unsuccessful by the year end.

An independent examination of the accounts was carried out by Scott Moen ACA of Moen and Co, in accordance with section 145 of the Charities Act 2011. The examiner's report, signed 28 January 2026, raised no matters of concern regarding the accounting records or the accounts.

3. Objectives and Activities

Charitable objects

Public benefit statement

The trustees confirm that they have complied with their duty under section 17 of the Charities Act 2011 to have due regard to the Charity Commission's general guidance on public benefit in exercising their powers and duties, and that Kidenza's activities during the year were carried out in furtherance of its charitable purposes for the public benefit.

How Kidenza delivers its objects

Kidenza brings live professional orchestral concerts and workshops directly into school halls across Kent, Sussex and the wider Southeast, removing the cost and logistical barriers of travelling to a concert venue. Concerts are delivered by a full orchestra or a smaller ensemble, are curriculum-linked, and are offered alongside free educational resources for teachers. The charity prioritises schools with high numbers of pupils eligible for Free School Meals, recognising that children from lower-income families are least likely to otherwise experience live orchestral music.

Total incoming resources for the year were £63,706 (2023–24: £44,566), driven mainly by income from events and workshops (£47,063) and patron donations (£14,768). Total resources expended were £60,970 (2023–24: £37,211), the great majority of which (£56,147) was spent on salaries and subcontracted musicians — reflecting Kidenza's deliberate focus on keeping funds close to delivery rather than overheads. This resulted in a net surplus of £2,736 for the year, bringing cash funds carried forward to £15,770 (2023–24: £13,034).

Reserves policy

Kidenza's Policy on Reserves, approved by the Board of Trustees on 23 July 2025, sets a target level of unrestricted reserves equivalent to a minimum of three months of regular operating costs — approximately £2,896 based on the current budget. Reserves are defined as the part of unrestricted funds freely available to spend on the charity's purposes, excluding restricted funds, designated funds and fixed assets. The policy is reviewed at least annually during budget planning, or sooner if there is a significant change in income or expenditure.

On 30 September 2025, unrestricted cash funds stood at £15,770, comfortably above the £2,896 target. The trustees consider this appropriate given the charity's reliance on a small number of grant funders and the seasonal, booking-dependent nature of its income, and will keep the target level under review as set out in the policy.

Principal funding sources

Kidenza's income is drawn from three main sources: fees and voluntary contributions from schools for events and workshops; grants from trusts, foundations and public bodies (including Tesco Community Grants, the Bowerman Foundation and the UK Shared Prosperity Fund); and donations from individual patrons.

6. Plans for the Future

The trustees intend to build on the year's progress in the following areas:

The trustees are aware that, since the year end, schools nationally have continued to report constrained budgets and reduced parental contributions towards trips and activities, and that this has begun to affect the pipeline of confirmed bookings. The trustees are responding by reviewing Kidenza's offer to schools to improve demonstrable value for money, and by broadening income sources as set out above.

7. Trustees' Responsibilities Statement

The trustees are responsible for preparing the Trustees' Annual Report and the accounts in accordance with applicable law and regulations. Charity law requires the trustees to prepare accounts for each financial year which give a true and fair view of the state of affairs of the charity and of its income and expenditure for that period.

In preparing these accounts, the trustees are required to: select suitable accounting policies and apply them consistently; make judgements and estimates that are reasonable and prudent; state whether applicable accounting standards have been followed; and prepare the accounts on the going concern basis unless it is inappropriate to presume the charity will continue in operation.

The trustees confirm that, to the best of their knowledge, there is no relevant information of which the charity's independent examiner is unaware, and that they have taken all steps they ought to have taken to make themselves aware of any relevant information and to establish that the examiner is aware of it.
