## **Report of the Directors** 

## **Year ended 31 August 2021** 

The directors are pleased to present their annual directors’ report together with the unaudited financial statements of the company for the year ended 31 August 2021. 

The financial statements comply with the Charities Act 2011, the Companies Act 2006, the Memorandum and Articles of Association of the company and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102). 

## **Objectives and activities** 

The principal objectives of the company are as follows: 

- to advance the Christian faith; 

- to support persons in need, with a particular emphasis on children; 

- to advance education. 

The company seeks to achieve its objectives principally by supporting orphan children through their education.  Sometimes this is achieved by the direct support of particular schools which cater for such children.  In other situations the company pays school fees so that orphan children, whose guardians would not be able to afford this, can attend government schools.

The main area of focus of the company’s activities is Africa, with operations during the period carried out in Zimbabwe and Rwanda. 

During the year the company supported approximately one hundred orphan children through the payment of their school fees.  The children live with relatives or other members of the community, but often these families are unable to pay for the children’s education.  The company contributed £1,300 (2020: £330) to school fees. The amount for the prior year was lower as a result of schools closing due to the Covid 19 pandemic. In addition the company provided food aid to orphan families and others in Zimbabwe and Rwanda, totalling £180 (2019: £920). 

## **Financial review** 

The company received donations throughout the period, amounting to £1,864 (2020: £3,586).  Expenditure exceeded income by £97 (2020: income exceeded expenditure by £1,154). 

The directors do not consider that it is appropriate or necessary to hold reserves, as the company’s projects are individually small and the directors are confident that the associated commitments can be met out of future income and the general surplus of funds carried forward by the company. 

## **Structure, governance and management** 

The company is a company limited by guarantee.  Its governing document is its Memorandum and Articles of Association.

These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies’ regime. 

The notes on pages 7 to 9 form part of these financial statements. 

For the year ended 31 August 2021 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. 

Directors’ responsibilities: 

- The members have not required the company to obtain an audit of its accounts for the year in question in accordance with section 476 of the Companies Act 2006. 

- The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of accounts.

## **1.  Summary of significant accounting policies** 

## _**(a) General information and basis of preparation**_ 

Voice of the African Child Ltd is a private company limited by guarantee incorporated in England.  In the event of the company being wound up, the liability in respect of the guarantee is limited to £1 per member.  The address of the registered office of the company is given in the company information on page 2 of these financial statements. 

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006. 

The financial statements are presented in sterling and have been prepared on a going concern basis under the historical cost convention. 

The significant accounting policies applied in the preparation of these financial statements are set out below. 

## _**(b) Donations**_ 

Donations are recognised when the company has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## _**(c) Cash at bank and in hand**_ 

Cash at bank and in hand includes funds held on the company’s behalf by Links International, a registered charity which provides administration services to the company and receives and makes payments on behalf of the company. 

Cash at bank and in hand also includes funds held for the sole benefit of the company by Voice of the African Child, an English trust. 

## _**(d) Pensions**_ 

The company has no pension scheme or pension obligations. 

## **2.  Staff costs** 

The company has no employees.

None of the directors received any remuneration or other benefits during the period. 

## **3.  Directors’ expenses** 

During the period the company did not make any payments to reimburse the expenses of directors (2020: £nil).
