The trustees present their report and accounts for the year ending 31 March 2023. 

## Principal Activity 

The principal activity of the charitable incorporated organisation during the financial period was creative production and commissioning. 

## Trustees

## Trustees’ Annual Report 

Mediale was established in July 2017 to realise York’s potential as a UNESCO Creative City of Media Art. Led internally by respected Creative Director, Tom Higham, alongside an experienced management team and exceptionally strong board. 

Our charitable objectives are: 

- To promote the arts, especially media and other new technology arts for the public benefit, in particular but not exclusively by: 

   - a) Encouraging participation and inclusion at events, such as festivals, and 

   - b) Supporting organisations and individuals engaged in the provision of artistic activities, which take place primarily, but not exclusively, in the Yorkshire region. 

In June 2020, the company converted from a Community Interest Company (CIC) to a Charitable Incorporated Organisation (CIO), and a new memorandum of association was drafted and agreed by the board of trustees as a result. The operations of the organisation, however, continued uninterrupted during this transition. 

The main activities undertaken by the charity to date, to further its charitable purposes for the public benefit, have been: 

- To maintain and grow a major talent development programme, called Immersive Assemble, working with emerging artists, supporting their development. 

- The development and production of touring works via supported artists. 

The main achievements of the charity during the year include: 

- Shifting organisational focus and home to Selby. 

- Establishing base in Selby, aligned with strategic priorities of the area and the organisation. 

- Helping secure National Portfolio inclusion providing core support from Arts Council England. 

- Sustained, continued and proactive support of artists and partners in pursuit of charitable objectives. 

- The development and delivery of a wide range of artistic commissions, workshops, and events across the UK, and internationally. 

As a result, Mediale has continued to make significant progress towards its new goals with significant development in the roster of artists, diversification of income and commissions, and strategic projects secured for the likes of The Glasshouse and National Science & Media Museum.

## Financial Accounts 

The accounts for the year ending 31 March 2023 have then been prepared in accordance with the Charities Act 2011, the Companies Act 2006, the Articles of Association and the Accounting and Reporting by Charities – Statement of Recommended Practice, applicable to charities preparing their accounts in accordance with the Financial Reporting Standards 

## Structure, Governance and Management 

Mediale is a Charitable Incorporated Organisation (CIO) governed by a memorandum and articles of association, which incorporated the organisation in July 2017, when the charity operated as a Community Interest Company (CIC). Mediale converted to a CIO in June 2020 and a new memorandum of association was drafted and agreed by the board of trustees as a result. 

Trustees are recruited following a skills audit of Board members to ensure that the Board has the right mix of skills and experience. There is an induction process in place to support new Trustees. The Board meets quarterly. A scheme of delegation is in place and day-to-day responsibility for ensuring the charity delivers on its aims and objectives is delegated to the Creative Director. 

Major risks are reviewed quarterly by the full Board. The Board monitors impact, probability, mitigations taken and identifies any additional action required. 

## Reserves Policy 

The trustees aim to maintain funds at a level that equates to approximately three months of core charitable expenditure. The trustees consider that this level will provide sufficient funds to ensure the organisation can continue to operate whilst new sources of funding are realised. The trustees consider that the level of three months is sufficient given that the team will be continuously working on sourcing new funding for the organisation. 

The balance held as unrestricted funds as at 31 March 2023 was (£26,281), (2022: (£34,256)), however, the cash funds held by the charity as at 31 March 2023 were £53,786 (2022: £35,015), £26,286 of which is regarded as free reserves after allowing for restricted funds. Basic core charitable expenditure for running the organisation are deemed to be £20,000 per month. The current level of reserves is deemed to be reasonably sufficient by trustees, though efforts are being made to increase the current levels to the three month minimum target of £60,000. 

## Remuneration 

The trustees are responsible for staff pay, benefits and terms and conditions. Remuneration is reviewed annually; pay ranges are set out in the staff handbook and the salaries that are set reflect the roles and responsibilities of each postholder. Salaries are set at an appropriate level to retain excellent staff, while also making a comparison with rates of pay in the charity sector for similar roles and size of charity. In addition to pay we also provide annual leave and pension contributions. 

Trustees do not receive any remuneration. 

## Public Benefit Statement 

The Trustees confirm that they have complied with their duty in Section 4 of the Charities Act to have due regard to the guidance on public benefit published by the Charity Commission in exercising their powers and duties. 

## Political and Charitable Donations 

During the financial period no political or charitable donations were made.

## Statement of directors’ responsibilities 

The trustees (who are also directors of Mediale CIO for the purposes of company law) are responsible for preparing the Trustees Annual Report and the financial statements in accordance with applicable law and regulations. 

Company law requires the trustees to prepare accounts for each financial year. Under that law, the trustees have elected to prepare the accounts in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the trustees must not approve the accounts unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period. 

In preparing these accounts, the trustees are required to: 

- Select suitable accounting policies and then apply them consistently 

- Make judgements and estimates that are reasonable and prudent, and 

- Prepare the accounts on the going concern basis unless it is inappropriate to presume that the company will continue in business. 

The trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the company’s transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the accounts comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

Each of the persons who is a trustee at the date of approval of this report confirms that: 

- So far as each trustee is aware, there is no relevant information of which the independent reviewer is unaware, and 

- Each trustee has taken all steps that they ought to have taken as a trustee to make themselves aware of any relevant financial information that may have a material impact on the financial reports and to establish that the organisation’s independent reviewer is aware of that information.

## Independent Examiners’ Report 

For the year ending 31 March 2023 

I report on the accounts of Mediale Charitable Incorporated Organisation for the year ended 31 March 2023, which are set out on pages 8-12. 

## Respective responsibilities of trustees and examiner 

The charity’s trustees are responsible for the preparation of the accounts. The charity’s trustees consider that an audit is not required this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. 

It is my responsibility to: 

- Examine the accounts under section 145 of the 2011 Act 

- To follow the procedures laid down in the General Directions given by the Charities Commission under section 145(5)(b) of the 2011 Act, and 

- To state whether particular matters have come to my attention 

## Basis of independent examiner’s report 

My examination was carried out in accordance with the General Directions given by the Charities Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items of disclosures in the accounts and seeking explanations from you as trustees. Consequently, no opinion is given as to whether the accounts present a ‘true and fair view’ and the report is limited to those matters set out in the statement below. 

## Independent examiners’ statement 

In connection with my examination, no matter has come to my attention: 

- (1) Which gives me reasonable cause to believe that in any material respect the requirements 

   - to keep accounting records in accordance with section 130 of the 2011 Act, and 

   - to prepare accounts which accord with the accounting records and comply with the accounting requirements of the 2011 Act

- (2) To which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

## Notes to the Financial Statements

## 1. ACCOUNTING POLICIES 

## a) Statutory Information 

Mediale is a charity, operating as a Charitable Incorporated Organisation, in the UK that is registered with the Charities Commission, registration number 1189852. 

## b) Basis of preparation and assessment of going concern 

The accounts have been prepared under the historical cost convention and on the receipts and payments basis. 

The financial statements are prepared in sterling, which is the functional currency of the charity. 

The principal accounting policies, which have been applied consistently in the year, are set out below. 

## c) Compliance with accounting standards 

The financial statements have been prepared in accordance with the Charities Act 2011, the Accounting and Reporting by Charities for Small Entities: Statement of Recommended Practice in the UK and Republic of Ireland (FRS 102) (effective January 2015) – (Charities ‘SORP’ FRS 102): the provision of FRS 102 Section 1A – Small Entities and other applicable accounting standards in the United Kingdom 

## d) Average number of employees 

During the year the average number of employees was 6 (2022: 7) 

## e) Funds Structure 

Earmarked funds, as shown in the notes to the accounts, represent funds set aside by the trustees for use on specific projects. Amounts shown as Restricted Funds, on the Statement of Financial Activities and the Balance Sheet, represent funds donated for specific projects in accordance with the Charities Act definition. 

## f) Income Recognition 

Revenue is recognised in respect of non-government non-exchange transactions, donations, and funds received for goods and services supplied during the financial period on receipt. Government Grants have been recognised using the accrual model. 

## g) Trustees Remuneration 

During the year the trustees did not receive any remuneration or reimbursement of out-ofpocket expenses, as none were incurred. 

## h) Fixed Assets 

All fixed assets are capitalised and included, at cost, including any incidental expenses of acquisition. 

Depreciation is provided on tangible fixed assets at rates calculated so as to write off the cost of an asset, less its estimated residual value, over the useful economic life of that asset as follows:
