Memorandum of Association which established the objects and wwers of the charitable company
and is governed under its Articles of Association. In the event of the company being wound up
members are requlred to contribute an amount not ex￿eding £10
The trustee5 when complete consist of at least 3 persons. There is not a maximum number of
trustees, and the trustees may at any time appoint a trustee to fill a vacancy or as an additional
trustee who is eligible and pemiitted to do so. The Chairperson shall seNe for a term of 3 years an(1
may be reappointed for successive 3-year tems (currently Mr R Crowley).

The company was fomed in December 2014 and was registered as a charity wtth the Charity
Commission on 11 May 2020. The company is tonstÈtuted under a Memorandum and Articles of
Association and is limited by 8uarantee. It was formed with two purposes:
to promote for the benefft of the Inhabitsnts of London and the southoast of England by
providing an area for use as a community garden and other attivttie5 and facilities for recreation
or other leisure time occupation of individuals who have need of such facilities by reason of their
youth. age, infirn)ity or disablement, financial hardship or social and economic circumstances or
for the public at large in the Inte￿Sts of social welfare and with the object of improving the
condition of life of the said inhabitants.
to promote ft)r the benefit of the public the conservation, protection and improvement of the
physical and natural environment of the anc￿nt woodlands and Wealden meadows around
Shadoxhurst by engaging with organisations. such as wildlrfe and conservation charities on
landscape scale conservation.
We help and inspire people who might otherwise find it difficult to do so to get outside. get active
and cor¢nect with nature. We also work to conserve and enhance the local meadow5 and ancient
woodland. All our activtties are built on four priorrties:
o Getting outdoors.
o Getting artive.
Getting to know where your food comes from.
o Getting in touch with nature.
We do this through several activtties including=
o Outdoor Family Camping
Activities around the Wildlrfe Communty Garden
o Our Ecokids program
o Supporting vulnerable volunteers
Workin8 With other local charities and not-for-profft organisations
These artivities and the development of supForting infrastructure are funded from donations from
the owners of Green Farm and other members of the general public. local fund-raisin8 activities and
grants from other charitable organisations. It is the trustees. objective that a significant proportion
of the operational fundin8 requirements will be met by donating the surplus from the commercial
activities at Green Fam.
The Pearce Coggan Foundation is located at Green Fami in Shadoxhurst. The company has a lease
agreement with the owners of Green Fami to lease the13nd used by the company for the Wildlife
Communlty fjarden for a peppercorn. The agreement also al￿w5 the cornpany to use any other
parts of Green Farm to deliver tts charitable purFM)se free of charge.
We review our aims, objectrves. and activtties each year. This review looks at what we have achieved
and the outcomes of our work in the 12 months to 31 March 2024. We have ￿ferred to the
guidance contained in the Charity Commission's general guidance on public benefit when reviewin8
our aim and objectives in planning our future artivities. In partKular, the trustees consider how
planned activities will contribute to the aims and objectives they set out.

BUSINESS REVIEW AND FiifuRE PROSPEcrs
2023-24 was a consolidation year. consolidatlng the developments in the garden, consolldatlng our
relationships with environmental charities and devekiping a new relattonship with a major Kent
charity.
Outdoor Family Camping
Our Outdoor Family Camping programme uses our relationship the Outdoor People based in
Hackney to deltver S-day weeks for family camping in Fairyland. the woodland at Green Fami.
These camps are expensNe to set up and run with each week costing nearly £IO.(MJ). This includes
the costs associated with retnJiting families into the program, mini-bus hire, travel for the less well-
off families. food for the week etc. Unfortunately. neither PCF nor Outdoor People were able to find
funding for the programme this year; we are, however, comrnitted to running at least one week
during calendar 2024.
Community Garden
The Wildlife commun￿ Vegetable Garden Is a key resource of the Pearce Coggan Foundation and a
core aspect of our work.
We provide educational experiences and work pla￿ments for toc31 children and offer volunteering
opportuntties for people who are seeking to manage mental health issues, reduce stress or spend
more time 0￿dOorS.
The garden was created in 2015 from a 0.24 hectare {0.6 acres) mugh ple￿ of famland, leased on a
peppercorn rent from Green Fami. It was inltially cleared by the fami's pigs and has been developeil
with wildltfe in mind: we never use chemicals on the land.
Durin8 the year, Shelly Woodcock was the Garden Manager. working wtth our adult. horticulture
apprentice. Emma.
Shelfy has brought a different dynamic to the garden and instigated a full °nO-dI￿ policy. This fits
perfectly with the PCF and Green Farni philosophies of "working in harmony with nature" Every
time a spade or fork turns over the soil, it is haming the soil in 3 way5= it exposes precious carbon to
the air which oxidises and goes off as carbon dioxide- it exposes and loses moisture and it disrupts
the biology, breaking up fungal webs, hamlin8 bacterla and cutting up worms. Not digglng makes a
significant contribution to soil health and carbon sequestration.
The Marlise Meuter greenhouse. which was bought with a number of donation5 in 2023. has proven
its worth, not only as a space for growing but also a great location for the weekly PQFPUP in
inclement weather.
We have been fortunate enough to build a stron8 relationship wlth a local Communlty Servlce team
who. for several years. have brouEh a small group on payback to the garden each week. This has
been a valuable resource for the Barden and is directty in line wtth our charrtsble purpose.
Throughout the year our staff and volunteers help us to grow a range of produce, which we sell to
Green Fami Spa & Retreats and at a weekty pop-up shop to raise much-needed funds. Produce sales
and the pop-up sl)op donatlons together raised £2,825 during the year (FY23: £3,530).
Our ability to provide volunteering opportunities is important to us and we have a few volunteers
who come regularlyi WWOOFers Iworld-wide Opportunities on Organic Fams) who stay at Green
Farm and volunteer both on the farm and In the garden, and. of course the regular Community

School Ifislts
Visbts by year groups from local prirnary schools is becoming a focus for us with the pupils spending
their time out on the farm and in the garden. In the garden. they learn about edible plants.
propagation and pollination, fitting in with their curriculum. In FY24, we had two visits from High
Halden School totalling 45 pupi15. This is a program that we are developing.
Pop up Stall I Coffee
The company started a weekty popup vegetable stall in May 2020 to encourage visitors to come to
the Community Garden. Run entire￿ by volunteers. thts has become a regular weekly event for the
local community and ha5 built up a small but committed visitor base who enjoy coffee and cake and
a chat. The donations gwen each week are useful source of additional income.
We continue to average between 8 and 12 visitors each week, sometimes more. This is an important
weekty socialising actNity for those who do corne.
ECOKlds
Autumn 2022 saw the start of our new ECOKids program with Jenny Ramsay leading regular weekly
nature-focused actN¥ties for prtrschool children during terni times. The participants. with their
mothers/carers spend about 2 hours at Green Fa￿. in the Community Garden and in Fairyland with
a different nature theme each week. d1￿CtlY fftting our objectives of getting kids outdoors and in
touch with nature. Durine FY24. overthe three 5-week ternis. we had a total of 38 children
particlpatlng IFY23- 331.
We also run extra events in school half-term5 that can include slightty older children. During FY23 we
ran five of these events IFY23:61 with a totsl of 53 child participants IFY23-. 531.
The proceeds from running these events go to Jenny- PCF is willing to fvnd free or discounted places
to low-income families.
Famlly Events
We opened the garden during the year to two. large family events: an Easter-EEg Trail in April and a
Teddy-Bearg Picnic in July. Both events were free of charge, and each brought well over 100 vi51tor
families to the garden. The Easter Eggs and the Teddy Bear5 were hidden around the garden and in
Fairyland. encouraging Visitors to be walking in nature.
Future Prospects
The owners of Green Farm are committed to funding the company to the extent necessary so that it
can carry out its purposes without having to rely on grants to meet its operational expenses. The
charity will seek grants to support the funding of capitsl infrastructure projects. As the commercial
activitie5 at Green Farni become profftable. these will generate the funds required,. In the meantime,
any shortfall is given as private donation5 by the owners of Green Fam. The Trustees are confident
that this fundin8 model is wstasnable.
HavSng been unable to run any Family Camping weeks during 2023 we. together with Outdoor
People. are detemiined to run at least one in 2024.
We are now developing a ￿latIonShIp with a Maidstone-based charity. Dandelion Time. Dandelion
rime are a nature-based charity that works with children and their wider famijy to overcome issues
and difficulties. They help them find opportunities for change and rebuild relattonships while

creating happy memories along the way. Our intention is for the Pearce Coggan Foundation to
become an Ashford base for them.
Working with Dandelion fime. have made a planning application in March 2024 to build a 8M x
6.5M Community Room at the Community Garden. co-funding the development. This will provide an
excitin8 new facility for both charrties, 8rvin8 a warm, dry space for school visits, the v￿ekfy pop-up
coffee shop and ft)r Dandelion fime to deliver their counselling sessions.

FINANCIAL REVIEW
General
The Trustee Dirertors are re5pon5ible for preparin8 the Trustee Directorg report and the financial
statements in accordan￿ with applicable law and United Kingdom Accounting standards Iunited
Kingdom Generally Accepted Accounting Pratticel.
Company law requires the directors to prepare financial statements for each financial year. Under
company law the Trustee Directors must not approve the financial statements unless they are
satisfied that they give a true and fair view of the state of affairs of the charitable company and of
the incoming resources and application of resources. including income and expenditu￿. of the
charitable company for that period. In preparing these financial statements the Trustee Directors are
reqijired to:
select suitable accounting poliaes and then apply them consistently;
observe the methods and principles in the Charitie5 50RP;
make judgements and accounting estimates that are reasonable and prudent,. and
prepare the finantial statements on the going Con￿rn basis unle55 it is inappropriate to
presume that the company will continue in operation.
The Trustee Directors are responsible for keepirg adequate accounting records that are sufficient to
show and explain the companvs transaction5 and disclose with reasonable accuracy at any time the
financial position of the company and enable them to ensure that the financial statements comply
with the Company's Act 21J)6. They are also responsible for safeguarding the assets of the company
and hence for takin8 reasonable steps for the prevention and detection of fraud and other
irregularities.
In preparing this report the Tn￿ee Directors have taken advantage of the small companie5,
exemptions provided by section 415A of the Companies Act 2(K)6. Thi5 report was approved by the

I report on the financial ststements of the company for the yearended 31 March 2023 which are set
out above.
Respective responsibilities of the Trustee Dirertors and Examiner
The Trustees who are also the directors of the company forthe purposes of company law, are
responsible for the preparation of the financial statements. The Trustee Directors consider that an
audit is not required for this year under section 144121 of the Charities Art 2011 (the Act and Part 16
of the Companies Act 2[￿ and that an independent examination is needed. Having satisfied mysetf
that the company is not subjett to audit under charity or company law and is eligible for
independent exarnination. it is my responsibility to:
examine the financial statements under section 145 of the Art-
follow the procedures laid down in the general Directions siven by the Charity Commlssion
under section 14515llb) of the Act- and
stste whethèr particular matters have come to my attentlon.
Basis of independent examinerfs report
My examination was carried out in accordan￿ with the general Directions given by the Charity
Commission. An examination includes a review of the actounting records kept by the company and a
comparison of the accounts presented with those records. It also includes consideration of any
unusual items or disc105ures in financial statements and seeking explanations from you as the
