Appointment of Trustees: The appointment of Trustees to the actve charity
(522301) has hitherto been from two local councils,
Newark and Sherwood District Council (6) and
Southwell Town Council (3). There has never been

separate appointment of Trustees to the CIO, since it was founded in April 2020 . As a result of an issue which arose in Autumn 2023, the District Council Trustees for the active charity 522301 were considered to have an unresolvable conflict of interest. This led to changes in the appointment of new Trustees, with no Trustees being appointed by Newark and Sherwood District Council in May 2024. Southwell Town Council has continued to exercise its power to appoint 3 Trustees. As a result of problems with quoracy and nonrepresentative Trustees, independent Trustees were appointed by the Trust to the active charity in June 2024 (1) and July 2024 (3). However changes were not made to the composition of the CIO Trustee body until April 2025, with no person prior to this having the administrator rights to make alterations.

In future new Trustees are likely to be appointed by the existing Trustees, to maintain a good mix of skills and experience (including lived experience) on the Trustee Board. The system of appointment by local councils is likely to end entirely.

Objectives and activities

The objects of the CIO are: FOR THE PUBLIC BENEFIT AND, IN PARTICULAR, FOR (BUT NOT LIMITED TO) THE INHABITANTS OF SOUTHWELL AND DISTRICT, THE ESTABLISHMENT AND MAINTENANCE OF A SWIMMING POOL, SPORTS HALL AND SUCH OTHER SPORTING, RECREATIONAL AND COMMUNITY FACILITIES AS THE TRUSTEES CONSIDER APPROPRIATE FROM TIME-TO-TIME IN THE INTERESTS OF SOCIAL WELFARE AND WITH THE OBJECT OF IMPROVING THE CONDITIONS OF LIFE FOR THE SAID INHABITANTS.

The Trustees confirm that they have had regard to the Charity Commission Guidance on public benefit in directing the work of the charity.

Achievements and performance

The CIO was established on 17 April 2020. The intention was to transfer the assets and operations of an existing unincorporated Trust (number 522301) in due course to the CIO. This did not happen during this reporting period. Therefore the CIO has remained inactive for the reporting period. There have been recent discussions about effecting this transfer in the coming year.

Financial review

The CIO has had no income nor incurred any expenditure in the reporting year, because all operations remain with the existing charity, number 522301.
