Nottinghamshire Wildlife Trust [CC no. 224168] Nottinghamshire Wildlife Trust is the leading wildlife conservation charity working to protect and enhance the wildlife and habitats of Nottinghamshire. Funding was provided to support the reintroduction of Beavers to the county some 400+ years after they were hunted to extinction. Public benefit from this project comes through NWT’s work managing nature reserves, engaging, advising, inspiring and educating people to create a richer natural world for present and future generations. Penrith District Red Squirrel Group {CC no. 1117418} Funding was provided to support the charity’s works to conserve red squirrels by feeding, improving habitat and advising on timing of timber operations to avoid the breeding season. Public Benefit for this project arises from conserving and hopefully preserving an endemic species currently under huge threat which will hopefully survive for future generations to enjoy. David Sheldrick Wildlife Trust [CC no. 1103836] Funding was provided to support the charity’s work for the protection and preservation of wildlife and habitats in Kenya, including antipoaching, community support, mobile veterinary support and wild orphan rescue and rehabilitation [mostly elephants, but many different species are rescued and supported]. • Grant strategy in light of Covid restrictions . The trustees had originally envisaged that they would be travelling to potential grant receiving entities & assessing them individually before awarding grants. The charity was registered in March 2020 which essentially coincided with the first of the UK Covid lockdowns & associated travel bans preventing overseas travel [especially to Southern Africa]. With timelines uncertain, the trustees initially adopted a “wait & see” policy, hoping for an early return to normality. However, in February 2021 with the UK in a third lockdown & still no international travel permitted the trustees discussed the need for a different approach. In part this was driven by awareness that with the collapse of tourism across the world, conservation initiatives [which are largely supported by tourism] were under huge pressure. Summary of the main achievements of the charity during the year

Metamorphosis Foundation’s initial registration coincided with the start of the Covid pandemic so initial activity was concerned with setting up the administrative structures and systems needed for the charity’s operations, namely:

1. Setting up a charity Bank Account

2. Registering with HMRC for Gift Aid

3. Establishing email addresses & web domains

4. Securing initial donations for the charity’s operations

Initial trustee meetings [held by Zoom rather than in person] were also used to orientate the trustees with their roles & responsibilities.

As alluded to in the section above (and driven by the difficulties surrounding the pandemic) the trustees reviewed the grant making policy which was eventually finalised in early March 2020 in time to make several initial grants within the charity “year”.

Initial feedback from the Charity Commission had highlighted the potential difficulties with making grants to individuals. Accepting these difficulties it was agreed to limit grants to existing organisations and charities [this can obviously be reviewed as the charity gains experience).

Feedback from the charity Commission had also suggested that thought was given to the appointment of additional trustees . The trustees were supportive and discussed gaps in their range of skills which in the future would need to be addressed. However, given the relatively limited activity of the charity because of Covid restriction it was not felt necessary to appoint further trustees immediately.

The trustees also investigated the possibility of offering financial support to the Mundulea Nature Reserve, Namibia. Mundulea was established over 20 years ago by Bruno Nebe [a former National Geographic photojournalist] who purchased 120 square kilometres of run down farmland with a view to restoring the flora & fauna in the unique Karstveld Biosphere of northern Namibia near Otavi. Since then Mundulea has developed as as one of Namibia’s flagship eco-restoration/rewilding projects, recognised for its commitment to ecological integrity and environmentally sustainable practices. Potential Public benefit arises here from the protection and enhancement of the environment and wildlife for future generations - an ecosystem that is unique in many ways. The wider potential is that Mundulea provides a model for other rewinding/conservation projects elsewhere in Africa and further afield, so multiplying the potential public benefit. However the trustees were very cognisant of the challenges offering funding to non-charity organisations [especially those overseas] The trustees carefully considered the Charity Commission’s guidance on this, conducted a detailed risk assessment & sought additional reassurances from Mundulea before any decision about funding was made. Two of the trustees visited the reserve in early 2020 (& have a further visit scheduled for early 2022) which will assist with assessing governance & risk management issues.

	I report to the trustees on my examination of the accounts of the above charity (“the Trust”) for the year ended 31/03/2021. As the charity's trustees, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”).

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

Independent I have completed my examination. I confirm that no material matters have examiner's statement come to my attention in connection with the examination (other than that disclosed below *) which gives me cause to believe that in, any material respect:

• the accounting records were not kept in accordance with section 130 of the Charities Act; or

• the accounts did not accord with the accounting records; or
