The trustees present their report with the financial statements of the charity for the year ended 31[st] December 2024. In this report, the trustees have adopted the Charity Commission template for the preparation of annual reports for small non-company charities (SORP FRS 102). 

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives** 

The purpose of the Charity is to advance the Christian faith for the public benefit in the UK. The strategy to achieve this objective is mainly, but not exclusively, through: 

- i. providing a place of worship 

- ii. providing pastoral care and outreach 

- iii. providing religious education 

- iv. providing a strong link with the practice of the faith in Zimbabwe. 

- v. promoting an awareness of social responsibilities through interpersonal relationships 

- vi. promoting and developing individuals or branches/guilds talent in the church. 

- vii. supporting and promoting local and Zimbabwean charity organisations. 

## **Summary of Main Activities** 

The Charity structure in 2024 remained unchanged with 12 branches and 4 guilds, with notice given mid-year for suspension of activities for one guild pending re-organisation. The grouping of the branches into three regions to decentralise what previously were national events that was adopted in 2023 was continued in 2024. For the year under review, the main activity of the charity was advancing the Christian faith through the holding of monthly church services at each branch. All branches used the in-person service format, with occasional online virtual services. National Conferences for the Fellowship and all the Guilds were held in person. The number of attendees generally rose on the previous year’s attendances. As part of our outreach, ZINAFE took part in Racial Justice services in some dioceses, as well as joining in Black History month activities. 

## **Public benefit** 

The trustees of Zimbabwe National Anglican Fellowship UK confirm that they have had due regard to the Charity Commission’s guidance on public benefit at all relevant times.

## **ACHIEVEMENTS AND PERFORMANCE** 

The Charity continued with in person services. New skilled members arriving under COS schemes continue to add to the growth of the Fellowship, joining our branches across the country. The Charity also received new clergy who joined their families in the UK. Internally, the Charity had one deacon priested during the year under review. 

Choir competitions were introduced and these were very successful and were added to the ZINAFE annual calendar. 

Guilds continued to meet at annual conferences, but the Youth Conference did not materialise in the year under review. 

Work with the National Racial Justice continued with both clergy and laity. Clergy continued to participate in Church of England Mentor Directory Ministry and Minority Ethnic Vocations Ministry.

## **FINANCIAL REVIEW** 

As in previous years, the fellowship's main sources of income were member donations and subscriptions which constituted 89% of unrestricted funds received. At the beginning of the year fellowship still had funds carried over from the previous year. Fundraising activities and sponsorships contributed to the Reserved Funds for the Fellowship. The accounts show that the Charity’s financial position strengthened by just over 9% overall. This is attributable to a 26.6% increase in receipts coupled with a 21.4% decrease in expenditure as compared to the Financial Year 2023. The Charity’s financial position remains healthy and there is reason to believe the upward trajectory in the growth of our reserves will continue. 

## **Income** 

The annual income for the Charity stood at £ 66,684. 

## **Expenditure** 

Total expenditure for the year was £ 62,735. 

## **Reserves** 

The total reserves for the year under review stood at £ 33,339 excluding restricted funds. This figure allows for the £7,554 deficit in Conference Restricted Funds to be covered from the unrestricted funds so as not to impact other restricted funds allocations. 

## **Reserves policy** 

The trustees have maintained a reserves policy set at 25% of total annual expenditure. This level will enable the Charity to continue functioning in the case of an unforeseen drop in income or increase in expenditure at any time. The reserves will provide a stop gap to allow the trustees to restructure the operations of the Charity to bring the spending in line with the income whilst minimising the disruptions to the work of the fellowship. General reserves are not restricted to or designated for a particular purpose. As of 31 December 2024, the balance of the general reserves stood at £33,339, excluding designated funds. The reserves from the fourth year of operation increased by an amount of £6,576. Total annual expenditure from charitable activities, excluding activities associated with reserved funds, was £27,425. allowance is made for a virement to cover the conferences and clergy welfare restricted funds shortfall, that total operational expenditure for the year rises to £37,861. Therefore, the reserves level stood at 88% of total annual expenditure, well above the minimum reserves level set by the trustees. 

## **Going concern** 

For the year under review the Charity remains in a healthy financial position and as trustees, we are of the opinion that the financial statements should continue to be prepared on the basis that the charity is a going concern for the next 12 months. To manage conference expenditure shortfalls, the trustees and management will only book places against actual deposits received as opposed to anticipated attendances. The charity has adequate financial resources to enable it to manage short to medium-term operational and financial risks.

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The Zimbabwe National Anglican Fellowship UK is a Charitable Incorporated Organisation (CIO) with voting members. It is registered with the Charity Commission under registration number 1187883. Our governing document is an ‘Association’ Model Constitution. Whilst the constitution is the supreme governing document, the fellowship also has a set of Rules and Regulations which aid, but do not override, the constitution in the conduct of the fellowship’s activities. The Rules and Regulations were last amended at the 2023 Annual General Meeting to streamline the day-to-day operation of the charity. Membership of the CIO is via annual subscription payable through the branches. 

## **Recruitment and appointment of trustees** 

The Trustees are recruited from any eligible persons of age 16 years and over. Trustee vacancies arising may be filled by the decision of the members at the annual general meeting of the CIO. For any vacancies not filled at the annual general meeting, the members or the charity trustees may at any time decide to appoint a new charity trustee, whether in place of a charity trustee who has retired or been removed in accordance with the provisions of the constitution, or as an additional charity trustee. A person appointed trustee by the members of the CIO or by the charity trustees outside the annual general meeting shall retire at the conclusion of the next annual general meeting after the date of his or her appointment. 

## **Organisational structure** 

The Zimbabwe National Anglican Fellowship UK is run on a day-to-day basis by a National Executive Council elected from amongst the membership of the CIO. As a Christian organisation, the pastoral care provision is led by ordained members of the clergy under the direction of the Priest-in-Charge. Members of the clergy in active service within the fellowship meet the Church of England Diocesan standards in terms of possession of the required licenses/permits to officiate and safeguarding. The charity is organised into 12 branches located in different geographical areas in England. Each branch pays annual affiliation fees. In line with the practice of the faith in Zimbabwe, the charity is also organised into active guilds which also pay annual affiliation fees.

5. Anglican Youth of Zimbabwe (AYZ) (Leadership stood down mid-year and an interim Youth Coordinator took responsibility for the youth programmes until after the reorganisation of the Youth and Children’s Ministry).
