TRUSTEES' REPORT
The trustees are pleased to present their annual report together with financial statements of the charity for the year ended to 31 May 2025 which are also prepared to meet the requirements for a directors’ report and accounts for companies Act purposes.
The financial statements comply with the Charities Act 2011, the Companies Act 2006, the Articles of Association and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)
Legal Status
Helping Little Angels CIO is governed by a constitution. Legal and administrative information set out in page 1 forms part of this report. The financial statements comply with current statutory requirements and Statement of Recommended Practice (SORP) for accounting and reporting for charities.
Structure, Governance and Management
Trustees maintained the CIO’s asset base and prepared for the eventual launch of operations.
Organisation
Helping Little Angels CIO has a board of Trustees who manage and run the building and oversee the running of the Helping Little Angels CIO. The Trustees who served during the year were:-

Appointment of Trustees
Trustees are appointed at the AGM. At each AGM one third of Trustees resign and are available for reelection. From the Board of Trustees a chairman, secretary and treasurer are appointed.
Risk Assessment
The Trustees have examined the major strategic, business and operational risks which the charity faces and confirm that systems have been established to enable regular reports to be produced so that the necessary steps can be taken to lessen these risks.

Investment Powers and Restrictions
The trustees have the power to invest in such assets as they see fit.
Achievements and Performance
While no charitable activities were undertaken, the trustees reviewed the CIO’s strategic plans and confirmed the intention to commence operations in 2026.
Financial review
The property remained the CIO’s only significant asset. There was no other material income or expenditure during the year.
Plans for Future Periods
The trustees intend to commence active charitable operations in 2026, focusing initially on utilising the property to further the CIO’s purposes, including providing facilities, supporting those in poverty or with disabilities, and making donations where appropriate.
Statement of Responsibilities
The trustees are responsible for preparing the Trustees’ Annual Report and financial statements in accordance with applicable law and the Charities SORP (FRS 102). They must ensure that the financial statements give a true and fair view of the state of affairs of the CIO and of its incoming resources and application of resources for the year.

INDEPENDENT EXAMINER S' REPORT
I report on the accounts for the period ended 31 May 2025 set out on pages Six to Ten.
Respective responsibilities of trustees and examiner
The charity's trustees are responsible for the preparation of the accounts. The charity's trustees consider that an audit is not required for this year (under Section 144(2) of the Charities Act 2011 (the 2011 Act)) and that an independent examination is required.
It is my responsibility to:

examine the accounts under Section 145 of the 2011 Act
-
to follow the procedures laid down in the General Directions given by the Charity Commission (under Section 145(5)(b) of the 2011 Act); and
-
to state whether particular matters have come to my attention.
Basis of the independent examiner's report
My examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a 'true and fair view ' and the report is limited to those matters set out in the statements below.
Independent examiner's statement
In connection with my examination, no matter has come to my attention:

(1) which gives me reasonable cause to believe that, in any material respect, the requirements

to keep accounting records in accordance with Section 130 of the 2011 Act; and
-
to prepare accounts which accord with the accounting records and to comply with the accounting requirements of the 2011 Act

have not been met;
or
- (2) to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

NOTES TO THE FINANCIAL STATEMENTS
Accounting policies
These accounts have been prepared on a receipts and payments basis, and in accordance with the Charities SORP 2005 (Statement of Recommended Practice), and the Charities Act 2011.
Tangible Fixed Assets and Depreciation
Assets used for charitable purposes, with an expected useful life exceeding one year, are capitalised on the balance sheet. Depreciation is provided at the following annual rates in order to write off each asset over its expected useful life:
No depreciation is provided on the property.
Income
Income received is made up of donations and grants. The value of services provided by Trustees is not included.
Expenditure
Expenditure is accounted for on a paid basis. Where it relates to a specific project it is allocated to that project as restricted expenditure. Expenditure that relates to the objects of the charity is classified as charitable activities. The costs of generating funds are separately identified.
Funds
General funds are those where no restrictions have been placed upon the specific spending of the funds by the donor. Designated funds are those funds where the directors have chosen to earmark general funds for a specific purpose. Restricted funds are those funds where the donation is received for a specific purpose as set out by the donor.

3. Taxation
The charitable activities of Helping Little Angels are exempt from taxation under Chapter 3 of part 11 of the Corporation Tax Act 2010.
