## **Governance and Management** 

## **Governing Document** 

The Charity is governed by a constitution registered on 28[th] November 2019. 

## **Recruitment and Appointment of the Trustees** 

At every subsequent annual general meeting of the members of the CIO, one-third of the charity trustees shall retire from office. If the number of charity trustees is not three or a multiple of three, then the number nearest to one-third shall retire from office and are eligible for re-election. 

## **Related Parties** 

The Charity is guided by both local and national policy in so far as it follows the Charity’s objectives. 

## **Objectives** 

The objects of the CIO is to educate the public in the Dramatic and Operatic Arts, to further the development of public appreciation and taste in the said arts, and to further such Charitable Institutions and Charitable purpose as the trustees shall time to time determine. 

## **Chair’s Report** 

I would like to thank you for your attendance tonight, and before we start the rest of the proceedings, can we take a few moments to think about our dear friend Carole Bradley who we have lost since the last AGM, and remember, and thank her for all of her contributions to the group over the years. 

Let’s start with our last show “Shine” which proved to be a roaring success with ticket sales well over 90% and for which we won the National Operatic and Dramatic Associations “Best Concert Award” for the Midlands 2025. We were able to donate £1500 to our chosen charity Worcester Prostrate Cancer Support group, and also make donations to Nunnery Wood High School, Acorns Children’s Hospice, and St Richards Hospice as can be seen in the accounts. 

It doesn’t matter how little or how much of the show you did, or what you did, whether it was being part of the company, crew, front of house, dancer, singer, supporter, Musical Director, band member, costumes, sound, lighting, ticket 



supervisor, or director - you were all part of a fantastic team that produced an amazing and emotional roller coaster of a show that the audiences loved. 

Congratulations to you all, and thank you for being a part of it. 

I would to take this opportunity to thank our retiring President Dick Saunders. This role is outside the formal Charity appointments and is purely voluntary but essential to the success of the group. He has been our President since the start of WMTC 15 years ago, as well as being Treasurer for the same amount of time, and has represented us on many occasions such as NODA events, Mayoral meetings as well as acting as a figurehead during our productions. 

He doesn’t know about this, but we would like to honour him tonight with the presentation of a special commendation medal for his sterling work over the years. Also, a framed photo of him with all the Directors. 

Colin has taken over as President for the next three years. 

Can I thank our auditor David Rippe for all his efforts in producing our year end Financial Statement, and giving us sage financial advice. 

I would also like to thank all our Life Members who deserve recognition for their achievements and continued assistance to WMTC, 

Finally, may I express my personal thanks to the Trustees for their dedication towards the ongoing success of Worcester Musical Theatre Company

## **Public Benefit** 

In planning our activities for the year, the trustees bore in mind the Charitiy Commission’s guidance on public benefit. 

## **Financial Review** 

The Charity continues to depend on monies raised through ticket sales, with no guaranteed income stream and this has been identified as a major risk area for the CIO’s continued existence. 

## **Core Reserves Policy** 

The Trustees aim to accumulate sufficient (restricted) reserves to cover normal operating expenses for six months should funding cease.  It is, however, anticipated that this reserve may, on occasion be depleted, so a shorter period of expenditure would be covered. 

Use of core reserves: - 

1. To support funds and grants until anticipated monies are actually cleared. 

2. To cover unexpected costs on a one-off basis. 

All decisions regarding the use of the core fund will be made by the trustees with a minimum attendance at a meeting of 3 people and by a majority decision. 

## **Trustees’ responsibilities in the evaluation of the financial statements.** 

The trustees are responsible for preparing the Trustees’ report and Financial Statements in accordance with applicable law and United Kingdom Accounting Standards. 

The law applicable to charities in England and Wales requires the trustees to prepare financial statements for each financial year which give a true and unbiased view of the state of the affairs of the CIO and of the incoming resources and application of resources by the charity for that period.  In preparing these financial statements, the trustees are required to: 

- _select suitable accounting policies and then apply them consistently_ 

- _observe the methods and principles of the Charities SORP_ 

- _make judgements and estimates that are reasonable and prudent_ 

- _state whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements_ 

- _prepare the financial statements on the going concern basis unless it is inappropriate to presume that the CIO will continue to operation._ 

The Trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the CIO and enable them to ensure that the financial statements comply with the Charities Act 2011, the Charity (Accounts Reports Regulations 2008) and the trust deed.  They are also responsible for safeguarding the assets of the CIO and hence for taking responsible steps for the prevention and detection of fraud and other irregularities.
