## **Objectives and activities**
The Trustees present their annual report together with the financial statements of the Charity for the 1 January 2024 to 31 December 2024.
## **a. Policies and objectives**
We refer to the guidance contained in the Charity Commission's guidance on public benefit when reviewing our aims and objectives and in planning our future activities. ln particular, the Trustees keep under ongoing review and consideration how our future activities will contribute to the aims and objectives of the charity.
The objects of the charity are to promote for the benefit of the public the conservation, protection and improvement of the physical and natural environment in particular, but not exclusively, by:
- conserving migratory birds and other animals and the habitats on which they depend;
- advancing the education of the public in the conservation of protection of migratory birds and animals and the natural environment more generally;
- conducting research on migratory birds and animals and the habitats that fall within their migration routes, and in furtherance of that purpose, to raise awareness and understanding and to provide information on such matters.

## **Who we are**
**Conservation Without Borders** is a UK-registered charity working to conserve migratory species and the ecosystems they depend on. We do this through high-profile expeditions, bold public engagement, and strategic partnerships that unite science, policy, education and media.
We use storytelling and science together to reach new audiences, inspire change, and spark systemic action to halt biodiversity loss and address climate breakdown.

Prospective trustees are required to complete an application form and be interviewed. Every trustee must be appointed by a resolution passed at a properly convened meeting of the charity trustees. In selecting
individuals for appointment as charity trustees, the charity trustees must have regard to the skills, knowledge and experience needed for the effective administration of the CIO.

We review risk management at all Trustees meetings to ensure that we have identified relevant major financial, legal/governance, operational and reputational risks, and that appropriate risk management policies and procedures are in place to address potential risks. We work with the IUCN, UN Convention on Migratory Species (CMS), and a global network of partners, to turn that vision into action.

## **Our Strategy in Action: The 2030 Global Challenge**
**The 2030 Global Challenge** is a series of high-profile conservation expeditions told through the perspective of world’s most endangered animals. These journeys unite science, local communities and industry to drive awareness and solutions.
This year saw the launch of Flight of the Vultures (FOTV), the fourth expedition in the series. Vultures are among the most threatened animals on the planet, and their decline has massive ecological consequences. In 2024 we:
- Raised over £19,500 through a crowdfunder match-funded by AVIVA
- Hosted a flagship launch event with Hogan Lovells in London, featuring two expert panels and Dame Joanna Lumley
- Began building an international coalition of scientists, governments, and corporate partners to support the mission
This work is not just about awareness. It's about transforming how governments and industries act before critical systems collapse.

## **How We Grew as a Force Multiplier for Conservation in 2024**
Over the past year, Conservation Without Borders has kept growing to become a powerful force multiplier for conservation, turning high-profile expeditions, strategic alliances, and creative public engagement into real, lasting change.
We didn’t just raise awareness. We built coalitions, influenced industry, inspired young people, and helped bring the natural world into focus for millions.
## **High-Profile Expeditions**
In 2024, we continued to use ambitious, visually compelling expeditions as a springboard for widespread engagement and action. Flight of the Vultures, our newest expedition and part of the 2030 Global Challenge, highlighted the threats facing the world’s most endangered birds and catalysed cross-sector dialogue. A high-impact launch event, hosted by Dame Joanna Lumley, brought together over 150 professionals from science, law, finance, and conservation. Our expedition work also contributed to a major conservation milestone: the burial of powerlines beneath the sea in Estonia. A decision inspired in part by our FOTS expedition, and one that will save tens of thousands of birds over coming decades, setting a new precedent for global energy infrastructure.

We continued to engage young people across the UK, giving talks and workshops at schools and universities including:

We also progressed development of _Finding Your Wings_ , a free, interactive learning experience built with educators, scientists and filmmakers. In 2024 we:
- Developed pilot content and a trailer
- Assembled a brilliant team and expert advisors
- Created a pitch to secure long-term funding
This resource uses real conservation stories to help students find their skills and purpose, preparing them to lead in a green economy.

Over the past year, we have expanded our role as a force multiplier, turning expeditions and creative content into policy change, behavioural shifts, and longterm conservation partnerships.

At our ‘Flight of the Vultures’ / Extinction Express launch event, we brought together scientists, conservationists, corporate leaders and lawyers. Ideas from that event have already led to direct impact - including a nature-focused development code for The Crown Estate. This work exemplifies our approach: locally-led, globally connected, and boldly communicated.

## **The Year Ahead: What We’re Raising Funds For**
In 2025, we aim to expand our impact and are actively raising funds for:
- **Our Global Expeditions Series:** Continuing the Extinction Express with the Flight of the Vultures across 10 countries and launching future journeys in the 2030 Global Challenge.
- **MI5 for Nature:** Scaling up this exciting new model of conservation problem solving and implementation, through partnerships, multi- disciplinary systems mapping and problem-solving, fieldwork, diplomacy and creative storytelling. This work is a bold and daring partnership that creates new area of work and a new approach to conservation.
- **Finding Your Wings:** Securing investment to launch this interactive platform at scale, connecting classrooms to conservation and helping young people build their green futures.
We believe bold action, creative leadership, and global cooperation are essential to restoring the natural world. Nature is in crisis and so is hope. Conservation Without Borders exists to restore both, redefining what conservation leadership looks like in the 21st century.

## **Financial review**
## **a. Going concern**
After making appropriate enquiries, the Trustees have a reasonable expectation that the Charity has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the accounting policies.
## **b. Reserves policy**
It is the aim of Conservation Without Borders to operate in the future with a general, non-project specific, free reserve equivalent to six months operating costs. This figure will be based on 6 times the average monthly operational spend from the preceding 12 months. As CWB grows this reserve policy may develop to create more specific reserves for focussed purposes.
## **c. Financial Position**
Income for the year amounted to £28,920 (2023: £33,887). Expenditure for the year amounted to £72,207 (2023: £145,971). The net deficit for the year amounted to £43,287 (2023: £112,084).
At the year end the value of the charity's free reserves amounted to £4,721 (2023: £48,008).

## **a. Constitution**
Conservation Without Borders is a registered charity, number 1186094, and is constituted under a CIO Foundation dated 01 November 2019.

The management of the Charity is the responsibility of the Trustees who are elected and co-opted under the terms of the CIO Foundation.

## **Statement of Trustees' responsibilities**
The Trustees are responsible for preparing the Trustees' report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
The law applicable to charities in England & Wales requires the Trustees to prepare financial statements for each financial which give a true and fair view of the state of affairs of the Charity and of its incoming resources and application of resources, including its income and expenditure, for that period. In preparing these financial statements, the Trustees are required to:
- select suitable accounting policies and then apply them consistently;
- observe the methods and principles of the Charities SORP (FRS 102);
- make judgments and accounting estimates that are reasonable and prudent;
- state whether applicable UK Accounting Standards (FRS 102) have been followed, subject to any material departures disclosed and explained in the financial statements;
- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Charity will continue in business.
The Trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the Charity's transactions and disclose with reasonable accuracy at any time the financial position of the Charity and enable them to ensure that the financial statements comply with the Charities Act 2011, the Charity (Accounts and Reports) Regulations 2008 and the provisions of the CIO Foundation. They are also responsible for safeguarding the assets of the Charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

I report to the charity Trustees on my examination of the accounts of the Charity for the year ended 31 December 2024.
## **Responsibilities and basis of report**
As the Trustees of the Charity you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the 2011 Act').
I report in respect of my examination of the Charity's accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.
## **Independent examiner's statement**
Your attention is drawn to the fact that the Charity has prepared the accounts in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) in preference to the Accounting and Reporting by Charities: Statement of Recommended Practice issued on 1 April 2005 which is referred to in the extant regulations but has been withdrawn.
I understand that this has been done in order for the accounts to provide a true and fair view in accordance with the Generally Accepted Accounting Practice effective for reporting periods beginning on or after 1 January 2015.
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:
1. accounting records were not kept in respect of the Charity as required by section 130 of the 2011 Act; or
2. the accounts do not accord with those records; or
3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a 'true and fair' view which is not a matter considered as part of an independent examination.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **1. General information**
The charity is a Charitable Incorporated Organisation registered at the Charity Commission in England and Wales.
The registered office and principal place of business of the charity is:

## **2. Accounting policies**
## **2.1 Basis of preparation of financial statements**
The financial statements have been prepared in accordance with the Charities SORP (FRS 102) - Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Charities Act 2011.
The financial statements have been prepared to give a 'true and fair' view and have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a 'true and fair' view. This departure has involved following the Charities SORP (FRS 102) published in October 2019 rather than the Accounting and Reporting by Charities: Statement of Recommended Practice effective from 1 April 2005 which has since been withdrawn.
Conservation Without Borders meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy.

These accounts are prepared on the going concern basis.

All income is recognised once the Charity has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably.
On receipt, donated professional services and facilities are recognised on the basis of the value of the gift to the Charity which is the amount it would have been willing to pay to obtain services or facilities of equivalent economic benefit on the open market; a corresponding amount is then recognised in expenditure in the period of receipt.

## **2.4 Expenditure**
Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources.
Expenditure on charitable activities is incurred on directly undertaking the activities which further the Charity's objectives, as well as any associated support costs.
All expenditure is inclusive of irrecoverable VAT.
## **2.5 Tangible fixed assets and depreciation**
Tangible fixed assets are initially recognised at cost. After recognition, under the cost model, tangible fixed assets are measured at cost less accumulated depreciation and any accumulated depreciation. All costs incurred to bring a tangible fixed asset into its intended working condition should be included in the measurement of cost.
Depreciation is charged so as to allocate the cost of tangible fixed assets less their residual value over their estimated useful lives. Depreciation is provided on the following bases:

## **2.6 Debtors**
Trade and other debtors are recognised at the settlement amount after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due.
## **2.7 Cash at bank and in hand**
Cash at bank and in hand includes cash and short-term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.
## **2.8 Liabilities and provisions**
Liabilities are recognised when there is an obligation at the Balance sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably.
Liabilities are recognised at the amount that the Charity anticipates it will pay to settle the debt or the amount it has received as advanced payments for the goods or services it must provide.
## **2.9 Financial instruments**
The Charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value.
