## **REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31ST MARCH 2022** 

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31st March 2022. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **OBJECTIVES AND ACTIVITIES Objectives and aims** 

The objects of the charity are: 

1.1 To promote for the benefit of the public in the united kingdom of Great Britain and Northern Ireland but not  exclusively, the conservation, protection and improvement of the built environment and natural environment (as defined at article 1.3) in particular, but without prejudice to the generality of the foregoing, by: 

(1) promoting the adoption of sustainability; 

(2) developing and/or promoting new approaches, technology, products, behaviours and policies that support sustainability; 

(3) promoting good practice in sustainability in furtherance of improved and accelerated decarbonisation and working positively with nature and natural systems including, but not limited to, the preservation of biodiversity; and 

(4) developing and/or promoting a better understanding of how nature and natural systems can be emulated and/or applied in the built environment including, but not limited to, biomimicry (as also defined at article 1.3); 

1.2 To advance the education of the public in the conservation, protection and improvement of the built environment and natural environment. 

1.3 In this article: 

'built environment' means places and spaces created or modified by people including, but not limited to, buildings, public realm, transportation systems, energy and water systems and food production systems; 

'natural environment' means all living and non-living things occurring naturally including, but not limited to, living species, climate, weather and natural resources; and 

'biomimicry' means the design and production of materials, structures and systems that are modelled on biological entities and processes.

## **OBJECTIVES AND ACTIVITIES** 

## **Significant activities** 

The 2021 - 2022 period was characterised by the impact of the ongoing Covid 19 pandemic as the world struggled to cope with the damage done to health and the economy by continuing waves of infection. Normal practices and expectations were revised, and strategies and working practices adjusted to make progress in the face of continuing effects of the pandemic. In the UK there were still significant restrictions on gatherings and in person meetings during this period. 

Despite these challenges and the global focus on health and economic recovery, the dire state of the environment meant that there were increasingly urgent climate and biodiversity issues to address. Those involved in environmental protection and restoration worked hard under very difficult circumstances to go beyond the devastation of the pandemic to raise the alarm on climate change and accelerate action on nature loss. A key event in this period was the highly important UN COP 26 Climate Change Conference hosted in Glasgow in October/November 2021. This provided a much-needed global focus on the environment and the impetus to put in place the measures needed to halt global warming at 1.5 degrees. 

Throughout this period, the Southwood Foundation held fast to its objectives and continued to develop its work as a convenor of actors and organisations to help mobilise joined up action. The impact of covid and its knock-on effects on the economy meant that the Southwood Foundation's budget was significantly reduced and staffing temporarily reduced. Nevertheless, the Foundation did all it could to draw on its networks and expertise from across the private and third sectors to help advise and guide wherever opportunities arose. 

## **Public benefit** 

The trustees have paid due regard to the Charity Commission guidance on public benefit in deciding what activities the charity should undertake. They have borne this guidance in mind in the governance of the Southwood Foundation and believe this is demonstrated in this report. 

## **ACHIEVEMENT AND PERFORMANCE** 

## **Charitable activities** 

Responding to budgetary pressures and the changing landscape of increased community action on the environment at the local level, the TSF trustees moved TSF away from grant giving and concentrated the foundation's activity on mobilising the expertise that constitutes its most unique and valuable asset. 

The Foundation continued to work closely with strategic partners and share insights into many current developments including the Environment Act, the Agriculture Act and international negotiations on the environment. 

## **Nature Action Hub** 

Building on the conceptual work carried out in 2020 on the development of a volunteering platform for ecology experts, The Southwood Foundation implemented plans to create the Nature Action Hub for expert volunteers. The defining purpose of the initiative is to support the dramatic increase in community action on biodiversity at the local level by facilitating the provision of expertise on the best measures to take. The Nature Action Hub is an innovative volunteering platform specifically for environmental experts, giving them a direct route to nature restoration projects in need of expert guidance being carried out at the community level. 

A business case was developed, and technical, legal and governance structures put in place. These included the establishment of a steering group to provide governance and guidance on the Hub's activities. The steering group is chaired by a Southwood Foundation trustee and members include chartered ecologists and a representative of the Chartered Institute of Ecologist and Environmental Management.

A trial was commenced in Sussex in 2021 with the Sussex Wildlife Trust as partner, working together to match nature restoration initiatives at the local level with experts willing to offer a time to advise for positive and lasting outcomes. Selection criteria were developed, first calls for participation made and initial projects started as part of the trial. Good progress was made, with positive responses, active involvement, and processes refined based on feedback and lessons learnt. 

The Nature Action Hub continues to grow and go from strength to strength, with plans to extend into London and South East England beyond Sussex. 

## **Reintroduction of Greater Horseshoe Bats in Sussex** 

Although budgetary pressures had meant that TSF trustees had in general pivoted away from grant giving in the short term, The Southwood Foundation was pleased to be able to support the Vincent Wildlife Trust's campaign to help buy and protect a derelict stable block in Sussex where a maternity colony of rare Greater Horseshoe bats had established a roost. The Greater Horseshoe Bat was once common in the area but have been absent from all but very few areas of the UK for many decades. The emergence of this species in the South-East of England was a rare opportunity to restore a vital species to its former habitat, creating a staging post that has the potential of re-establishing the species across London and the South East. 

## **UN COP 26 Climate Change Conference** 

The Southwood Foundation is committed to working with like-minded organisations to push for swifter and greater action on climate change and biodiversity loss. In the context of the highly important COP 26 conference, TSF was a co-signatory, with other British and Italian foundations, of a statement to Italian and British political leaders preparing the UN meeting, calling on them to drive up ambition and ensure much higher levels of commitment from participating countries. 

TSF developed a statement of its own to spell out the urgency and salient points it wanted to make about the urgency and importance of the COP 26 conference. The statement was sent of the Environment Secretary and partners, and was the subject of strategic discussions with partners. 

## **Environmental Funders Network** 

The Southwood Foundation continued to be an active member of the Environmental Funders Network and was represented in many sector meetings and briefings throughout the period. 

## **Association of Charitable Foundations Commitment on Climate Change** 

In 2020 The Southwood Foundation was a founder signatory of the Association of Charitable Foundations Commitment on Climate Change. Foundation staff participated in the annual review of progress and were quoted in the first ACF report on the commitment. 

## **Working in partnership** 

The Southwood Foundation continued to work in partnership with Rothamsted Research, a non-profit researching strategic agricultural innovation and sustainability, and the Centre for Environment and Sustainability (CES) at the University of Surrey. They also work closely with the Aldersgate Group, The Sussex Wildlife Trust, the Vincent Wildlife Trust, CIEEM, the Environmental Funders Network and the Association of Charitable Foundations. 

## **FINANCIAL REVIEW** 

## **Reserves policy** 

The Southwood Foundation holds the equivalent of three months' running costs in reserve to cover liabilities. Based on 2021 - 22 expenditure, the amount currently in reserve is £6,700. 

There was an unrestricted income received in the period of 2021-22 of £41,382 (2021: £34,677). After expenditure of £26,831 (2021: £24,482), there was a surplus carried forward of £21,830 (2021: £7,279).

The Southwood Foundation (TSF) exists to promote innovation and action on carbon reduction and restoration of nature, through promoting collaboration, sharing innovation and knowledge, and building connection. The Foundation's founders are particularly driven to break through professional silos both within and across academia, practitioners (consultants), regulators and policy makers and facilitate joined up thinking to deliver the meaningful change we need for a sustainable future. TSF was established as an open platform deploying expertise to enable good ideas to be shared and implemented as widely as possible. 

## **Trustees** 

The Southwood Foundation trustees have extensive experience in the environment and sustainability sectors: 

## **Mark Southwood - Founder** 

Mark has over 40 years' experience in the environmental field and related areas including sustainability and planning. 

He has developed environmental policy and strategy for many in the private and public sectors and has led and reviewed numerous research projects and programmes. He has served on a range of Professional and European Committees. 

Mark founded Temple in 1997 and has also worked as a Director of SECBE (South East Construction Built Environment), NERC (Natural Environment Research Council) - Innovation Advisory Board and was on the Ceequal Board (CIRIA). 

## **Rachel Starling MBE** 

Rachel is a Chartered Environmentalist with 40 years of experience working across government, consultancy and industry in the UK and overseas. As Client Representative for Environment, Rachel has played a key role in establishing the High Speed 1 railway as a benchmark for environmental performance. She was awarded Railway Manager of the Year 2013 and received an MBE for services to the rail industry in 2014. 

## **John Turzynski** 

John is a Chartered Civil and Structural Engineer. He served as a Director at Arup for 20 years and is now a senior consultant. He has worked on major national infrastructure projects including large stations in London. He is interested in how these major projects shape cities and communities, and how they can be delivered sustainably for long term benefit. 

## **Nick Lomax** 

Nick is a chartered architect with 40+ years of experience at a senior level in the built environment sector. Having developed a broad portfolio of work with his practice LCE architects, founded 30 years ago, he has come to recognise that most ecological and social impacts are locked in at the design phase. As a result, he has set up a new practice, Lomax Design, committed to affect change in the design process and to promote the true values of collaboration, community and legacy to suggest solutions for the problems that humanity faces today.

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Foundation Advisor** 

TSF continued to work with Foundation Lead Gary Kass who was appointed in March 2019. Gary has more than 30 years' experience as a knowledge broker and advisor in the public, private and professional sectors including serving as Deputy Chief Scientist in Natural England & various roles in Defra. His particular specialism is in foresight and futures analysis, applied in the development of environment and sustainability strategies, focussing his scientific work in particular on knowledge systems for sustainability and global megatrends. 

## **Foundation Partners and Collaborators** 

The Southwood Foundation partners are the Centre for Environment Sustainability at the University of Surrey, and Rothamsted Research, a non-profit research centre focussing on strategic agricultural science. We have also built relationships with a range of organisations, including the Aldersgate Group, The Sussex Wildlife Trust, CIEEM, the Environmental Funders Network and the Association of Charitable Foundations. We continue to extend our collaboration network across the foundation and charitable sectors. 

## **Induction and training of new trustees** 

The Southwood Foundation trustees' induction was delivered by the TSF founder, Mark Southwood, who was ideally placed to provide trustees with his vision for the foundation's purpose, finances and roles which they then helped to shape. Led by Mark Southwood, the trustees were responsible from the outset for overseeing its legal establishment, governance and strategic direction. 

The trustees have gone through a learning process as the foundation has developed from those early stages of establishment into an organisation with a public face interacting with the wider community to start to deliver on its core purpose of promoting sustainability and greater joined up thinking/collaboration.

## **Independent examiner's report to the trustees of Southwood Foundation ('the Company')** 

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31st March 2022. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31st March 2022. 

The members have not required the company to obtain an audit of its financial statements for the year ended 31st March 2022 in accordance with Section 476 of the Companies Act 2006.

- (a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention with the exception of investments which are included at market value. 

The accounts are prepared in sterling, which is the functional currency of the charity. Monetary amounts in these financial statements are rounded to the nearest £. 

At the time of approving the financial statements, the trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future and on that basis the charity is considered to be a going concern. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

Grants offered subject to conditions which have not been met at the year end date are noted as a commitment but not accrued as expenditure. 

## **Taxation** 

The Charity is considered to pass the tests set out in Paragraph 1 Schedule 6 Finance Act 2010 and therefore it meets the definition of a charitable company for UK Corporation Tax purposes. Accordingly the Charity is potentially exempt from taxation in respect of income or capital gains received within categories covered by Chapter 3 Part 11 Corporation Tax Act 2010 or Section 256 of the Taxation of Chargeable Gains Act 1992, to the extent that such income or gains are applied exclusively to charitable purposes. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
