POLICY ON GRANTMAKING

REPORT OF THE TRUSTEES

Ol Pejeta Conservancy UK has developed a grant making policy, processes and sub grant agreements with relevant terms and conditions to enable grants to be awarded and monitored in support of its objects.

For the period ended 31 December 2020

ACHIEVEMENTS

The Trustees are pleased to present their annual report together with the financial statements of accounts for the period 22 October 2019 to 31 December 2020. The charity was registered as a Charitable Incorporated Organisation (CIO) on 22[nd] October 2019.

PUBLIC BENEFIT

The trustees confirm that they have complied with the Charities Act to have due regards to the public benefit guidance published by the Charity Commission for England and Wales.

OBJECTIVES AND ACTIVITIES

The charitable objects of Ol Pejeta Conservancy UK are:

ACTIVITIES

During the period Ol Pejeta Conservancy UK was established as a Charitable Incorporated Organisation (CIO). Policies and procedures were put in place to enable the recruitment of staff and for the CIO to fully operationalise in 2021.

Ol Pejeta Conservancy UK is closely aligned with Ol Pejeta Conservancy in Kenya and fulfils its objects through global fundraising activities in support of wildlife and community development initiatives of the Conservancy.

Ol Pejeta Conservancy is a 90,000 acre wildlife conservancy along the equator in Laikipia County, Kenya. It is located between the foothills of the Aberdares and the magnificent snow-capped Mount Kenya. As a role model for sustainable conservation, it works to conserve wildlife, provide a sanctuary for great apes and to support local livelihoods.

Ol Pejeta Conservancy is a leader in rhino conservation . It is home to the world’s last two remaining northern white rhinos and the largest single population of Critically Endangered black rhino in East and Central Africa. It leads initiatives to conserve and create more conservation space and ensure ecosystem connectivity that also benefits other wildlife, including large populations of elephant, giraffe, predators such as lions as well as endangered species such as Grevy’s zebra, Beisa oryx and Jackson’s hartebeest.

Ol Pejeta also provides a sanctuary for orphaned chimpanzees rescued from the illegal wildlife trade. The 250 acre Sweetwaters Chimpanzee Sanctuary cares for two distinct groups of chimps in open enclosures covered by savannah bushland, offering a safe semi-free ranging habitat together with a holding facility for overnight accommodation. The Sanctuary provides an important opportunity for public awareness and education on the plight of chimpanzees in the wild.

Ol Pejeta’s Community Development Programme works to enhance livelihoods of the local people by improving access to education, clean water and health services, guided by the needs of the community. As well as protecting rhinos, Ol Pejeta’s rangers play an important role in mitigating and responding to incidents of human wildlife conflict.

Ol Pejeta Conservancy UK received £6,827 in donations for the period ended 31 December 2020. No grants were awarded during the reporting period. Grantmaking is envisaged to begin in 2021.

During the period 2019-2020 Ol Pejeta Conservancy UK was established with four founding trustees. A fifth trustee was appointed in 2020 and a sixth in 2021. Policies and procedures were developed and a bank account opened, in readiness to begin operations in 2021 to support activities on the ground in Kenya.

Ol Pejeta Conservancy takes pride in its sustainable business model which also generates income for its conservation and community projects from agriculture and tourism. During 2019, Ol Pejeta Conservancy saw significant growth in the tourism, made good progress towards the recovery of the northern white rhino, secured the Mutara Conservation Area as future habitat for rhinos, and continued to grow its black and southern white rhino populations - with nil poaching recorded since 2017. On the community development front, the Conservancy continued to support the socio-economic development of the people that live around its borders in a way that is tangible, recognised and supportive of government efforts.

However, nothing prepared us for the COVID-19 pandemic which resulted in tourism grinding to a complete halt. This continues to have a significant impact on operations and the Conservancy’s finances, with international tourism not likely to return in a meaningful way until late 2021 or later. Despite the challenges, the organisation needed to find ways to maintain integrity and ensure recent gains in conservation and community development were not reversed. This abrupt halt of tourism income has made the establishment of Ol Pejeta UK even more important in providing an alternative source of funding to support the Conservancy.

FUTURE PLANS

Having laid the groundwork in 2019/20, we have established the foundations to enable us to develop initiatives that will provide crucial financial support to activities on the ground at the Conservancy from 2021. We will recruit staff and develop a global fundraising programme in support of wildlife and habitat conservation and community development projects at Ol Pejeta Conservancy, Kenya.

FINANCIAL REVIEW

Minimal activity was recorded during the period which was primarily a registration and set up period in readiness for full operation during 2021. Unrestricted income of £6,827 was received during the period broken down as follows:

Ol Pejeta Conservancy UK did not make any grants in the period under review. Grant making is envisaged to begin in 2021.

RESERVES POLICY

Ol Pejeta Conservancy UK will be establishing a Reserves Policy as it becomes more established. This will be completed in the next financial year. In the meantime there is an undertaking from Ol Pejeta Kenya to cover six months’ operational costs should these be requested from Ol Pejeta Conservancy UK.

RISK MANAGEMENT

The trustees have examined the major strategic, business and operational risks which the charity faces and confirm that systems have been, or will be, established to enable the necessary steps to be taken to lessen these risks.

At this stage, the main risk to the charity is to ensure sufficient support for its objectives. Once fully operational in 2021 we will develop a risk register to identify and document risks and mitigation strategies.

ORGANISATIONAL STRUCTURE, GOVERNANCE AND MANAGEMENT

Ol Pejeta Conservancy UK is a Charitable Incorporated Organisation. Ol Pejeta Conservancy UK’s governing document is its Constitution and its only voting members are its board of trustees. The charity was established with four founding trustees, then a fifth was appointed in 2020 and a sixth in 2021. A new trustee/treasurer was appointed in 2021. The trustees are listed on page five. The trustees meet four times per annum. In the intervening periods, a member of the Board of Trustees provides oversight and guidance as necessary.

RELATIONSHIPS WITH ANY RELATED PARTIES

The following trustees are also board members of Ol Pejeta Conservancy in Kenya: Richard Vigne, Annette Lanjouw and Joanna Elliott.

GOING CONCERN AND COVID-19

The trustees have prepared the Financial Statements on the basis of a going concern. The trustees have considered the consequences of COVID-19 on the activities of the Charity, and we have determined that they do not create a material uncertainty that casts significant doubt upon the entity’s ability to continue as a going concern.

Trustee Selection

Every trustee must be appointed for a term of three years by a resolution passed at a properly convened meeting of the charity trustees. In selecting individuals for appointment as charity trustees, the charity trustees have regard to the skills, knowledge and experience needed for the effective administration of the CIO. Prospective trustees undergo a full due diligence and vetting procedures before being considered for appointment. All new trustees undergo orientation with each existing trustee, induction with the CEO of Ol Pejeta Conservancy UK and MD of Ol Pejeta Conservancy Kenya.

All trustees give their time freely and no trustee remuneration or expenses was paid in the period. In addition, no out of pocket expenses were reimbursed to the trustees and no trustee had any beneficial interest in any contract with the charity during the period.

Chief Executive Officer

Hetal Ganatra, CEO of Ol Pejeta Conservancy UK and the Global Head of Fundraising and Communications, has been with Ol Pejeta since 2019. Hetal previously worked for ActionAid International and AGRA in senior leadership positions. Hetal brings a wealth of experience in fundraising, grant and risk management, compliance and systems. She is extremely passionate and dedicated to making impactful contributions towards wildlife and habitat conservation, climate change and community development.

Polices and Procedures

Ol Pejeta Conservancy UK has developed and implemented policies and procedures including for: conflict of interest, grantmaking, anti-money laundering, safeguarding, anti-bribery, and HR and contracting. Policies for financial controls, reserves and data protection will be developed and put in place in 2021.

The wider network with which the charity works

Ol Pejeta Conservancy UK is closely aligned to Ol Pejeta Conservancy in Kenya, with which it has a special relationship. The CIO aims to fulfil its objects through global fundraising support for the Conservancy’s wildlife conservation and associated community work in Kenya. We have partnered with other selected organisations to help meet these objects including:

TRUSTEES’ RESPONSIBILITIES IN RELATION TO THE FINANCIAL STATEMENTS

The Charity’s trustees are responsible for preparing a trustee’s annual report and financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom accepted accounting practice).

The law applicable to charites requires the charity’s trustees to prepare financial statements for each period which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, including the income and expenditure, of the charity for that period. In preparing the financial statements, the trustees are required to:

The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the Conservancy and to enable them to ensure that the financial statements comply with the Charities Act 2011, the applicable charities (accounts and reports) regulations, and the provisions of the constitution. They are also responsible for safeguarding the assets of the charity and taking reasonable steps for the prevention and detection of fraud and other irregularities.

3. ANALYSIS OF EXPENDITURE ON CHARITABLE ACTIVITIES

NOTES TO THE FINANCIAL STATEMENTS For the period ended 31 December 2020

1. ACCOUNTING POLICIES

(a) Basis of Preparation of Financial Statements

The financial statements have been prepared in accordance with the Accounting and Reporting by Charities: Statement of Recommended Practice applicable to Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) (effective 1 January 2019) - (Charities SORP (FRS102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) and the Charities Act 2011.

Ol Pejeta Conservancy UK meets the definition of a public benefit entity under FRS102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy note(s).

(b) Reconciliation with previous Generally Accepted Accounting Practice

In preparing the accounts the trustees have considered whether in applying the accounting policies required by FRS102 and the Charities SORP FRS102.

4. TAXATION

As the Charity’s aim to facilitate the advancement of education, the relief of poverty the advancement of religion and other such purposes, it is not subject to corporation tax.

5. RELATED PARTY TRANSACTIONS

None of the trustees have been paid any remuneration or received any other benefits from an employment with the Charity or related party.

(c) Income

Income is recognised when the charity has entitlement to the funds, it is probable that the income will be received and the amount of income receivable can be measured reliably.

There were no further related party transactions in the reporting period.

Donations are recognised when the Conservancy has been notified in writing of both the amount and settlement date.

(d) Expenditure

Expenditure is recognised once there is a legal or constructive obligation committing the charity to that expenditure, it is probable that settlement will be required and the amount of the obligation can be reliably measured.

All expenditure is accounted for on an accruals basis, however currently the administration and governance expenditure for the Conservancy is paid by the charity.
