Hist The first Skt Nikolaj Church was purchased in 1869 and was the old chape5 'Bethesda' in Osborne street. In 1871, on May 9th , a new church was consecrated. During the first World War the Sailors were forbidden to go ashore, so the church had to come to the Sailors. On May 9th 1941 the church suffered a dirett hit by bombs, as did the majority of Hull. On May 9th 1954 a new Skt Nikolaj Danish Seamen's Church was consecrated. This new church was built on Osborne Street and is the one still used tc(lay.

The members of the Church Council are eletted at the Annual General Meeting. Nominations for membership of the Church Council must be recetved by the Secretary 14 days before the dats of the Annual General Meeting. The Constitution requires the Church Council to be comprised of: l) Not less than 5 ordinary members, eletted at the Annual General MtIng 2) The Church's Pastor 3) A nominee of DSUK 3 of the elected members of the Church Council must retire each year in rotstion but may be re-elerted. Four Trustees are required to make a quorum. A meeting of the Church Council is empowered to take decisions, when it has convened by 7 days written noti and not less than one half of its numbers are present. anisational Structure: Skt Nickolaj Danish Church CIO is managed by the Church Council who meet regularly and are responsible for the proper use of the Church and other propety and premises that belong to the Church, the strategic direction and policy of the charity. Risk M na ement: Procedures are in place to ensure Complian wlth health and safety of stsff, volunteers, service users and visitors to the Centre. All procedures are periodically reviewed to ensure that they contlnue to meet the needs of the charity.

Our main objectives for the followlng year are: l) To complete the transfer of all assets and liabilities to the new Charitsble Incorporated Organisation. 2) Following the withdrawal of the pastOf71 support previously provided by the Danske Soemands og Udlandskirker (DSUK) the Church has developed plans to preserve its capacity to provide for divine seNices according to the traditions of the Danish Church. Desplte delays in implementstion caused by the coronavirus epidemic, the Church continues to prOg$S Its plans and remains confident that it will achieve financial sustainability whilst continuing to support the spiritual needs of its community. Achievements and Perfornlance The attivities of Slff Nickolaj Danish Church CIO (the Company) should be considered as an integral part of SKt Nikolaj Danish Seamans Church and this annual report should be read in conjunction with those of its sister organisation. During the year the Company continued to support the Danish Seamans Church by co-ordinatlng the Church's events through its employee, the Hull Centre Manager (the Manager). The Manager was fully responsible for the day-to-day management of the Church's financial affairs and activities and was instrumental in securing a material improvement in income arKI in contsining the Church's normal operating costs.

Consequently, transactions were limited to the employment of the Centre Manager only and to the receipt of £16.2k in the form of a charitsble transfer from Its sister organisatlon During much of the year the Centre Manager's activities were restritted by government actions relating to the covid pandemic. The manager was nevertheless retained as an employee on a full salary. Just under £IOk of the Managerfs costs were covered by receipts under the Government s Job Retention Scheme. In future years all attivities will be run under the auspices of the Company alone and its accounts will consequently reflect the totslity of the Hull Danish Church's financial transactions. Reserves Policy It is the general policy of the charity to maintain unrestritted funds, whlch are the free reserves of the charity. Any surplus will be retained in the unrestritted fund to support future running costs. Plans for Future periods l) To complete the delayed transfer of all assets and liabilities to the new Charitable Incorporated Organisation. 2) To sustain the Church's capacity to provide for divine serrf1 according to the traditions of the Danish Church. It is intended that the church will fund its own future pastoral provision as well as developing cultural activities designed to forge a link between the Church and the wider community. The Church's strategyi Staffing arrangements and financial plannlng reflect thls objettive. 3) Progress the Implementatlon of the business plan aged in 2019 As noted above, the covid-19 pandemic Interfered significantly with the timing of the Church's plan to achieve financial sustslnability. Some important progress has been made however and the underlying plan remalns intatt. We wlll progSSive1Y assume the full range of attivities aimed at ralsing income, seeking to achieve breakeven within thr years. In the interim, any emerging deficits can be more than adequately covered from existing reseNes.

Trustees Responslbllities The Charities Att reqUIS the trustees to prepare financial statements for each financlal year. In accordance with the Charity Commission Guidantr the TrUSS have eletted to prepare the accounts on the Receipts and Payments basis. This is an acceptable format for all non-company charities with an income below £250,000. The trustees are restK)nsible for keeping proper accounting records which disclose with reasonable accurary at any time the financial posltlon of the charty and to enable them to ensure that the financial ststements comply with the Charities Act 2011. The trustees are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. Statement of disclosure of Information to Independent Examiner The Charty has an income between £25,000 and £lm and thefOre falls under the Independent Examinatlon regime. We, the Trustees of the Charity who held office at the date of approval of these financial statements, each confirm so far as we are aware, that: <> there is no relevant information of which the Charity s Independent Examiner is unaware. and we have tsken all the steps that we ought to have tsken as Trustees in order to make ourselves aware of any relevant information and to establish that the Charitys Independent Examiner is aware of that information. Respective responsibillties of trustees and examiner The charity s trustees are responsible for the preparatlon of the accounts. The charity's trustees consider that an audit is not required for this period under section 144 of the Charities Att 2011 (the Charities Att) and that an Independent examination is needed. It is my responsibility to: examine the accounts under section 145 of the Charities Art. to follow the procedures laid down In the General Directions given by the Charity Commissioners under section 145 (5)(b) of the Charities Att. and to state whether particular matters have come to my attention. Basls of independent examiner's report My examination was carried out in accordance with the Gener31 Directions given by the Charty Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with tho* records. It also Includes consideration of any unusual item5 or disclosures in the accounts, arKI seeking explanations from the trustees concerning any such matters. All the Charities, income is applied to its charltsble objettives and the association is therefo exempt under current legislation from most forms of tsxatlon. Trustee Remuneration No Remuneration was paid to Trustees during the period out of the fL5nds of the charity. Transfer to Skt. Nickolaj Danish Church CIO The Charitable Incorporated Organisation (CIO) Is still in the process of finalising the transfer from Skt. Nikolaj Danish Seamen's Church (registered Charty No: 1120852), however this has been further delayed due to the Covid-19 pandemic. The CIO has 1Ved a transfer of £16,392 (2020 £18,602) to cover the deficit for the period on the salaries. It is anticipated that all assets, liabilities and activities will transferred in the next accounting period. 13
