As the interests of trU￿¢¢S and Councillors are similar, it is unlikely that conflicts wcur. If a conflict
does arise. the conflicted trustee M'ould disclose i( retire for the discussion. and would not vote on the
Issue.

Introductlon and Objeets
The company was incorpora￿d on 22 June 2018 w'ith the purpose of tsking over from th¢ Boughton
Monchels¢a Amenity Trust (registered charity numE*r 1039498) (the "Trust",) and the two charities
have Similar objects.
The aim of BMAT is to provide amenities for the benefit of the inhabitants of Boughton Monchelsea
and the neighbouring communities. It has th¢ following objects:
l. The maintenance. improvement of provision of public amenities
2. The conservation and proteclion of the enviTonment Whe￿ th¢ land or species are of nanual
beauty or 5ci¢ntific interest that is worthy of preservation aThl
3. The preservation of l>uildings, gardens or18nd of historical or architectural IMI￿anCe and
4. To provide or assisl in the provision of f#cilitie5 in the interests of social welfar¢ for
recreation or ¢)ther leisu￿ time (Kcuption of individuals who have need of such facilities by
r¢ason of their vouth, ag¢, infrmity or disability. financial hardship or so¢ial circumstan¢¢s
with the object of improving their conditions of life
These objects represent some of the responsibiliiies of Boughton Monchelsea Parish Council (the
'£ouncil') and in 1994 it set up the Trnst in order to help them meet these res￿nSibILitieS and to
ensure that those amenities were available for the foreseeable future.
In 2017 the Trust d￿lded that its object5 would k more conveniendy met by a corporate entity and
BMAT was fomed and incorporated in 2018.
BMAT works closely with the Parish Council in that the Council has very wid¢ tK)wers and
reswnsibiliiies which include the aims of BMAT, and th¢y provide substhntial practical and financial
support to BMAT.
Review of 8¢tivitiey during the l*sl y￿r.
The arrangements for managing some of BMAT'S open space land has been forn]alised by a legal
management agreement Ethveen the Parish Council and BF*lAT. This agreement covers Salts Wood
and Furfield Park and the Parish Council pa)'s for the upkeep of these oFn spaces. Other BMA T open
space& at Lyewod and Walk Mudow. have biodiversity net gain agreements in place. with S106
funding from developers used to pay for their maintcnance (and biodiversity impTr)vements) over a 30
year period.
In 24125 the Charity has earned int¢rest on its cash lkpsits of £12.173 and has spent £19.126. This
expenditure covered legal f¢es ID relation to land at Campfi¢ld.
BNG funds held by BMAT are detailed in the below table. The Parish Council is also holding
£87,201.78 in BNG funds and this Sum will be transferred to BMAT in 2026. A further Sum of
£16.589 is due from Adonis Blue plus ind¢xation and interest of £15.478.94. Once all funds are
received. the BNG total will be £269269.72. These funds must ￿ S￿nI on BNG schemes only.

As the Council taken reswnsibilitv for the upkeep of part of BMAT'S public open space land the
risks which the charity fac￿ are limited. BMAT holds £1 OM public liability insurance.
The Cowi¢il has tsken reSFon5ibility for maintaining some of the open spaces owied by BMAT and
thcrcfor¢ the charity d￿S not nttd large r¢s¢ryes. A small 8enernl reserve is maintained to meet any
da), io day expenditure.
Future plans

maintsined and enhan¢¢d, and to look to acquire additional land or rights to land when the trustees

The trustees have considered the public benefii guidance issued by the Charity Commission and are
satisfied that this report demonstrdtes the publi¢ knefit which the charity provides.
