## Trustees’ Report for Winchcombe Rotary Trust Fund Charitable Incorporated Organisation for Year ended 30th June 2025 

The fifth AGM of the Trust was held on 24th October 2024 where the CIO members agreed that the Trustees for the coming year (2024-25) would be: 

President – Gavin Phillips (ex officio) Secretary – Mike Page (ex officio) Treasurer – Andy Bride (ex officio) President Elect – Brian Maggs (ex officio) Nominated Charity Trustee – Steve Wilkinson                                                     Nominated Charity Trustee and CIO Secretary 

Thanks to Hazel Phillips (ex officio trustee) who relinquished office on 30[th] June 2025. 

None of the Trustees received any remuneration or payment for their activities and nor does the CIO employ any personnel. 

## **Trust Governance** 

The Charity was incorporated on 15[th] August 2019. The Constitution (guiding document) of the CIO was lodged as part of the registration and fully details the Organisational Structure, Purpose, Objectives and Main Activities are recorded in this document.  An annual Trustee Meeting was held on 30[th] May 2025 when the Trustees reviewed the Constitution and the Charitable Funds Advisory Group Policy.  After an active discussion it was decided that no updating of the CFAG Policy was necessary.  The Trustees are satisfied that for this reporting period the CIO has been operated in line with these key documents. 

## **Validation of Accounts** 

As the CIO has again income of more than £25,000 therefore it is necessary for the accounts to be validated by an independent person.  Mr Chris Evans who lives in Winchcombe is a retired Senior Civil Servant with experience in the handling of charity financial matters has agreed once again to be the person to validate our accounts.  The Trustees are grateful to him for his diligent and voluntary attention.

## **Financial Situation** 

At year end the CIO account held £26,056.12 (2024 £32,029.78).  The CIO has no direct liabilities and at the year-end there were no outstanding commitments to Legacy Projects. The balance of our commitment to the Hardship Fund was £2,586.13 together with £2,500.00 for School Meals and £1,000.00 for the Disaster Fund.  This left £19,969.99 available for charitable donations. 

**Fund raising** - The Club has undertaken on behalf of the CIO the following fund-raising events: 

1. Classics at Prescott – 2024. The 2024 event was held in May but monies from the event were not transferred into the CIO until the summer when the administration was complete.  It was another outstanding success and the overall surplus generated, and paid over to the CIO, including Gift Aid was £28,888.73. This amount takes into account a 10% payment to Rotary Club of Bishops Cleeve who provided help during the event. 

2. Christmas Activities – The now familiar combination of decorating the Town with Christmas trees and taking Santa's Sleigh around the streets was again undertaken and once again raised £2,566. 

3. The Club’s 100 Club Lottery Fund donated £2,000 to the CIO. 

4. A Quiz night raised almost £1,300 and the Bikeathon and Easter Egg appeal almost £1,600. 

5. Stewarding during Cheltenham Race Week facilitated a donation of £500 to the CIO 

**Charitable donations** - Applications for funding are reviewed initially by a subgroup (the Charitable Funds Advisory Group) which, after due diligence, makes recommendations to the members for approval. 

The CIO membership requested the Trustees to make the payments analysed in the CIO’s accounts, totalling £45,788.41.  The largest were for the Winchcombe Town Council’s pumptrack (£20,000) and a contribution to a school re-building project in Kenya (£5,000). 

**Expenses** – The CIO incurred no running cost during the year.

At the year end the CIO had no outstanding debts, however it should be noted that: 

1) There were no outstanding commitments to Legacy Projects. 

2) A total of £11,500 has been committed to Hardship Fund of which £7,070.56 was spent in previous years and £1,843.31 in 2024 - 2025. The commitment to the Hardship Fund at the year end was therefore £2,586.13. 

3) £2,500 is committed to School Holiday Meals Project. 

4) £1,000 is committed to the Disaster Fund should urgent need arise. 

As these allocations are yet to be spent they are not reflected in these accounts, but they restrict the funds available for donation, to £19,969.99 The balance of cash carried forward is lodged in the CIO Business Account at Lloyds Bank Cheltenham. The cash in this account is the only asset held by the CIO.

I report to the trustees on my examination of the accounts of Winchcombe Rotary Trust
Charitable Incorporated Organisation ('the Trust) for the year ended 30 June 2025.
Responsibilities and basis of report
As the charity trustees of the Trust you are responsible for the preparation of the
accounts in accordance with the requirements of the Charities Act 2011 ('the Act,).
I report in respect of my examination of the Trust's accounts carried out under section
145 of the 2011 Act and in carrying out my examination I have followed all the
applicable Directions given by the Charity Commission under section 145(5)(b) of the
Act.
Independent examiner's statement
I have completed my examination. I confimi that no material matters have come to my
attention in connection with the examination giving me cause to believe that in any
material respect:
1 . accounting records were not kept in respect of the Trust as required by section 130 of
the Act: or
2. the accounts do not accord with those records.
I have no concerns and have come across no other matters in connection with the
examination to which attention should be drawn in this report in order to enable a proper
understanding of the accounts to be reached.
