MINUTES OF THE ANNUAL MEETING OF WANSDYKE DISTRICT SCOUT COUNCIL Wednesday 23rd September 2020 at 7.30 pm

The Chairman welcomed everyone to the meeting, especially Stu Ballard representing County Commissioner.

Apologies for absence had been received from non-attending members: Roger Dowse, Tony Clutten and a number of other Scouters and lay officials.

Approval of the Minutes of the 2019 Annual General Meeting held on 24th September 2019 at The Riverside Inn, The Shallows, Saltford BS31 3EZ at 7.30 pm. 92% in favour; 8% abstentions.

Matters Arising. There were none.

Approval of the Trustees’ Annual Report for year ended 31 March 2020. Proposed: Ian Carter, Seconded: Clive Richards. 79% in favour; 21% abstentions.

Approval of the Trustees’ Accounts for year ended 31 March 2020. The Chair asked for any questions to John Sharp to be raised via Chat. There were no questions. Proposed: David Moore; Seconded: Hilary Mander. 86% in favour; 14% abstentions.

Chairman's Address. This is the last report I will give as Wansdyke Chairman. It has been a great pleasure for me to work with so many dedicated Scouters and lay people on the District Executive for the past 6 years. This last year, for obvious reasons, has been like no other, but it is a mark of how resilient and resourceful our leaders are that so many of them, at District and Group level, have risen meet to the challenges set by coronavirus.
The purpose of the Executive Committee, who are all charity trustees, is to support the District Commissioner:

by keeping the rules of the Scout Association;
-
by administering the District through keeping of accounts and records;
-
by managing and implementing the Safety Policy;
-
by ensuring that a positive image of Scouting exists in the local community;
-
by ensuring that Young People are meaningfully involved in decision making at all levels within the District;
-
by dealing with any opening, closure and amalgamation of Groups, Explorer Scout Units, Scout Network and Scout Active Support Units in the District as necessary;
-
by appointing and managing the operation of an Appointments Advisory Committee;
-
by supervising the administration of Groups, particularly in relation to finance and the trusteeship of property.
In order to do this the trustees have met four times during the year, twice face-to-face, and twice on Zoom. There is only District sub-committee; it deals with appointments. In Wansdyke the Appointments Advisory Committee is jointly chaired by Roger Dowse and Janet Turner, and Tony Stringer is the secretary. On behalf of the whole District I thank them and the other committee members for their continued work which plays such a vital role in our adult recruitment process.
On the financial side, our balance sheet looks healthy, and for a small District we have good reserves, which will help us through these uncertain times. Our accounts are very well managed by our District Treasurer John Sharp, and we thank him for his diligence.
Another person who deserves our thanks is Derek Bayliss, our charity and legal adviser. This AGM represents the end of our first full year as a registered charity, and without Derek’s perseverance and hard work this would not have been possible.

Back to the main Committee, and we say thank you to two special people who are standing down this year. Jane Bale has been our secretary for the past six years. She has been a tower of strength, nudging me when I needed to be nudged, and preparing and maintaining immaculate records of meetings. On behalf of us all, I say a big thank you to Jane. Another person standing down from the Executive Committee is Sara Kilburn, and I would like to thank her for her wise counsel. Both Jane and Sara plan to continue to serve Scouting in Wansdyke through their local Scout Groups.
So, what lies ahead for Scouting in the current pandemic? I think we all wish we knew the answer to that. What I do know is that, with the high quality of leadership in Wansdyke from the District Team led by Tina Curtis, and within the Groups and Units, we will continue to do our best to provide excellent Scouting for the 1200 young people under our care.

Nomination of District Chair. The meeting approved the District Commissioner's nomination of Nigel Wright as District Chair. 100% in favour.

Election of District Secretary. This position is now vacant. Approval for the District Executive Committee (Trustees) to appoint a District Secretary. 100% in favour.

Election of District Treasurer. There having been only one nomination, John Sharp was duly elected and thanked for his work over the past year. 100% in favour. John Sharp informed the meeting that this would be his last year as Treasurer.

Election of Trustees. The meeting elected the following to serve on the District Executive: Will Holmes; Tony Stringer; Tristan Stuart. Proposed: Clive Richards; Seconded: Ian Carter. 93% in favour; 7% abstentions.

District Commissioner’s Nomination of Trustees. The meeting accepted the District Commissioner’s nominations to the District Executive Committee (up to 4 persons): Ian Carter, James Swallow and Stuart Whale. The meeting accepted that the District Commissioner could nominate into the vacant positions during the year if she finds a further willing candidate. 96% in favour; 4% abstentions.

To elect two Leaders to the Avon County Scout Council. David Moore was nominated, and the meeting was asked for approval for the District Executive Committee to make one further appointment. 100% in favour.

To appoint Independent Examiners for next year's accounts. Waldron Partnership were thanked for their work this year, and whilst they may be used again, alternatives are being researched. It was agreed to allow the Trustees to make the final decision. Proposed: John Sharp, Seconded: Janet Turner. 100% in favour.

The District Commissioner’s Address. Tina thanked everyone for taking the time to join us. 2020 has been a difficult year, but Leaders have shown their dedication throughout and provided programmes for the different sections via Zoom.
Tina thanked John Mander, Chair, and Jane Bale, District Secretary, who are both stepping down at this meeting. John has been involved in Scouting for almost 50 years and Jane has been involved in High Littleton for 15 years.
Tina asked John Mander to take on the role of District President. He responded that he was honoured to be asked and would be delighted to take on this role.
Tina also thanked both John Stell and Becky Mears for their hard work at Midsomer Norton and Ian Tucker for his hard work and involvement in Chew Stoke. Personal thanks to Graham Bush as DDC as it has been a difficult year for Tina.

Awards. Tina congratulated the Angela Sheppard and David Lloyd on having been awarded a Silver Acorn in the St George’s Day Awards, and congratulated the large number of recipients of Awards for Merit.

County Commissioner’s Address. CC Graham Brant is currently away on holiday and Stu Ballard attended as County Representative. He thanked everyone for their continued hard work over the last 12 months, which have been tough; Scouting has become more digital.
The County Plan 2023 is still in place, but due to the current crisis six task forces have been set up to provide a short-term plan. Stu is involved in the Finance Task Force so if any Groups need to discuss any financial issues then please let him know.
This year’s County Jamboree had to be cancelled and a decision will be made at Christmas 2020 about a Jamboree for 2021.
Stu emphasised that there is no pressure from County for Leaders to return to face to face Scouting; everyone needs to feel safe in order to do so. About half the Groups within Wansdyke have returned to face to face Scouting.
There will be changes coming through in training.
Stu thanked John (Chair) and Jane (District Secretary) for their hard work on the District Executive Committee over the last few years.
Stu also thanked Graham Bush for his work in managing and dealing with risk assessments for the District which has enabled Scouting to re-start. Graham was presented with a County Commissioner’s Commendation Award for this work. Stu has been amazed by the take up of risk assessments provided by Groups in order to get Scouting active again, showing the commitment of Leaders throughout the District.

SECTION B—Structure, Governance and Management
The District’s governing documents are those of The Scout Association. They consist of a Royal Charter,
which in turn gives authority to the Bye Laws of the Association and The Policy, Organisation and Rules of The Scout Association.
The District is a trust established under its rules which are common to all Scouts. The Trustees are appointed in accordance with the Policy, Organisation and Rules of The Scout Association.
The District is managed by the District Executive Committee, the members of which are the ‘Charity Trustees’ of the District, which is a registered charity. As charity trustees they are responsible for complying with legislation applicable to charities. This includes the registration, keeping proper accounts and making returns to the Charity Commission as appropriate.
Members of the District Executive Committee are listed on page 3 of this document. The Committee consists of the Chair, Treasurer, Secretary, the District Commissioner, the District Explorer Scout Commissioner, the District Network Commissioner, the District Youth Commissioner plus up to four individuals nominated by the District Commissioner and up to four individuals elected from the District Scout Council. It meets approximately every two months.
The Committee exists to support the District Commissioner in meeting the responsibilities of his appointment and in so doing provides indirect support for all those involved in Scouting within the Wansdyke District. The Committee reviews finance and property, ensures compliance with Charity legislation, promotes the development of Scouting in the district, raises funds and manages adult appointments and DBS checks.
SECTION C—Objectives and Activities
The Purpose of Scouting: Scouting exists to actively engage and support young people in their personal development, empowering them to make a positive contribution to society.
The Values of Scouting: As Scouts we are guided by these values: Integrity - We act with integrity; we are honest, trustworthy and loyal. Respect - We have self-respect and respect for others. Care - We support others and take care of the world in which we live. Belief - We explore our faiths, beliefs and attitudes. Co-operation - We make a positive difference; we co-operate with others and make friends. The District meets the Charity Commission’s public benefit criteria under both the advancement of citizenship and community development headings.
SECTION D—Achievements and Performance
These are detailed in reviews by the District Commissioner, Assistant District Commissioners, and the District Explorer Scout Commissioner on pages 7 to 10 of this report.
SECTION E—Finance
The District Scout Council has decided that the accounts shall be kept on a Receipts and Payments basis. SECTION F—Other Optional Information: None

Independent Examiner's Report to the Trustees of Wansdyke District Scout Council
I report to the charity Trustees on my examination of the accounts of Wansdyke District Scout Council (the Trust) for the year ended 31 March 2021.
Responsibilities and basis of report
As the charity Trustees of the Trust you are responsible for the preparation of the accounts in accordance "with the requirements of the Charities Act 2011 ("the Act")".
I report in respect of my examination of the Trust's accounts carried out under section 145 of the Act and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Independent examiner’s statement
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:
-
accounting records were not kept in respect of the Trust as required by section 130 of the Act ; or
-
the accounts do not accord with those records; or
-
the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

Income
All incoming resources are included in the Statement of Financial Activities when the Scout Council has received the income. The following specific policies are applied to particular categories of income:
