TRUSTEES' REPORT for the Year Ended 30 November 2025
The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30 November 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
OBJECTIVES AND ACTIVITIES
Gemini Untwined is established for the advancement of health and the promotion of the physical, material, mental and financial welfare of children, and the families of children, with conditions potentially requiring craniofacial or neurosurgery, including but not limited to conjoined twins.
The trustees' objective during the year was to continue supporting work that delivers meaningful benefit to children and families facing highly complex craniofacial medical conditions, while ensuring that the charity's limited resources were applied prudently and in accordance with its charitable purposes.
In setting the Charity's objectives and planning its activities, the trustees have had due regard to the Charity Commission's guidance on public benefit.
ACHIEVEMENTS AND PERFORMANCE
During the year ended 30 November 2025, the Charity continued to pursue its charitable objects by supporting medical and scientific research into, and treatment of, craniopagus twins and other conditions potentially requiring craniofacial or neurosurgery.
The trustees remained focused on ensuring that the Charity's resources were directed toward activities capable of delivering meaningful benefit to children and families facing highly complex craniofacial medical conditions. During the year, the charity continued to develop its relationships with clinical and research partners and to consider how best to strengthen its long-term capacity to support innovation, collaboration and patient outcomes in this specialist field.
The trustees also continued to review the charity's operating model and future priorities, recognising that the charity had reached a stage in its development where a clearer strategic framework would support its next phase of growth and impact.
FINANCIAL REVIEW
Financial review
The charity's income is derived principally from donations and philanthropic support. The trustees' approach continues to be to apply the charity's resources carefully and prudently in furtherance of its charitable objects.
The trustees are mindful that the charity operates in a highly specialised area where projects and interventions may be complex, infrequent and financially significant. The Board therefore continues to place emphasis on careful budgeting, cash-flow oversight and the maintenance of an appropriate level of reserves.
Total incoming resources for the year ended 30 November 2025 amounted to £206,064 and total resources expended amounted to 143,589. Net movement in funds for the year was £62,475.
The Trustees wish to express their sincere gratitude to Hawthorn Advisors for their generous pro bono support, valued at £30,286.
Reserves policy
The charity's policy is to maintain sufficient reserves:

to ensure that the maximum amount of any committed cost can be met at any point in time; and
-
to ensure that the budgeted operating and fund generation functions of the charity can be covered for the next 12 months at any point in time.
At 30 November 2025, unrestricted reserves amounted to £310,766. The trustees consider this level of reserves to be appropriate in light of the charity's planned activities and risk profile.

FINANCIAL REVIEW
Risk management
The trustees are responsible for the management of the risks faced by the charity. Risks are identified, assessed and reviewed regularly, and systems and procedures are in place to mitigate those risks where practicable.
The principal risks identified by the trustees continue to include reputation, financial sustainability and the availability of appropriate resources to support the charity's specialist activities.
The trustees recognize that the charity's reputation is central to its effectiveness and its ability to attract support, collaborators and funding. This risk is mitigated through Board oversight, appropriate governance and careful consideration of the activities undertaken in the charity's name.
The trustees also recognize the importance of long-term financial resilience. The charity remains dependent on donations and philanthropic support, and the Board therefore keeps fundraising strategy, expenditure commitments and reserve levels under regular review.
The trustees recognize that no system of internal control can provide absolute assurance against risk, and the systems in place are designed to provide reasonable assurance and to support effective oversight of the charity's activities.
PLANS FOR FUTURE PERIODS
The trustees intend that the charity will continue to strengthen its position as a specialist organisation supporting research, treatment and collaboration.
During the year, the trustees considered the charity's future leadership and operating requirements in light of its next stage of development. The trustees concluded that a strategic review would be beneficial in order to assess the charity's long-term objectives, governance, delivery model and funding priorities.
As part of this process, the trustees plan to appoint a Chief Executive Officer to support the Board in undertaking this strategic review and to help develop recommendations for the charity's future direction.
The trustees believe that this work will help ensure that the charity is well positioned to deliver sustainable impact in the years ahead and to make the most effective use of its resources in furtherance of its charitable objects.
STRUCTURE, GOVERNANCE AND MANAGEMENT
Gemini Untwined is a charitable company governed by its Memorandum and Articles of Association
The trustees, who are also the directors for the purposes of company law, are responsible for the overall control and strategic direction of the charity.
The trustees who served during the year ended 30 November 2025 were:

The trustees meet regularly to review the charity's activities, finances, risks and future plans. Day-to-day administration is delegated as appropriate, subject to trustee oversight.

INDEPENDENT EXAMINER'S REPORT TO THE TRUSTEES OF GEMINI UNTWINED
The trustees, who are also the directors of the charitable company for the purposes of company law, are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards, including FRS 102.
Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period.
In preparing these financial statements, the trustees are required to:

select suitable accounting policies and then apply them consistently;
-
observe the methods and principles in the Charities SORP;
-
make judgements and estimates that are reasonable and prudent;

state whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; and
-
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in operation.
The trustees are responsible for keeping adequate accounting records that disclose with reasonable accuracy at any time the financial position of the charitable company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 30 November 2025.
The members have not required the company to obtain an audit of its financial statements for the year ended 30 November 2025 in accordance with Section 476 of the Companies Act 2006.
The trustees acknowledge their responsibilities for
(a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and
(b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.
These financial statements have been prepared in accordance with the provisions applicable to charitable companies subject to the small companies regime.

1. CHARITY INFORMATION
Gemini Untwined is a private company limited by guarantee incorporated in England and Wales. The registered office is Africa House, 70 Kingsway, London, WC2B 6AH.
2. ACCOUNTING POLICIES
Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.
Critical accounting judgements and key sources of estimation uncertainty
In the application of the charity's accounting policies, the trustees are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.
Income
Income is recognised when the charity is legally entitled to it after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received.
Cash donations are recognised on receipt. Other donations are recognised once the charity has been notified of the donation, unless performance conditions require deferral of the amount. Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation.
Legacies are recognised on receipt or otherwise if the charity has been notified of an impending distribution, the amount is known, and receipt is expected. If the amount is not known, the legacy is treated as a contingent asset.
Expenditure
Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement, and the amount of the obligation can be measured reliably.
Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges are allocated on the portion of the asset's use.
Charitable funds
Unrestricted funds are available for use at the discretion of the trustees in furtherance of their charitable objectives.
Restricted funds are subject to specific conditions by donors or granters as to how they may be used. The purposes and uses of the restricted funds are set out in the notes to the financial statements.
Endowment funds are subject to specific conditions by donors that the capital must be maintained by the charity.
Taxation
The charity is exempt from tax on income and gains falling within section 505 of the Taxes Act 1988 or section 252 of the Taxation of Chargeable Gains Act 1992 to the extent that these are applied to its charitable objects.
Pension costs and other post-retirement benefits
The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.

Cash and cash equivalents
Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.
Basic financial assets
Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price induding transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.
Basic financial liabilities
Basic financial liabilities, including creditors and bank loans are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.
Debt instruments are subsequently carried at amortised cost, using the effective interest rate method.
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of operations from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.
Derecognition of financial liabilities
Financial liabilities are derecognised when the charity's contractual obligations expire or are discharged or cancelled.
Going concern
At the time of approving the financial statements, the trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus the trustees continue to adopt the going concern basis of accounting in preparing the financial statements.
