## **Executive Summary** 

Helping Angels Charitable Association (HACA) is a registered Charity (CIO - 1183838) based in Stoke-on-Trent, Staffordshire. HACA was formed in 2019 to support adults and children with disabilities, to lead independent and fulfilling lives. We do this by enabling our members to explore activities that will promote independence and develop their skills and abilities. Stoke-On-Trent was ranked 12[th] in the Deprivation Index of 2019. Our support and services, includes some of the most deprived localities within the U.K. 

We began as a small community group in 2018. As a Community Group we worked with the local community and saw firsthand the deprivation and complex needs of the families that we were working with. We saw that often the most vulnerable did not have opportunity to have a voice. We decided to form the Charitable Association to enable our members to have a vote and a say in how our services are shaped to serve them. Our work encompasses taking a multifaceted approach to deliver activities. Our members are aged between 0- 80+ and our sessions enable our members to explore pathways, and to partake in workshops, that promote their independence by developing their skills and abilities. 

Despite these successes, the Board recognise that today they are operating in a very different financial climate and that as well as being a community resource providing services to the community at an affordable cost, they also need to work towards becoming more self-sustainable generating income from the services provided and relying less on grants aid for their work. In this financial 




year we concentrated on various forms of sustainability and income. We also accepted as a board we were working in a new world where our messaging and branding had become more important than ever. We started to look at a complete re brand of the charity and through various forums and work decided that in line with The Indi Club we would start to Rebrand our Childrens and Adults services. This saw the introduction of Project Indi and Kindi our Adults and Childrens services. INDI stands for INclusion and DIversity and it is more inclusive to our future vision for the charity.

The  Association  has  developed  over  the  years  into  an  Association  that  can demonstrate a  degree of self-sustainability.  The income generated from activities  and  fundraising  events  is  enough  to  fund  generic  costs.  It  is  the responsibly of the CEO to report to the board members any matters regarding association for direction and agreement.

Our mission by 2029 is to create and provide services that support adults and children with disabilities, to lead independent and fulfilling lives throughout Staffordshire. Our mission is to provide inclusive community hubs where individuals will have access to information and support, and educational, social and leisure opportunities.

- To empower people to optimise their own health and wellbeing and help reduce health inequalities. 

- To create an inclusive, accessible, safe, and welcoming spaces where people can feel a sense of belonging.

## **Our Approach and What we do:** 

## **Day Opportunities and Community Social Groups** 

We support disabled and vulnerable adults of all ages, to regularly access a range of diverse activities and workshops at our inclusive hub, The Indi Club. We are partnered and work with a range of local businesses, activity providers and workshop leaders to deliver specialised activity programmes that aim to: 




1. **Empower Independence.** Our sessions help to create a supportive environment where people can thrive. Within our Independence projects we deliver everyday activities such as Food hygiene and cooking, allotment and gardening work, money management and budgeting, shopping and travel training. As an organisation, we pride ourselves on our services, that strive to enhance the life skills of our members. 

2. **Promote physical and emotional wellbeing.** We understand the importance of exercise. Physical activity plays a pivotal role in contributing towards a positive mind frame and maintaining one’s mental health. We provide sessions as part of our Healthy Living Project programme; including inclusive sports and exercise sessions, our weekly walk & talk group, visits from health professionals and therapeutic arts and crafts. 

3. **Champion inclusion.** Promoting and enabling social inclusion, is one of the core tenets and founding principles of HACA. We deliver a weekly lunch club and social night, aiming to reduce isolation, and provide opportunities to socialise and meet new people. In addition to this, we offer day trips and short UK breaks with accessible and adapted transport. Our Association places an emphasis on social inclusion, which ensures our members feel a sense of community and belonging. 

4. **Provide a space to express yourself creatively.** We deliver regular drama workshops, singing lessons, dance sessions and art therapy workshops. These activities aim to get participants moving, build their confidence and allow them to express themselves in their own way. HACA regularly hosts sessions led by local creatives, that promote group participation. 

## **Free School Holiday Activities for Families** 

We deliver school holiday activities for families. School holidays can be particularly difficult for some families because of increased costs, such as food, especially now, when costs of living are so high, and rising. Our sessions are completely free to attend and include a healthy and delicious meal. There is a wide range of activities to choose from, such as cooking, crafts, sports, dance, animal workshops, and more.  In addition to this we also offer seasonal free or affordable family focused community events. 

## **SEND Sessions for Children and Young People** 

We deliver regular activities for young people with special education needs or disabilities (SEND) in Staffordshire. This includes school holiday activities, after school clubs, seasonal events and day trips. Our sessions offer young people a safe and welcoming environment, allowing them to connect with other young people, build confidence and develop life skills. These sessions can be attended independently, providing respite for parents and carers. 

## **Inclusive Work Placements and Volunteer Opportunities** 

We offer inclusive work placements and volunteering opportunities to adults and young people; allowing them to gain confidence and experience, enhance their life skills, to help them transition into paid employment and give back to the community. 




**Our volunteer programme embraces diversity and inclusion and ensures equality of opportunity for all people to volunteer in ways that are right for them.** 


**The Indi Club, Ralph Drive, Sneyd Green, ST6 1HZ** 

This venue was acquired via Stoke on Trent City Council’s community asset transfer procedure. 

The  Indi  Club  is  a  community  hub  in  the  heart  of  Sneyd  Green,  Stoke-onTrent. We are an inclusive hub, giving a warm welcome regardless of background,  ability,  or  circumstance. The  hub  offers  a  wide  programme  of activities, events and support services for the local community and has a large hall  (with  kitchen  and  bar  facilities)  available  to  hire  for  all  your  special occasions. 




We welcome the local community to hire our venue. We aim to provide a welcoming space, with a hub of activity, where the community can come together and unite. 



## **Strategic Aims – The Indi Club** 

The Indi Club has a number of Strategic Aims: 

- To provide a Community Resource Centre for the people of Stoke providing Education, Social and Leisure Opportunities to the local community and opportunities to access Community Health Services 

- To provide meeting and conference spaces with access to advice and information and support the local community. 

- To ensure the longer-term viability of this resource by ensuring that it is self-sustainable via income generation from hires, enterprises and accessing community grants. 

- To work in partnership with key agencies to develop this resource to meet new and future needs by considering the development of its physical structure and the nature of services which can be offered from the resource. 

- To attract appropriate funding to underpin the salaries of key staff, the necessary upgrade of the infrastructure and the support for volunteers to ensure the efficiency of the provision. 

- To create an inclusive community hub for the people of Stoke-on-Trent, where they can access and attend regular support groups and people can feel a sense of belonging.

## **Independent Examiner's Report on the accounts** 

I report to the trustees on my examination of the accounts of the above charity (“the Trust”) for the year ended 30/06/2023. 

## **Responsibilities and basis of report** 

As the charity's trustees, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”). 

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

## **Basis of independent examiner's statement** 

Since the charity’s gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination by being a qualified member of the Institute of Chartered Accountants in England and Wales (ICAEW), which is one of the listed bodies. 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in, any material respect: 

· accounting records were not kept in accordance with section 130 of the Act or 

· the accounts do not accord with the accounting records 

· the accounts did not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair’ view which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which 

attention should be drawn in order to enable a proper understanding of the accounts to be reached.

## **1 Accounting policies** 

## _**Basis of preparation**_ 

The accounts have been prepared in accordance with the Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland - (FR102) (Effective 1 January 2019) (Charities SORP (FRS 102)), the financial reporting standard applicable in the UK and Republic of Ireland (FRS 102), the Charities Act 2011 and the Charities (Accounts and Reports) Regulations 2008. 

## _**Grants and donations**_ 

These are included in the accounts when the charity has unconditional entitlement to the income and any conditions to the grants have been met. 

## _**Charitable funds**_ 

Unrestricted funds are available for use at the discretion of the Trustees in furtherance of their charitable objectives. 

Restricted funds are subject to specific conditions by donors as to how they may be used. 

## _**Turnover**_ 

Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the sale of goods and from the rendering of services. Turnover from the sale of goods is recognised when the significant risks and rewards of ownership of the goods have transferred to the buyer. Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs. 

## _**Intangible fixed assets**_ 

Intangible fixed assets are measured at cost less accumulative amortisation and any accumulative impairment losses. 

## _**Tangible  fixed assets**_ 

Tangible fixed assets are measured at cost less accumulative depreciation and any accumulative impairment losses. Depreciation is provided on all tangible fixed assets, other than freehold land, at rates calculated to write off the cost, less estimated residual value, of each asset evenly over its expected useful life, as follows: 

Freehold buildings over 50 years Leasehold land and buildings over the lease term Plant and machinery over 5 years Fixtures, fittings, tools and equipment over 5 years Computer equipment over 3 years

## _**Investments**_ 

Investments in subsidiaries, associates and joint ventures are measured at cost less any accumulated impairment losses. Listed investments are measured at fair value. Unlisted investments are measured at fair value unless the value cannot be measured reliably, in which case they are measured at cost less any accumulated impairment losses. Changes in fair value are included in the profit and loss account. 

## _**Stocks**_ 

Stocks are measured at the lower of cost and estimated selling price less costs to complete and sell. Cost is determined using the first in first out method. The carrying amount of stock sold is recognised as an expense in the period in which the related revenue is recognised. 

## _**Debtors**_ 

Short term debtors are measured at transaction price (which is usually the invoice price), less any impairment losses for bad and doubtful debts. Loans and other financial assets are initially recognised at transaction price including any transaction costs and subsequently measured at amortised cost determined using the effective interest method, less any impairment losses for bad and doubtful debts. 

## _**Creditors**_ 

Short term creditors are measured at transaction price (which is usually the invoice price). Loans and other financial liabilities are initially recognised at transaction price net of any transaction costs and subsequently measured at amortised cost determined using the effective interest method. 

## _**Taxation**_ 

The charity is exempt from tax on its charitable status. 

## _**Provisions**_ 

Provisions (ie liabilities of uncertain timing or amount) are recognised when there is an obligation at the reporting date as a result of a past event, it is probable that economic benefit will be transferred to settle the obligation and the amount of the obligation can be estimated reliably. 

## _**Foreign currency translation**_ 

Transactions in foreign currencies are initially recognised at the rate of exchange ruling at the date of the transaction. At the end of each reporting period foreign currency monetary items are translated at the closing rate of exchange. Non-monetary items that are measured at historical cost are translated at the rate ruling at the date of the transaction. All differences are charged to profit or loss.

## _**Leased assets**_ 

A lease is classified as a finance lease if it transfers substantially all the risks and rewards incidental to ownership. All other leases are classified as operating leases. The rights of use and obligations under finance leases are initially recognised as assets and liabilities at amounts equal to the fair value of the leased assets or, if lower, the present value of the minimum lease payments. Minimum lease payments are apportioned between the finance charge and the reduction in the outstanding liability using the effective interest rate method. The finance charge is allocated to each period during the lease so as to produce a constant periodic rate of interest on the remaining balance of the liability. Leased assets are depreciated in accordance with the company's policy for tangible fixed assets. If there is no reasonable certainty that ownership will be obtained at the end of the lease term, the asset is depreciated over the lower of the lease term and its useful life. Operating lease payments are recognised as an expense on a straight line basis over the lease term. 

## _**Pensions**_ 

Contributions to defined contribution plans are expensed in the period to which they relate.

## **ELECTRONIC RECORD AND SIGNATURE DISCLOSURE** 

From time to time, Fortune Hart Limited (we, us or Company) may be required by law to provide to you certain written notices or disclosures. Described below are the terms and conditions for providing to you such notices and disclosures electronically through the DocuSign system. Please read the information below carefully and thoroughly, and if you can access this information electronically to your satisfaction and agree to this Electronic Record and Signature Disclosure (ERSD), please confirm your agreement by selecting the check-box next to ‘I agree to use electronic records and signatures’ before clicking ‘CONTINUE’ within the DocuSign system. 

## **Getting paper copies** 

At any time, you may request from us a paper copy of any record provided or made available electronically to you by us. You will have the ability to download and print documents we send to you through the DocuSign system during and immediately after the signing session and, if you elect to create a DocuSign account, you may access the documents for a limited period of time (usually 30 days) after such documents are first sent to you. After such time, if you wish for us to send you paper copies of any such documents from our office to you, you will be charged a $15.00 per-page fee. You may request delivery of such paper copies from us by following the procedure described below. 

## **Withdrawing your consent** 

If you decide to receive notices and disclosures from us electronically, you may at any time change your mind and tell us that thereafter you want to receive required notices and disclosures only in paper format. How you must inform us of your decision to receive future notices and disclosure in paper format and withdraw your consent to receive notices and disclosures electronically is described below. 

## **Consequences of changing your mind** 

If you elect to receive required notices and disclosures only in paper format, it will slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will need first to send the required notices or disclosures to you in paper format, and then wait until we receive back from you your acknowledgment of your receipt of such paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to receive required notices and consents electronically from us or to sign electronically documents from us. 

## **All notices and disclosures will be sent to you electronically** 



Unless you tell us otherwise in accordance with the procedures described herein, we will provide electronically to you through the DocuSign system all required notices, disclosures, authorizations, acknowledgements, and other documents that are required to be provided or made available to you during the course of our relationship with you. To reduce the chance of you inadvertently not receiving any notice or disclosure, we prefer to provide all of the required notices and disclosures to you by the same method and to the same address that you have given us. Thus, you can receive all the disclosures and notices electronically or in paper format through the paper mail delivery system. If you do not agree with this process, please let us know as described below. Please also see the paragraph immediately above that describes the consequences of your electing not to receive delivery of the notices and disclosures electronically from us.

You may contact us to let us know of your changes as to how we may contact you electronically, to request paper copies of certain information from us, and to withdraw your prior consent to receive notices and disclosures electronically as follows:

## **To advise Fortune Hart Limited of your new email address** 

To let us know of a change in your email address where we should send notices and disclosures electronically to you, you must send an email message to us at darren@fortunehart.co.uk and in the body of such request you must state: your previous email address, your new email address.  We do not require any other information from you to change your email address. 

If you created a DocuSign account, you may update it with your new email address through your account preferences. 

## **To request paper copies from Fortune Hart Limited** 

To request delivery from us of paper copies of the notices and disclosures previously provided by us to you electronically, you must send us an email to darren@fortunehart.co.uk and in the body of such request you must state your email address, full name, mailing address, and telephone number. We will bill you for any fees at that time, if any. 

## **To withdraw your consent with Fortune Hart Limited** 

To inform us that you no longer wish to receive future notices and disclosures in electronic format you may: 



i. decline to sign a document from within your signing session, and on the subsequent page, select the check-box indicating you wish to withdraw your consent, or you may; 

ii. send us an email to darren@fortunehart.co.uk and in the body of such request you must state your email, full name, mailing address, and telephone number. We do not need any other information from you to withdraw consent..  The consequences of your withdrawing consent for online documents will be that transactions may take a longer time to process.. 

## **Required hardware and software** 

The minimum system requirements for using the DocuSign system may change over time. The - - current system requirements are found here: https://support.docusign.com/guides/signer guide signing-system-requirements. 

## **Acknowledging your access and consent to receive and sign documents electronically** 

To confirm to us that you can access this information electronically, which will be similar to other electronic notices and disclosures that we will provide to you, please confirm that you have read this ERSD, and (i) that you are able to print on paper or electronically save this ERSD for your future reference and access; or (ii) that you are able to email this ERSD to an email address where you will be able to print on paper or save it for your future reference and access. Further, if you consent to receiving notices and disclosures exclusively in electronic format as described herein, then select the check-box next to ‘I agree to use electronic records and signatures’ before clicking ‘CONTINUE’ within the DocuSign system. 

By selecting the check-box next to ‘I agree to use electronic records and signatures’, you confirm that: 

- You can access and read this Electronic Record and Signature Disclosure; and 

- You can print on paper this Electronic Record and Signature Disclosure, or save or send this Electronic Record and Disclosure to a location where you can print it, for future reference and access; and 

- Until or unless you notify Fortune Hart Limited as described above, you consent to receive exclusively through electronic means all notices, disclosures, authorizations, acknowledgements, and other documents that are required to be provided or made available to you by Fortune Hart Limited during the course of your relationship with Fortune Hart Limited.
