the highly interdisciplinary urban farming technologies. to local people. The field of urban farming

The Trustees of the Charity fully understand the guidance provided by the Charity Commission
relating lo charitab16 reserves. The Trustees strive to ensure the continuous delivery of high quality
services and the long-lem) financial sustainability of the Charity. As such, Ihe Charity strives lo
relain reserves al a level sufficient to coverthree months, running costs at current levels, in line
with Charity Commlssion guidance. The Charl￿S reserves are lo be utiSised, al the discretion of
the Trustee$, for the pursuance of the Charfty's objectives and 10 5eGure the long-tem financial
SU3tainability of the Chaiiiy.

Annual Report of the Trustees, January - December 2023
The trustees are pleased to present this report on behatf of Faryn Urban CIO. This report has been
prepared to record the current position of the organisation and seeks lo provide information in
accordance with the Charities Ad 1993. the Companies Act 1985. the Memorandum and Articles of
Association, and the Statement of Recommended Practice - Accounting and Reporting of Charitiés
(Charlties SORP FRS 1021 as far as is practical at this stage of the organisatson's exislence.

Chalrfs report
Farm Urban CIO was established in May 2019.11 was the intention of the directors of the limited by
guarantee company. Fami Urban Ltd. lo effectively convert this entity lo CIO slalus, under the
steering of the board of trustees.
Farm Urban Ltd was established in 2013. with the aim of pioneering hi-tech methods of food
growing in urban environments and educating the public aboul these methods, in orfjer to find more
sustainable ways lo produce food and engage and encourage people to eat food that is better for
their health and the health of the planet.
An application to form Farm Urban CIO was made in September 2018. The application was
approved in May 2019, with amended objectives..
To advance the education of the public in the d8v6lopment and implementation ol
efficient technology of f8m?ing in particular but not exclusively by the provision of
educational workshops in the science of urban food production and supporting
research in related subjocls and to publish the resulls.
In the perlod between the application being made and approved Farm Urban Limited continued lo
operate ils food growing. research and educational activities. In December 2018 this entity received
social inveslmenl lo build and operate a wmmunity hydroponic farm that would supply food to
locals- educating them on the benefits of healthy and sustainable eating and providing the
opportunity for educational workshops, tours and courses.
With the incorporation of Farm Urban CIO for the purpose of educating the public about efficient
urban food production technologies. il was not clear how the CIO could or would take on the
operalion of the community hydroponic farm.
No activity was undertaken by Farm Urban CIO whilst the directors of the limited company and the
trustees of the CIO sought to gain clarity on this. Since Farm Urban CIO'S last report the
organisation has taken legal and governance advice to establish effective governance structures.
These include board resolutions, service agreements and eslablishmenl of a VAT group.
Collectively these have allowed Farm Urban CIO lo commission Farm Urban Ltd. and other
providers to deliver activities on the CIO'S behalf in a fair, transparent way following the appropriate
process.

The objectives of Farm Urban CIO are:
To advance the education of the pubhc in the development and impl8mènt81ion of efficienl
technology of farming in p8rticular but nol excluswely by Ihe provision of eduGational
workshops in Ihe sc￿nCe ol urban loodproduclion and supporting ￿searCh in r8laled
subjects and to publish lh8 resutts.
We believe education and engagernent around urban I￿Ing is essential for cur￿n1 and future
gener81ions to fully benefit from both ihe technology and the f￿sh healthy food farms based in
urban areas will produce. Having high-tech farms embedded into the fabric of society direclly
¢onnècls the public with this fresh healthy food.

pantries along with private business

Farm Urban Ltd. were selected as the delivery partner for this yearfs programmes which was
successfully delivered within budget. on lime and with social impaci measured.

Farm Urban is a charitable IncorFrf)rated organisation govemed by a CIO Foundation Constitution.
Appointment of Trustees
Apart from the first tharity trustees. every trustee must be appointed for a lemi of four years by a
resolulion passed at a property convened meeting of the charity trustees.
In selecling individuals for appointment as charity trustees, the charity trustees musl have regard to
the skills, knowledge and experience needed for the effective administralion of the CIO.
The members of the CIO shall be its charity Irustees for the time being. The only persons eligible to
be members of the CIO are ils charity truslees. Membership of the CIO cannot be transferred to
anyone else. Any member and chanty trustee who ￿8$eS to be a charity Iru51ee aulomalically ceases
lo be a member of the CIO.
Trustee induction and trnlnlng
The charity trustees ￿11 make available to each new charity trU￿ee. on or before his or her first
appointment:
{a) a copy of the ￿rrent version of this constiiubon" and
Ib) a copy of the CIO'S latest Trustees. Annual Report and stalemenl of accounts.
Nèw Iruslees will undergo an orientation day to brief them on their legal obligations under charity and
company law. Charity Commission guidance on public benefit. content of the Memorandum and
Artides of Association. decision-making processes, the business plan and recent financial
PerfOman￿ of the charity. They will also meet with key employees and other trustees and are
encouraged to attend appropriate extemal trainirKJ events that will facilitate the undertaking of their
role.
Organisation
The board of trustees. which Can have up to 6 members. administers the charity. The board meets
quarterly. It is interKled a quarterly meeting will be estsblished for sutFcommittees once these have
been established.
Related parties
None of our trustees receive remuneration or other benefft from their wot1( with the charity. Any
connections between a trustee and any contracted partie5 must be disclosed to the full board of
Iruslees. Jens Thomas is a DireL#or of Farm Urt￿n Ltd and undertook a role as Irustee lo facilitate
setting up the F*m Urban Clo.
