## **Report to the Rotary Club of Llanelli Charitable Trust and the Members of the Rotary Club of Llanelli in respect of the:** 

- Activities undertaken during the year; 

- The financial details of the Charitable Trust; 

- The financial details and report on activities undertaken during the year 1[st] July 2024 to 30[th] July 2025. 

## **We, the undersigned, report on our examination of the above sets of results for the period covering the Rotary Financial year ended on 30[th] June 2025.** 

As Charity Trustees of the Rotary Club of Llanelli Charitable Trust, the trustees are responsible collectively for the preparation of accounts in accordance with the Charities Act 2011 (“the Act”). 

We report in respect of our examination of both the Charity Trust Accounts and Membership Accounts carried out under s145 of the Act.  In carrying out our examinations, we have followed the applicable Directions given by the Charity Commission under s145(5)(b) of the Act. 

We have completed our examination and can confirm that no material matters have come to our attention during this examination to give us cause to believe that, in any material aspect the: 

- accounting records have not been maintained in accordance with section 130 of the Act; 

- the accounts do not reflect the accounting records in any material way. 

Thus, we have no concerns to highlight and have come across no other matters to which attention should be drawn to enable a full and proper understanding of the accounts to be reached.

## **Charity Objectives and Purpose** 

The objectives of the Charitable are to deliver relief to the poor and needy or such other charitable purposes as the charity shall in duly constituted meeting from time to time direct. In practice, this includes supporting youth development and environmental improvement in the community as well as improving the lot of individuals in need. The trustees must apply the income and, at their discretion, all or part of the capital of the charity to further these objectives. 

The Rotary Club of Llanelli (RCoL) undertakes a range of activities to assist in improving its local community and addressing immediate needs of the community, future opportunities and more sustainable environment. It also provides assistance to communities in other countries. Activities are frequently undertaken alongside other Rotary Clubs and organisations, notably in the past for improvement projects in Africa Each year the club runs a series of events and charitable collections, raising the funds needed to provide its charitable support: all the funds collected are used for the purposes collected. 

The RCoL undertakes a number of social activities, alongside its charitable endeavours, but these are funded entirely separately by the individual members. Many of these wider activities involve Members’ time rather than funds. The Charitable Trust was established for two purposes  (1) ensuring that fund collections are very clearly used entirely for the charitable purposes intended, with membership subscriptions more than covering the full RCoL overheads; 

(2) enabling the Charitable Trust to reclaim Gift Aid eligible from HMRC, increasing the impact of the collections made. Funds of the Charitable Trust itself are managed by a number of Trustees selected from the RCoL (see below). 

The Charitable Trust was established as an unincorporated association and registered with the Charity Commission on 16th June 2019. 

## **Governance and Trustees (who all served throughout the 2024-25 period):**

Trustees serve for a maximum period of 4 years and always include the RCoL President for the  year of office. Trustees are appointed by the Club Council.  The Annual General Meeting is held each summer, directly following a monthly Club Council meeting, with all Club members (currently there are 49 members) invited to each meeting of the Club Council and the AGM. 

**Advisors** :  The majority of the Charitable Trust funds are held by Barclays Bank, through their Llanelli Branch at 16, Vaughan Street, Llanelli, SA15 3UE. 

**Affiliations:** Although stand-alone in the decisions and activities it undertakes, the RCoL Charitable Trust is affiliated with a worldwide network facilitated by Rotary International.  However, the RCoL Charitable Trust is entirely independent in its decision making and control of funds, so the purposes of activities and use of funds is entirely directed by all its members.  We work closely with Llanelli Town and Rural Councils, but also with schools and other charitable organisations in our community to deliver assistance to those in need of help.

## Report of the Hon Secretary June 2025 

Cerith Owens accepted the honour of becoming the 106th President of this great club after serving last year as Vice President, so was already in some ways already “in the Groove”.  As a result, much has continued to change over the last year, as we strive to make the club less formal and more welcoming to new younger members. 

I hope that he will look back over the last year as a happy and memorable experience despite the challenges he often had to face, both personally and within Rotary. 

This is the fourth occasion that I have the privilege of addressing our AGM and it is at this point that I can report that we received 3 resignations since my last report and we were sad to lose Rachel Phillips, Julia Goodfellow-Smith and Mike Goodfellow-Smith. On the other hand we continued to grow as we gained new members, Emma Lewis, Gloria Kinloch-Davies, Paul Davies, Nick Pearce, Louisa Boswell and Rev Delyth Richards. We did see a short period of membership from Alun John, but he was forced to leave us for personal reasons.  So overall we ended the year with 49 members, but with a few more in prospect - including our first Corporate member, in the pipeline. 

It has been said on so many occasions that each President brings their own style and personality to the club, and Cerith was certainly no exception. Knowing you, we expected a year filled with music and we have certainly not been disappointed. We all hope that Cerith enjoyed his year in office, and, with the support of family and friends, he will retain great memories of what has certainly been an interesting and entertaining year for Rotary Llanelli. 

As usual we now review some of the activities undertaken by our Club Committees: 

## **Club Administration** 

The club has always been administered by a critical triad of officers, namely the President, Treasurer and Secretary.  Between the three they provide a critical backbone for the whole club and provide a sound foundation for the club to operate. We owe much to Cerith for presiding over nearly all of our Club Council meetings, as well as face to face meetings. 

The second member of the Admin team is our treasurer Hywel who once again has done sterling work in ensuring our bills are paid on time and our books are in good order. Recognition should also go to assistant treasurer Mark, who keeps our charity books in great order, and is a wizard at applying for gift aid (£1400 just received immediately before the end of our Rotary year). 

Alison is the third element of the team.  Her head must still be spinning after a very busy year – not only supporting virtually all our activities but (amazingly) also working as Deputy District Governor. Alison keeps us all on track, keeps all in the loop as to what is happening and provides a seemingly bottomless enthusiasm. 

## **Membership** 

Almost immediately after the last AGM, we were joined by Tom, Laura, John, Ian and Peter, who transferred from Swansea Rotary following the closure of their club. Whilst it is very sad to see a club close, we were delighted to welcome them to join Rotary Llanelli for 1st July 2024. 

It has also been said many times in the past, that increasing membership is everyone’s responsibility in order to sustain the club for the long term. The club has worked as a team to attract new members and has had a successful year, with six new members and more in the pipeline. We are in final

discussions to attract our first corporate member too, so exciting times ahead. The more activities the club undertakes, and the more media coverage we get, the more likely we are to get more requests for membership. We’ve certainly had an interesting year and that has had an impact on our numbers. Involving new members in our club activities is essential to retention and it has been encouraging to see the new faces at our events. 

We were delighted to see Paul Harris Fellowship awards being made to Rotarians Alan Owen and Nikki Symmons, and also to George Parker and David Craddock (a previous member of our club now retired). These awards recognise exceptional contributions to Rotary and the community, and are a rare commodity. 

## **Public relations and Media** 

Over this last year, in particular, we have had a lot of coverage in the Llanelli Star, Evening Post, and Wales On Line (thank you Robert) and of course Facebook, with lots of positive feedback. Regular articles have been written about our club in Llanelli Matters, which now has a much wider circulation covering Carmarthen and Swansea. Our website is back up and running, with more improvements to come. We have re-activated Instagram and Twitter and plan some Tik Tok videos in the months to come. 

## **Youth activities** 

Kevin has continued to maintained his enthusiasm for our work with young people and his team have organised Youth Speaks, Young Musician, Young Chef, Young Writer and Young Photographer competitions. We also managed to send a youngster to the RYLA development event in Storey Arms. 

We continued to develop our relationship with Ysgol Heol Goffa, including Rotakids, and held our second Young Chef competition since 2019 with the whole school taking part. It was another chance to taste some amazing creations. 

Our Rotakids family has increased with Ysgol Pentip joining Ysgol Penrhos and Ysgol Heol Goffa making three schools participating in Rotary activities. We are also hoping to add Five Roads School when school restarts in September. 

## **Community & fundraising** 

One of the most important things our club does, is to be actively involved in community projects. There is always a chance for any of our Rotarians to take part in projects as we are involved in so many different projects during each year. We were delighted when one of newer (and definitely enthusiastic) members, Ian, agreed to continue with the challenge of chairing communities, working with the team to successfully deliver results. 

The year kicked off with us assisting with the Wales Air Ambulance sponsored charity bike ride which ended in Pembrey Country Park. Then we got really busy. We held our first ever Bavarian Night raising £1,100 for the RNLI, closely followed by a successful Race Night, raising £2,200 to be shared with Wales Air Ambulance, Ysgol Heol Goffa, and Llanelli Mind. Meanwhile, at our Presidents Night, we raised £1,100 for Ty Hafan, having been touched by the work they do on a visit to their hub.

We were able to organise an afternoon tea and a tour of Llanelly house for the Ukrainian families who have made Llanelli their home, using funds collected for the purpose and carried over from last year. This was greatly appreciated by our Multi-Cultural community. 

A new project for this year was the opportunity to help in a DIY SOS type project helping upgrade a facility run by the Wallich in Tycroes for the homeless. We had a great deal of fun, painting, assembling furniture, and even ironing curtains. Sadly, despite our extremely excited President giving an interview for TV about our involvement, we were destined for the cutting room floor! 

We continued with the Wrap UP UK programme for distribution to those in need in Llanelli. We had the usual collection points in Tesco, Diplomat, Selwyn Samuel centre, Age Cymru, churches and leisure centres, and we were able to provide coats and jackets to the Foodbanks, Llanelli Mind, Threshold, Ty Gwyn Church, Salvation Army and CYCA. We were overwhelmed this year with over 1200 coats, and were glad to be able to provide a “help yourself” coat rail in St Elli’s shopping centre. Well done to all those involved in this worthwhile project, with special thanks going to Paul Frances and the team in the Selwyn Samuel Centre. 

Our Christmas collections were very different this year. We collected during the carnival, and at Asda & Tesco, raising £3,100 to be shared between Ty Hafan, Llanelli Mind and Ysgol Heol Goffa. We are very hopeful that we will be in M&S this forthcoming December. 

We were also delighted to help the LLAMA’s with Santa at their Christmas party, and for the first time ever we had a party for our own children and the local Rotakids. Both events were a great imitative for the club. 

We were delighted to hear your wonderful singers from LARS, especially during the Black Tie Ball, raising £3,600 which was shared with Wales Air Ambulance, Ysgol Heol Goffa, Ty Hafan and local charities.  . 

Our continued support for the food bank has been very much appreciated by Myrtle House. Our card draw makes such a difference to those in crisis, and thank you Julie for organising the regular purchase of goods. 

We held a Curry & Quiz night, raising money for Tourette’s Syndrome sufferers, a cause close to our President’s heart, then soon afterwards a Carvery and Quiz night raising funds to support our environmental projects.  We were delighted but humbled to be Marshalls for the Race for Life in Llanelli; an event for which the sun shone and 3 of our members did 23km between them! 

We have been successful in becoming involved in our community, not only fundraising but making ourselves visible and feeling proud to have done so. Thank you to everyone for their support. 

## **International** 

Lend with care continues to be successful helping people out of poverty. Globally we have now helped over 11,000 people over the last 7 years. 

Last year saw the launch of the Period Poverty project spearheaded by Lettie. Our intention is to raise funds, jointly with other Rotary clubs, to provide a sanitation block in a school in Zimbabwe. We have established connections with American Rotary clubs in Naperville and Nebraska to help with the water and sanitation project, and Lettie has recently visited Zimbabwe to undertake a needs assessment. Whilst on her visit, connections have been made with 2 local Rotary clubs, and we welcome the opportunity to bring Hope in the World to fruition through our engagement.

## **Foundation** 

The club continues to make regular donations to Rotary Foundation both from our subscriptions and our card draw. Making donations allows us the opportunity to request grant funding, and we have been successful with a joint application this year, partnering with Morriston Rotary for an environmental project in Hendy. 

## **Environmental** 

Our beach cleans have become a monthly event in our attempt to collect plastic from the sea shore. They have been quite well attended with friends and the pupils of Ysgol Penrhos coming to help. 

The new environmental group set up last year to focus on litter picking and green infrastructure, has continued to gain momentum. The establishment of LooLl has been a great success with lots of non-Rotarians joining in to help clean up our streets. We are also working with Bigyn, Penrhos and Heol Goffa schools on litter picks. Credit goes to Kevin, and Julie for their regular attendance and for driving these initiatives. 

## **Entertainment** 

This year has seen us entertained in various ways as a Club. We’ve enjoyed quizzes, with curries and a carvery. We’ve had musical entertainment from LARs, Meibion Elli and, on St David’s day, we had our winners of the young musician and LAR’s make the night very special. Thank you to Alan, Dave, Mark and Cerith for all the enjoyment. 

## **Speakers** 

Our evenings wouldn’t be the same without a host of speakers. A huge variety of topics were provided, with speakers addressing: Llanelli’s Blue Plaques, Elysium in Swansea, City status for Llanelli?, Cymru Vs Arthritis, being a murder detective, the Legacy Lounge, Bryngwyn hospice, Swansea Museum, setting up a patisserie in Llanelli.  Several new members gave their “This is Me” talks. So all in all we have had a wide variety of interesting topics covered. Thank you to all those involved, in particular to Dave who now has the job of filling the diary up for the next 12 months! 

## **Conclusion** 

I think we can all agree that we have had a great year - through being an active club, attracting new members and raising an incredible amount of money, almost £17,000. Finally, towards the year end we have been fortunate to receive another very significant Legacy resulting from recognition of the work we are doing within our community, which we have lodged within our Charity Account. We manage to achieve so much more through working together – internally and with others.

Making donations allows us the opportunity to request grant funding, and we have been successful with a joint application this year, partnering with Morriston Rotary for an environmental project in Hendy – showing that working together provides opportunities to expand our range of operation and getting to know others in Rotary. 

Thanks are due to both our Officers and all club members for their time and enthusiasm throughout the year, for their Service Above Self .and here’s to doing the same in the next 12 months.

## **Notes on the Different Accounts Maintained** 

## **Rotary Club** 

1. **There is a strict segregation of finances between the Rotary Club of Llanelli (RCoL) and the Charitable Trust it has Registered** . The RCoL membership subscriptions cover the affiliation fees due to Rotary District and Rotary International, together with running costs of the club itself.  There are _discretionary_ contributions made by members to the international charity established by Rotary International (“Foundation”) into the General Account and these are passed on to RI after transfer to the Foundation Account. These do not impinge on the **Charitable Trust** . 

2. **Membership subscriptions cover all administrative and overhead costs** - relating not only to the RCoL itself, but also the **Charitable Trust** . Club members independently and individually pay all costs of internal fellowship meetings and external non-charity related events directly to the organisations concerned. Members choose individually whether to eat or not at fellowship meetings and meet the costs themselves.  This was introduced five years ago to replace previous arrangements that penalised those who were not able to attend meetings. The new arrangements have simplified the handling, clarity and burden of the funding flows previously adopted.  The Charitable Trust benefits from these arrangements as it does not then have to provide funding for its management. 

## **Registered Charity** 

3. **There are no Restricted Funds held within the Charitable Trust** . However, all the collections from the public and events organised are arranged with specific charitable purposes identified in advance and the public are aware of the intended recipients prior to making their donations. The normal procedure is then to round up the contributions prior to onwards distribution, usually with a presentation by beneficiaries on how spent. **There are no Endowment Funds held by the Charitable Trust and no Liabilities identified.** 

4. **The Charitable Trust does not own any non-monetary assets.** 

5. **Gift Aid is received from HMRC as part of the annual Tax Year claim, normally submitted in arears during the October following the year for which the claim is made** . It is anticipated that most of the charitable work undertaken externally that results in financial support to will attract tax relief – though this clearly does not apply to activities that rely on work undertaken by or through the Members themselves. 

However, the aid anticipated may be allocated in advance by the Charitable Trust so that the full benefit is received by the groups helped as quickly as possible.  This clearly depends on the funds available in the Trust. The Gift Aid anticipated for the Rotary Year July 1[st] 2024 to 30[th] March 2025 has n **ot been  included** in the above figures claimable for the year ended May 2025. However, the difference is not considered to be material, with the same treatment used as for the 2023-24 annual accounts.  It can be seen that the Gift Aid related to the 2023-24 year (£1,441) collections has now been received and  added to the in the donations made during the year. During the year, the remainder of a legacy received by RCOL has been released from the auspices of the RCOL and has been added to the Charitable Trust.

## **Annex 2:** 

## **Bank Accounts held by RCOL  - Separated to ensure clear boundaries exist between the Charitable Trust and the club itself.** 

RCOL maintains 5 different accounts under its own control, in addition to those maintained by the Charitable Trust: 

1. The **General Membership Account** income relates entirely to membership subscriptions and monthly card draw receipts. It is used to cover subscriptions to wider Rotary Structures (District and International) to share coverage of general overheads (e.g. central records, insurance for activities, co-ordination and administration). It also covers the costs of running the RCoL club itself, publications and club overheads - so the Charity suffers no leakage of funds in terms of its activities. 

2. The **General Legacy Account** is the result of a single generous donation made to RCoL some years ago and **does not form a part of the Charitable Trust** .  It is used for a number of different purposes, including supporting some of the costs of the Youth Events we organise. For example in the year 2023-24 these included Young Chef, Youth Public Speakers, Young Writer, Young Photographer and RYLA costs. The sums involved are transferred from Legacy to General Account before being paid from that account  Although used mainly for charitable purposes we do not handle these payments through the Charity Account and, in accordance with the purposes given, it can support costs of running the club itself - for example by providing external with meals as part of our evenings. 

3. The **Foundation Account** is used as a collecting mechanism for voluntary member contributions to the National Foundation Charity itself. 

This is used to collect discretionary gifts (over and above the mandatory subscriptions) and the contributions collected at each of our meetings.  This account is cleared each year by paying the proceeds collected to Rotary UK - so each year is self-contained. 

## PLUS: 

4. The **Charity Bank Account** (this supports the **General Legacy Account through access to higher interest rates** ). It is a new venture for RCoL and is used to deliver slightly better returns of interest than achievable from Barclays - the interest on £25k is still relatively modest and will be transferred ack to the General Legacy Account when needed, to continue to support our youth development activities.  The interest accrued will be transferred into the General Legacy Account. 

5. There is one final account held in Barclays – the RCoL **Business Premium Account** .  Our RCoL Club secretary is currently also the Assistant District Governor for the Rotary District, within which we operate.  This account does not deal with our internal RCoL funds at all but is used purely to act as a clearing mechanism for the District in terms of organising x-district meetings and the costs incurred.  However, we audit this internally in the same way as we do for our other accounts. At the beginning and end of each year (because of the activity cycle involved) the contents of this account should always be zero.  This account is not included in the listings below as it represents only a conduit for our District.
