## **Objectives and Activities** 

The objects of the CIO are: 

- to advance education in northern Nigeria, particularly but not exclusively by improving the literacy and numeracy of children and families; and 

- to further such exclusively charitable purposes according to the law of England and Wales as the Trustees from time to time determine. 

To fulfil these objects the CIO provides grant funding to registered UK charities and local nongovernmental organisations to support education projects in northern Nigeria. 

Throughout the process of determining these activities, the Trustees confirm that they have complied with the duty in section 4 of the Charities Act 2006 to have due regard to the public benefit guidance published by the Charity Commission in determining the activities undertaken by the Charity. 

## **Achievements and Performance** 

During the current period the Trustees finalised setting up the relevant grant processes and relevant monitoring tools to enable them to commence work in the next financial period. This included establishing grant application forms, agreements and monitoring forms, as well as setting up anti-money laundering and anti-terrorism policies. 

In addition, continuing discussions were held with possible grant recipients in northern Nigeria, with the hope that the first grant will be made in early 2023. 

## **Financial Review** 

The charity achieved a surplus of £31 in the year (2021: £3), with all funds held at year end - £34 (2021: £3) unrestricted as to use. 

The Trustees are in the process of setting up a reserves policy based on future plans for grant expenditure and other expenditure, but with no committed liabilities at year end are happy with the reserves stated above. 



## **Structure, Governance and Management** 

## **Governing document** 

The Trustees administer the CIO under the terms of its governing document, it’s constitution. It is registered with the Charity Commission in England and Wales, registration number 1182421. 

## **Recruitment and appointment of Trustees** 

New Trustees are appointed by the existing Trustees based on the skills and knowledge required by the organisation at that point in time. 

All new Trustees are inducted by the current board and provided with copies of the constitution and the latest annual report and accounts for their information, as well as to help them form an understanding of the work of the Charity. 

All Trustees give their time voluntary and received no remuneration or other benefits. 

There must be at least three Trustees and no maximum number. If the number falls below this minimum, the remaining Trustee or Trustees may act only to call a meeting of the Trustees, or appoint a new Trustee. 

Apart from the first Trustees, every Trustee must be appointed for a term of three years by a resolution passed at a properly convened meeting of the Trustees or in writing.
