## **Report and Accounts of Innovira (charity number 1182370) Year Ending 31/12/2021** 

The trustees present their report and financial statements of Innovira (“the Charity”) for the year ended 31 December 2021. 

## **Objectives and Activities** 

The objects of the Charity (as set out in its Constitution) are to promote the voluntary sector and promote the efficiency and effectiveness of other charitable organisations (for the benefit of the public) by: 

- Helping to build the capacity of small voluntary and community organisations and provide them with the necessary support, information and services to enable them to pursue or contribute to any charitable purpose 

- By giving advice and assistance to charities to enable them to meet their purposes 

The Charity was founded in 2019 to achieve these objects by identifying and scaling ideas which the trustees believe have the potential to have significant public benefit. 

The trustees confirm that they have complied with the duty in section 17 of the Charities Act 2011 to have due regard to the Charity Commission’s general guidance on public benefit, “Charities and Public Benefit”. 

## **Achievements and Performance** 

2021 was the second full year of operation of the Charity, having had confirmation of registration from the Charity Commission on 7 March 2019. 

In this period, as in 2020, the primary project of the Charity was the “Future Friendly” project, which is intended to target small to medium sized businesses and provide mechanisms to encourage them to improve their organisations to be more sustainable, including the development of a platform for charities which have objects related to the environment and sustainability. 

The plans for Future Friendly in 2021, as declared in the 2020 report, were: 

- Continue to support the development of the platform (and app) so that it can be used for data capture and campaign management 

- Build the first award measures and implement them in the app – to include measures around energy usage, supply chain, and wastage 

- Bring other people into the project (paid or unpaid) to pilot and test the app in real-life situations by gathering data on local businesses and working with early adopters to refine the app 

- Learn from the pilot and plan its scaling 

In practice, the primary activity was to continue to develop the platform for useability, and to create the first set of awards on the platform. In the summer, we conducted a small research pilot to test the application by meeting local businesses to test the value of the application to them. This led to a further phase of development to create content to improve the useability of the platform. 

We also, in a limited way, continued to provide Informal mentoring and advice. 



Plans for 2022 

The plans for the “Future Friendly” project are: 

- Continue to support the development of the platform (and app) so that it can be used for data capture and campaign management 

- Finalise the initial set of award measures and implement them in the app 

- Identify a partner organisation to launch the first full pilot 

- Consolidate learnings to plan for scale 

Other than the “Future Friendly” project, plans are subject to the available capacity of the trustees and will focus on identifying great ideas and supporting individuals and organisations to develop those ideas through mentoring and advice. 

## **Financial Review** 

At the end of 2021 the Charity held unrestricted reserves of £25 and restricted reserves of £1,726. The restricted reserves are for sustainability projects, including the “Future Friendly” project. The unrestricted reserves result from bank interest less bank charges. 

As the Charity has no regular expenses, except those that are currently paid for directly by the trustees, the reserves policy is simply to retain a positive balance. The trustees recognise that as the Charity’s activities develop, a reserves policy will need to be agreed. 

In 2021 all the Charity’s donation income was from trustees and connected parties of the trustees. The trustees claimed no expenses, and paid several expenses directly, not from Charity funds. The trustees estimate that these expenses were up to £1,000. 

## **Structure, Governance and Management** 

The Charity is a Charitable Incorporated Organisation (CIO), established by Constitution which was registered with the Charity Commission on 7 March 2019. 

The current trustees are also the founding trustees. The Charity has no paid staff.

So far as each trustee is aware, there is no relevant information needed by the independent examiner in connection with preparing their report of which the Charity’s independent examiner is unaware. Each trustee has taken all the steps that they ought to have taken as a trustee in order to make themselves aware of any relevant information and to establish that the independent examiner is aware of that information.

## Responsibilities and basis of report 

I report to the trustees on my examination of the accounts of the above charity (“the Charity”) for the year ended 31/12/2021. 

As the trustees of the Charity, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”). 

I report in respect of my examination of the Charity’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

## Independent examiner's statement 

I have completed my examination.  I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in, any material respect: 

- accounting records were not kept in accordance with section 130 of the Act or 

- the accounts do not accord with the accounting records 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in order to enable a proper understanding of the accounts to be reached.
