The trustees present their report with the financial statements of the charity for the year ended 31 March 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES Objectives and aims

The objects of the CIO are:

a) To promote for the benefit of the public the conservation protection and improvement of the physical and natural environment;

b) To advance the education of the public in the conservation, protection and improvement of the physical and natural environment;

c) To promote human rights (as set out in the universal declaration of human rights and subsequent united nations conventions and declarations) throughout the world by all or any of the following means:

In furtherance of that object but not otherwise, the trustees shall have power to engage in political activity provided that the trustees are satisfied that the proposed activities will further the purposes of the charity to an extent justified by the resources committed and the activity is not the dominant means by which the charity carries out its objects.

N1M Trust makes grants to organisations working to support environmental human rights defenders.

N1M trust engages in public education, efforts to uphold human rights and to protect the environment.

Project Title: End the use of protest injunctions to suppress protest in the UK Injunctions. Utilise strategic research to garner the attention of the media and policy makers to affect a change in approach to policy and legislation.

Contributions Made by Volunteers

N1M Trust may use staff time, free of charge, provided by members of Not1More up to three working days per month to support The Trust's administrative needs and to support accounting. The Trust will nevertheless remain responsible for all filings, records, meeting minutes and accounts.

Many projects undertaken by N1M are supported by volunteers, who all go through a vetting process to ensure suitability.

ACHIEVEMENT AND PERFORMANCE Charitable activities

Guinea Bissau

  1. Our Forest Defenders Conference 2025 was a success. Our conference report is available on our website.

  2. Not1More continues to develop funding in support for widowed environmental defender, Fanta.

  3. We have strengthened the networks of environmental defenders in West Africa. This has included: developing Building resilience for communities and defenders; establish community Spirit Forests, that are recognised in the law and the spiritual Mandinka traditions; and build up Youth Network, Den Kula.

UK

  1. We have engaged a consultant to progress a route towards accountability for human rights violations against environmental protesters. The consultant will support us in the grassroots to parliament aspect of this work. We hosted a round table for activists, lawyers and NGOs at our Garden Court grassroots access to accountability event.

  2. Our Brick Court event on injunctions established collaboration with Liberty and CASP Legal which resulted in the Law Commission's consultation on contempt of court organising a roundtable so that grassroots activists impacted by injunctions were able to have their experiences recorded in the consultation. We host Solidaritea meetings, where activists meet online with a cuppa to talk about which issues are concerning them and help assess the direction of our work.

  3. We are building an understanding of climate impacts and environmental defenders issues in Scotland through our Ayrshire Climate Adaption Network.

  4. Our injunctions toolkit was nominated for the Sheila McKechnie Foundation Young Campaigner Award and won the Tenacious Award.

Tanzania

We anonymously published articles in order to continue to draw attention to the evictions of Massai communities. We established a fundraising team which is a collaboration between Not1More, TEST and volunteers.

Brazil

We have developed a program for Cop do Povo and for the People's Tribunal at COP. We fundraised in order to support our partner organisation IZM who have rented a house in Belem for civil society representatives attending COP, and are fundraising towards supporting international defenders at COP.

Cambodia

The Cambodia team continue to support the biodiverse protected area, Prey Preah Roka, in North East Cambodia. Working with local communities and youth, the team build skills in GPS mapping and use of media. We also work to keep the team safe in an adverse political environment.

Development & sustainability of Charity

Hosted a dinner in London to draw together our supporters and build a sense of community among funders and supporter of N1M. We have secured Gift Aid to be collected through donations, Stripe and Enthuse.

FINANCIAL REVIEW

Financial position

The charity generated a net surplus of £36,176 for the year ended 31 March 2025 (2024: deficit of £49,964).

At 31 March 2025, total reserves stood at £95,924 (2024: £59,748), with £42,549 of these being unrestricted general reserves (2024: £21,723) and £53,375 being restricted reserves (2024: £38,025).

Reserves policy

We are continuing to fundraise to build up reserves in adherence to our reserves policy of 3 months unrestricted expenditure.

For the year ended 31 March 2025, three months expenditure equalled £66,237. At 31 March 2025, unrestricted free reserves stood at £42,549, an increase of £20,826 from the prior year. The Trustees recognise that the unrestricted reserves are below target and are seeking ways to continue to increase the level of reserves over time acknowledging that there is a necessary balance between growing reserves and delivering current charitable activities. Notwithstanding the need to increase reserves to the target level, the Trustees consider that the current level of reserves is sufficient to provide the necessary working capital for the forthcoming year and the Trustees consider that there are no material uncertainties about the charity's ability to continue as a going concern.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Governing document

N1M Trust was established as a charity on 05 March 2019 and is a Charitable Incorporated Organisation (CIO) governed by its constitution.

Recruitment and appointment of new trustees

Trustees are selected on their skills relevant to the charities title deeds.

Every new trustee must be appointed for a term of two years by a resolution passed at a properly convened meeting of the charity trustees.

In selecting individuals for appointment as charity trustees, the charity trustees must have regard to the skills, knowledge and experience needed for the effective administration of the CIO.

Trustees must sign the Trustee Declaration.

The charity trustees will make available to each new charity trustee, on or before his or her first appointment: - a copy of the current version of the CIO constitution; and - a copy of the CIO's latest Trustees' Annual Report and statement of accounts.

New trustees will be invited to join conversations or informal meetings with the other board members, and/or with staff of Not1More, the not-for-profit company that is working with N1M Trust to implement a number of projects supported by the Trust.

Key management remuneration

The charity has no staff but receives voluntary support for administration from the staff of Not1More Ltd, Registered company number: 11545187.

The management of the Trust is undertaken by the trustees, who do so on a voluntary basis and so are of the opinion there was no remuneration paid to key management personnel in the year to 31 March 2025.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Related parties

N1M Trust has an Agreement with Not1More, a charitable incorporated company, limited by guarantee, registered in England and Wales, Registered company number: 11545187.

Having identified significant shared aims between N1M Trust and Not1More, the parties have agreed to cooperate, jointly fund and work together on projects when the project objectives and activities are charitable, advance the Purposes of N1M Trust and present an effective way to advance and support the welfare of environmental defenders.

Any joint venture will have educational merit; or will advance human rights, specifically Articles 3, 5, 8, 9, 10, 19 and 20 of the Universal Declaration of Human Rights, or Articles 3, 8, 10, 18, 20, 25, 26, 27, 28, 29, 32 of the UN Declaration of the Rights of Indigenous Peoples; or will contribute to the protection of the natural environment, specifically areas deemed to be of national or international importance, or that play a significant role in mitigation of or adaptation to climate change.

Independent examiner's report to the trustees of N1M Trust

I report to the charity trustees on my examination of the accounts of N1M Trust (the Trust) for the year ended 31 March 2025.

Responsibilities and basis of report

As the charity trustees of the Trust you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the Act').

I report in respect of my examination of the Trust's accounts carried out under Section 145 of the Act and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under Section 145(5)(b) of the Act.

Independent examiner's statement

Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a member of the Association of Chartered Certified Accountants, which is one of the listed bodies.

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

  1. accounting records were not kept in respect of the Trust as required by Section 130 of the Act; or

  2. the accounts do not accord with those records; or

  3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination.

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. ACCOUNTING POLICIES

Basis of preparing the financial statements

N1M Trust is a Charitable Incorporated Organisation (CIO) and governed by its constitution. It was registered as a charity in England (registered number 1182322) on 5 March 2019. Its registered address is 74 Tudor Court, King Henry's Walk, London, N1 4NU

Basis of preparing the financial statements

The financial statements of the charity, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Charities and Trustee Investment (Scotland) Act 2005. The financial statements have been prepared under the historical cost convention, with the exception of investments which are included at market value.

The financial statements are prepared on an accruals basis, and on a going concern basis, in accordance with: - the Charities and Trustee Investment (Scotland) Act 2005; - Regulation 8 (Statement of account - Fully accrued accounts) of The Charities Accounts (Scotland) Regulations 2006; - the Financial Reporting Standard applicable in the UK and Republic of Ireland, published in March 2018 ("FRS 102"), to the extent that it applies to small entities and public benefit entities;

The charity meets the definition of a public benefit entity under FRS 102.

Assets and liabilities are initially recognised at historical cost or transaction value, unless otherwise stated in the relevant accounting policy.

The financial statements are presented in UK sterling, which is the charity's functional currency, and rounded to the nearest pound.

There have been no changes to the basis of preparation this financial year or to the previous financial year's financial statements.

Cash at bank and in hand

Cash at bank and cash in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.

Debtors

Trade and other debtors are recognised at the settlement amount due after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due.

Creditors and provisions

Creditors and provisions are recognised where the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognised at their settlement amount after allowing for any trade discounts due.

Financial instruments

The charity has financial assets and financial liabilities that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value.

Going Concern

The trustees consider that there are no material uncertainties about the charity's ability to continue as a going concern.

Income

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

1. ACCOUNTING POLICIES - continued

Expenditure

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Grants offered subject to conditions which have not been met at the year end date are noted as a commitment but not accrued as expenditure.

Taxation

N1M Trust is a charity within the meaning of Section 467 of the Corporation Tax Act 2010. Accordingly, the charity is potentially exempt from taxation in respect of income or capital gains received within categories covered by Chapter 3 of Part 11 of the Corporation Tax Act 2010 and section 256 of the Taxation of Chargeable Gains Act 1992 to the extent that such income or gains are applied for charitable purposes only.

Fund accounting

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

12. RELATED PARTY DISCLOSURES

During the year the Charity provided grants of a total of £190,288 (2024: £110,800) to Not1More, a charitable incorporated company, limited by guarantee, registered in England and Wales, Registered company number: 11545187.

13. PURPOSE OF FUNDS

General - The unrestricted 'free reserves' of the charity.

Environmental Defenders UK - The aim is to raise awareness and support for people who are protecting natural environments and to research the challenges they face.

Forest Defenders Brazil - The project is to raise awareness to protect the lives of those protecting forest, land and water around Brazil.

Amazon Defenders Collective - The projects' aim is to help protect people and the Environment, including by building a self-care centre and respite house.

Emergency Response Guinea-Bissau - A project to gain emergency support funds for a widowed forest defender living in Simboree, Guinea- Bissau, who suffered loss of her animals and property due to inter-community conflict of logging of community forests

Cambodia Forest Protection - Supporting the protection of Cambodia's 'paper parks' - protected areas in the North East of the country that are officially protected but suffer high levels of illegal logging. Forest monitoring and community support to patrol, monitor deforestation and to strengthen youth environmental defenders.

Climate Change Engagement - Raising awareness in Ayrshire and across Scotland of grassroots efforts to mitigate and adapt to climate change. Supported by Scottish Communities Climate

KH- Forest Protection- Cambodia team work closely with local communities and frontline defenders to conduct campaigns, and build a youth network building to protect forests in Cambodia

Right to Protest- JRCT- Assess the usefulness of existing tools and build grassroots access to parliament in order to uphold democratic rights in the UK.

Tanzania- Capacity building, especially in project management and fundraising for indigenous Maasai grassroots who are facing land grabs in Tanzania

UK Injunctions- a campaign to end the us of protest injections which are increasingly blocking democratic engagement in the UK.

FDC5- The Forest Defenders Conference series is steadily building an international network to articulate the needs, successes and demands of frontline defenders.
