SecEon B: Structure Governance and Management
The Worshipful Company of Firefighters Charitable Trust is a Charitable Incorporated Organisa[on (CIO) whose only vo[ng members are its Charity Trustees. The charity has the “Founda[on” model cons[tu[on. New Trustees are recommended by the Board of Trustees to The Worshipful Company of Firefighters Court of Assistants for approval, in accordance with the Cons[tu[on. Three Trustees re[re each year at the end of their terms of office and may stand for re-elec[on for a further term of three years, acer which they must re[re for a minimum period of one year before being eligible to stand for re-elec[on.
Trustees normally meet at least four [mes a year and all decisions pertaining to the governance and management of the Charity are taken at those mee[ngs. However, due to
1
the Coronavirus Pandemic and the restric[ve measures necessarily imposed by HM Government during the term of this report all mee[ngs were held on-line. In view of the small size of the Charity, the Trustees have chosen not to delegate any of their powers to sub-commiVees. The Charity does not employ any staff.
Administra[ve support to the charity is provided by the Clerk of the Worshipful Company of Firefighters for which a charge is made in accordance with the Terms of a Memorandum of Understanding between the Trust and The Worshipful Company of Firefighters.
SecEon C: ObjecEves and acEviEes

This is the second full year of opera[on of The Worshipful Company of Firefighters Charitable Trust as a CIO. The CIO was registered by the Charity Commission on 27[th] February 2019, having been established in order to receive the assets, liabili[es and func[ons of the previous unincorporated Charity of the same name, (Registra[on No:1000562) with effect from midnight on the transfer date of 30[th] September 2019.
On 31[st] May 2019 the Charity Commission made an Order under sec[on 105 of the Chari[es Act 2011 which authorized the Trustees of the previous unincorporated Charity to transfer all of the Charity’s assets and liabili[es to the CIO, notwithstanding their conflicts of interest. The CIO duly received the assets, liabili[es and func[ons of the previous unincorporated Charity on the transfer date, and formally began its work on 1[st] October 2019. The previous Charity has now been wound up and unregistered as an opera[ng concern.
