MINUTES OF THE ANNUAL GENERAL MEETING of members of St. Saviourgate Unitarian Chapel held on 16th August 2020 in the Chapel

The Chairman clarified a point of order regarding electronic voting. The Constitution 2018 allows :-
- . “(a) The Congregation may, if the trustees so decide, allow the members to vote by post or electronic mail (“email”) to elect trustees or to make a decision on any matter that is being decided at a general meeting of the members. (b) The trustees must appoint at least two persons independent of the Congregation to serve as scrutineers to supervise the conduct of the postal/email ballot and the counting of votes. ”
Introduction:
The AGM in 2019 was the last as St. Saviourgate Unitarian Chapel, an excepted charity. The AGM in 2020 is the first as York Unitarians CIO and elections for trustees will be held under the CIO Constitution dated 18th March 2018. The merger will be registered in the Register of Mergers with the Charity Commission.
The Chairman and Secretary signed the minute of agreement merging the charities.

Acceptance of the Minutes of the Annual General Meeting held on 24th March 2019, and minutes of Special General Meeting 18[th] August 2019 was proposed by Alan Pennington and seconded by Joan Sinanan and accepted by the meeting.

There were no matters arising from the minutes:
4.a. There were no questions on the Annual Report for 2019 - pages 2 – 7.
4.b. There was one question about the Accounts for 2019, pages 8-10, Dee Boyle questioned the payment for a wedding of £70, it appears this was a donation. Thanks were expressed to Adrienne Wilson and Gill Chippett for the assistance they had given to the Treasurer.
The Adoption of Annual Report and Accounts was proposed by Elizabeth Faiers and seconded by Barbara Barnes and accepted by the meeting.
The Chairman signed the Declaration on page 15 “The members of York Unitarians CIO declare they have approved the trustees’ annual report above”.

The Treasurer spoke about the Budget for 2020 on page 15 which is now wrong due to the effects of the Covid-19 pandemic and the cancellation of services and concerts. The expenditure so far this year has been £20,601, which is high due to the work done by Peter Exley during Lockdown. The Income this year has been £21,323 which includes Gift Aid reclamations. Alan Pennington complimented Peter Exley on the excellent work done on the front railings.

Chapel Charity Accounts – pages 11 to 14 – Elizabeth Faiers (treasurer) confirmed that all investments in the permanent endowment have now been transferred to York Unitarians CIO.

The majority of this investment is from the sale of the Sunday School premises some years ago, and it has to remain as a permanent endowment. Last year the interest from the permanent endowment was £16,000 for the use of the Chapel. The Chapel Charity accounts are now closed. Thanks were given to Elizabeth for her work as the Chapel Charity treasurer.

All had been nominated and seconded. It was proposed by John Brogden and seconded by Jen Atkinson that they should be elected unopposed and accepted by the meeting
Thanks were expressed to Simon Hardy and Laura Cox who are not seeking re-election as committee members and to Margaret Hill standing down as secretary but staying on the committee, a gift was handed to Margaret.

9. Any other relevant business :
There was a discussion about zoom services and services in the chapel. While zooming from the chapel is possible, the first attempt was not satisfactory.
There was a discussion about services in the chapel versus services on zoom, with points of view expressed on both sides. It was mentioned that we are a chapel community, and that we are in the process of looking for a new minister.
It was proposed that zoom services should be either at least once a month or twice a month, with live services in the chapel on other Sundays. The vote on this was evenly split, and the Chairman gave his casting vote to twice a month services. The decision on which these will be lies with the worship leaders.
It was agreed that we investigate technology to enable zooming from the Chapel to be efficient. A sub-committee (David Zucker, Nick Morrice, Claire Wilton and Dee Boyle) was set up. A special general meeting will be called to report back within 3 months.

David invited Claire Wilton, as Chair of the Future Ministry Sub-Committee, to recap the appointments process and history for information and to propose the motion, “The congregation invites Stephanie Bisby to become Minister of York Unitarians.” The motion was seconded by Claire Lee.
The first amendment was proposed by Adrienne Wilson and seconded by Dee Boyle. This was, “I move that, because of the pandemic, the pulpit vacancy for York Unitarians be temporarily withdrawn, effective immediately, and that it be re-advertised only after the congregation as a whole have had a minimum of 6 months of normal face-to-face worship in the chapel.”
Speeches for and against were made before the amendment was put to a vote. Only five votes were cast in favour of the amendment, which therefore failed to be carried.
The second amendment was proposed by Marta Hardy and seconded by Joan Sinanan. This was, “Stephanie Bisby be appointed as part-time minister on the terms offered save that there be a probationary period such that:
(1) the probationary period shall not end until a period of six months has elapsed during which time services in the chapel have been continuously held or after 9 calendar months from today's date whichever is the shorter.
(2) there be a ballot of all the members entitled to vote within 14 days of the expiry of the probationary period
(3) if necessary the probationary period shall be extended by 14 days to permit the ballot to take place.”
Speeches for and against were made. Claire Wilton proposed an amendment to clause (2). This was agreed with the Proposer of the amendment. David Zucker suggested that clause (3) would need to be amended and suggested the appropriate wording. The revised amendment was as follows, “Stephanie Bisby be appointed as part-time minister on the terms offered save that there be a probationary period such that:
(1) The probationary period shall not end until a period of six months has elapsed during which time services in the chapel have been continuously held or after 9 calendar months from today's date whichever is the shorter.
(2) The Chapel Committee will fully consult and take feedback from all members within 14 days of the end of the probationary period before making a decision on whether to proceed with the appointment.
(3) If necessary the probationary period shall be extended by 14 days to permit that consultation.”
The reworded amendment was then voted on and was carried by a substantial majority. This now becomes the substantive motion on which Members will be invited to vote.
Speeches for and against the original motion were also now heard, as well as discussion around better communications, which the Committee will take on board.
Finally, the Secretary proposed that voting be allowed by email as well as by postal vote. This proposal was also carried.
Chair’s Report

Who would have thought a year after we first went into lockdown, we would be in lockdown? For all of us this has been a very challenging year but, of course, for anyone who has lost a relative or friend it has been indescribably awful. Phrases such as, “We must carry on”, or “Time is a great healer”, are easily expressed but rarely offer sufficient consolation to those who grieve, but as a congregation we cannot let the year that has just passed us by, go without recognition of the dreadful pandemic and the effect it has had on so many lives.
Despite the challenges, somehow we have held it together and if anything, as a congregation we have grown in strength. When first we contemplated holding services via Zoom, I suspect that few of us thought that the numbers attending would increase, yet they have. I want to thank everyone who has contributed to our services, whether as leader, reader, host, musician or attendee. We are nothing without your participation. Silent prayer has its place but being in communion with people of similar values, in worship, validates our individual perspectives in a way that being in isolation cannot do. Personally I cannot wait for us all to be together again in the chapel.
At the AGM we will have a new committee, some will be carrying on from last year but some may leave us in accordance with the constitution or simply because they feel they have made their contribution. I want to thank the outgoing committee for all its work over the last year. It has been something of a tradition not to single people out for special praise but I am going to make an exception this year. If I cause offence to anyone who thinks that they, or some other person, should have had special mention, I apologise now.
First of all, Nick Morrice. Nick has contributed so much over the last few years. He took over as Treasurer (assisted by Adrienne Wilson) at a time when there was a real need and in taking up that role stood down from the chair. I know that the role has been very challenging but over the last year our “Treasury Team” have managed to get on top of the accounts so that the new Treasurer will have a relatively straight forward task.
Secondly, I want to thank Claire Wilton. We are very lucky to have been able to bring Stephanie Bisby on board this year as our new Minister. Claire, working with others made the task of appointing our new minister, seamless and I want to express my personal thanks to Claire, over and above those I express on behalf on the congregation more generally, for her wise counsel when at times it was really needed.
There are exciting times ahead. We recently arrived in the 21[st] century, having had wifi installed in the building. I know the congregation is keen to continue to facilitate remote services; we are at last in a position to do so albeit that there is some essential equipment that must be procured. We hope to get a Social Action Committee up and running. We are looking to see what more we can do for our new found “friends” in Nepal. We are now running bible classes in addition to the Meditation group, so ably run by Dee Boyle. As we look forward to returning to the chapel, we will look to see how we will continue to grow and attract even younger members than we have now.

Minister’s Comments
It is a pleasure and privilege to work with the York congregation – albeit also a challenge in these strange times of constantly changing regulation! For the last few months I have been leading worship twice a month on Zoom (and greatly appreciating the Zoom services led by congregation members whenever I am able to attend), and we are currently exploring how we can best continue to include those at home once services return to the Chapel. Services are

advertised regularly on Facebook (thanks to Margaret Hill for all the weeks that are not mine!) and @YUnitarians is now updated on Twitter and Instagram with weekly service information and occasional sharing of UKUnitarians and Inquirer content – if you use social media, please do support us by liking and sharing our news.
The Bible study group focusing on Mark’s gospel has led to some lively discussions. In the summer I hope to lead a study group based on Praying with Jane Eyre (due for publication in July). I welcome suggestions for discussion group topics in between these times. York congregation members continue to be active in York Interfaith, the poetry and meditation groups and I attend these groups whenever possible, as well as meetings of the Yorkshire Unitarian Union (YUU). I have agreed to be co-opted onto the YUU committee as Acting Secretary so that the current Secretary can take up the role of acting Vice-President. I also remain involved with the Sheffield District, and will be taking part in their Good Friday service, which all are very welcome to attend.
Nationally, I sit on the Inquirer board and have recently contributed several articles to the Inquirer, and one to the Liberal Christian Herald. Professional development is also an important part of ministry and I am currently studying for a counselling qualification as well as working on my final dissertation with Luther King House in Manchester.

Secretary’s Report
To 16[th] August 2020, from Margaret Hill
Services were held every Sunday in the York Chapel until 15[th] March 2020 when it was decided to close because of the coronavirus situation. Services started on Zoom on 29[th] March, and attendances at these zoom services have been good, with friends from other congregations joining us. The meditation group and poetry group have also met on zoom, and a ‘heart and soul’ group met weekly on zoom until August.
In January 2020 our minister Nicky Jenkins retired. A lunch was held after her final service, followed by an entertainment, and presentations were made to her, thanking her for her service to the Chapel.
The Chapel was open to the public for York Residents’ Festival weekend in January 2020 with 142 visitors with an exhibition called “Then and now”, showing how the chapel has changed over the years. The Chapel had been used regularly for concerts including the regular Friday lunchtime concerts and the monthly Late Music concerts until the coronavirus lockdown, when all concerts had to be cancelled to the end of 2020.
The Annual General Meeting due on 29[th] March 2020 had to be postponed.
Work on the Chapel building continued during lockdown, with re-pointing the front wall and side wall with lime mortar, and repainting and repairing the metal fence and gates, restoring the gate in the Welbeloved courtyard, and installing a ramp to the main door.
The Ministry sub-committee (Jen Atkinson, Claire Lee, Claire Wilton and Margaret Hill) reported to the Committee in June that an application for the ministry of the Chapel had been received from Stephanie Bisby. Arrangements were made for her to conduct three services in August and September.
Services resumed in the Chapel from 2[nd] August to 20[th] September, following a risk assessment by the Chairman and secretary, social distancing was put into operation, safety notices were positioned and various cleaning materials have been obtained following Government guidelines.

The main business in the latter quarter of the year was the completion of the Ministerial Appointments process. Despite the difficulties of Covid restrictions, which meant a Special General Meeting had to be held via Zoom, not in the chapel, and that voting had to take place via email, we managed to surmount these difficult and unusual circumstances, and the Reverend Stephanie Bisby was invited to become our Minister from the 1[st] January 2021 on a part-time basis. I am happy to report that Stephanie accepted.
Services are still taking place via Zoom and seem likely to continue doing so until late June at the earliest. The Chapel has now been equipped with WiFi, and a first service has been streamed from the Chapel rather than from the home of the worship leader. We are still considering further expenditure to enhance our ability to deliver services online as well as in the chapel.
Myrna Michell and Margaret Issitt have joined our community but we have not held our usual Membership Service because of not being able to meet in the chapel.
Melissa, our cleaner, retired at the end of 2020 and we have not yet found a replacement.
A payroll company has now been appointed to deal with the payment of salary to our Minister (and should we employ a new cleaner, to them also).
The Committee is grateful to the very many people who are serving the Chapel, whether as Committee members, worship leaders, members of the Pastoral Care team, Ministry subcommittee, Ministerial Support Group, Zoom hosts, musicians and to all who offer financial support. In many different ways we all contribute to the continuing health and well-being of our Chapel community.
Treasurer's Report for Financial Year to 31 December 2020
RECEIPTS : 2020 represents the first complete year-long financial report of York Unitarians CIO – you may recall that last year there were technically two separate accounts, one covering the first 10 days of January (which were the last 10 days of St Saviourgate Chapel) and the other covering the CIO from 11 January – 31 December 2019. However, 2020 has been an extraordinary year in other ways due to the closure of the chapel on account of the pandemic.
''Live giving'' consisted mainly of bank standing orders from members who choose to give in this way (and we are very grateful that they do so). Many such donations are eligible for GiftAid. The decrease of £4151 is accounted for because of the reduction in offertories since lockdown began in March.
Inquirer subscriptions appear down because some people now choose to subscribe in their own right rather than via the chapel. Subscriptions have actually increased by one.
Lettings are down by nearly £5000 because of the cancellation of concerts since March. We received one deposit of £200 for a blessing ceremony due to take place in July this year.
Under fundraising, the annual St Crux event did not take place, and concert income was well down from £1844 to £513.

These losses were offset, however, by the timely receipt of Gift Aid reclamations. The result is that the total receipts are substantially the same for both 2020 and 2019.
PAYMENTS : Under ''Worship'', the substantial decrease is due to the retirement of Rev Nicky Jenkins on 6 January.
Under ''Premises'', there was a saving of nearly £1000 on electricity because the chapel was not open.
While the chapel was closed, Peter Exley was able to catch up on several outstanding items of building and maintenance work such as the installation of a new ramp, smartening up the small open area at the back of the chapel and re-pointing the front wall. This accounts for the increase under Maintenance and Hardware.
No money was collected for the chosen charity, the York Lifeboat.
ASSETS : During the year the Skipton Building Society account was closed as being surplus to requirements, and the proceeds invested in COIF Ethical Investment Funds. There is now a single CAFCASH current account, the balance of which at the end of the year was £41,010. Cash in Hand of £67 represents donations received before lockdown and not yet paid in because of the pandemic restrictions. It includes a float of £30 for lunchtime concerts.
Looking ahead to 2021 : Outgoings for our new Minister's pay and pension, plus the cost of using a Payroll Company, amount to £1500 per month.
For building and maintenance work, Peter Exley has so far been paid £1085, but there will be more owing to him for his work on the installation of Wi-Fi as well as improvements to the chapel's heating and ventilation system.
The Quota payable annually to the General Assembly (£35 per chapel member) has been paid. This amounted to £1540 as there were 44 members on 31 December 2020.
The musicians who have helped out on Zoom services since the beginning of the year have been paid £40 per service.
Subscriptions paid by Standing Order produce income of around £850 per month.

Treasurer's Report on St Saviourgate Unitarian Chapel Charity 2020
The Chapel Charity (registration number 230167) was set up for the sole purpose of looking after the permanent endowment funds relating to the sale of property belonging to St Saviourgate Chapel, York.
The committee decided that once the congregation had become a CIO, the balance of funds in the CAF Bank Current Account of the Chapel Charity would be transferred into the CIO CAF current account. This transfer took place in April 2020 amounting to £11,453.85. The permanent investment is still held in the original COIF Charities Ethical Investments Funds account; the dividends are now paid directly into the CIO current Account. The fund continues as a separate permanent endowment and only the income can be used by the congregation.

Colton’s Hospital Almshouses Trust
This Trust was set up 304 years ago by a previous Minister of St. Saviourgate, Thomas Colton, and his wife. Thomas Colton was the minister of St Saviourgate Chapel between 1692 and 1731. The majority of the trustees have to be Unitarian; the remaining trustees are from the community local to the cottages. The 12 Almshouses are set around a central lawn off Burton Stone Lane in York.
Last year the Coronavirus Pandemic caused various difficulties including the cancelling of the usual Carol Singing in the grounds, and wearing a mask when visiting residents has become mandatory. To mitigate the sorrow felt by the cancelling of the Carol Singing the trustees decided to give every resident a small Christmas hamper, this was very much appreciated. During this last year we have replaced the boilers in all the cottages and had one cottage completely updated and remedial decorating done in a second.
The newest Unitarian trustee is Rev Stephaney Bisby and we welcome her involvement.
