2. Structure, Governance and Management of the Association
Emsworth Community Association is a Charitable Incorporated Association (CIO). It operates in accordance with the constitution written in January 2019. The Council of Management meets monthly and the officers and members of the Council of Management are elected annually at the Annual General Meeting.
3. Objects of the Association and its Governing Document
As stated in the constitution, the Association is governed according to its constitution which states that its objectives are to:
- a) Benefit the residents of Emsworth and the neighbourhood, without distinction of sex, sexual orientation, race or of political, religious or other opinions by associating together the said residents and the local authorities, voluntary and other organisations in a common effort to advance education and to provide facilities in the interests of social welfare for recreation and leisure time occupation with the objective of improving the conditions of life for the residents.
In furtherance of these objects but not otherwise, the trustees shall have power to:
- b) Establish, or to secure the establishment, of a Community Centre and to maintain or manage or co-operate

with any statutory authority in the maintenance and management of such a Centre for activities promoted by the charity in furtherance of the above objects;
- c) Promote such other charitable purposes as may from time to time be determined.
In relation to these objects, the main activities undertaken for the public benefit, having regard to the guidance issued by the Charity Commission on public benefit, are as follows:

a) Nothing happened during this period of time for the CIO, as the day-to-day activity for Emsworth Community Centre continued against the unincorporated Emsworth Community Association charity 269793. The activity under the unincorporated charity was impacted heavily by Covid-19 lockdowns. The CIO’s first AGM, was postponed until it would be safe for Members to meet physically again. This decision was not made lightly, but due to the profile of the CIO’s Members being retired and not all were happy to have ‘zoom’ meetings over the internet the AGM was postponed.

b) The Trustees continued to liaise with Hampshire County Council over the transfer of the freehold of the land and buildings to the CIO. Whilst this process commenced in 2019 and there was much activity, yet the process did not complete during this reporting period. The impact of the Covid-19 pandemic was wide reaching and limited what could be achieved by both parties. The Covid impact also delayed the set-up of the new bank accounts that was only achieved towards the end of this financial period.
4. Achievements and Performance
Everything was slowed down by the various Covid lockdowns and the impact they had on other organisations, who also had to operate remotely. The talks with Hampshire County Council were completed, but the final transfers of assets had yet to be completed. At least the new Bank Accounts are open and are in place for the start of the new financial year, when the ECA CIO will take over and the ECA unincorporated charity (269793) has finally closed down.
5. Financial Review
The Covid-19 pandemic lockdowns have prevented much of the activity from taking place and has slowed the progress, yet despite this the land and building asset transfer should go through in the next financial year and the bank accounts are finally set-up ready to go live from 1st April 2020.
6. Future Plans for Emsworth Community Association
The ECA CIO will commence day to day operations from 1st April 2020. The first AGM is scheduled for the Autumn of 2020, after negotiating an extension with the Charity Commission, when the majority of our Members, Hirers and Staff will be double vaccinated and it should be safe to meet face-to-face again.
7. The Trustees Would Like to Thank
The ECA Members who have continued their support, despite the pandemic that has significantly impacted on their use of Emsworth Community Centre. Havant Borough Council and Hampshire County Council for their ongoing support during a very difficult period of history. A thank you also extends to the Charity Commission for providing an extension for the Annual Returns, due to the difficulties of the pandemic.

2. Financial Overview
During this period there was no financial activity for the charity 1181509, therefore there is no income or expenditure to report on. The pandemic, Covid-19, led to many delays in establishing the new CIO. Therefore, the only activity was in completing the set-up of the bank accounts ready for financial activity to commence from 1st April 2021.
